1. Report regarding Memorandum of Understanding between the City of
South San Francisco and the South San Francisco Successor Agency
Authorizing the City of South San Francisco to convey properties to SSF
Miller Cypress PRI, LLC Pursuant to the Oversight Board Resolution 4-
2016 and the Purchase and Sale Agreement between the Successor Agency
and Miller-Cypress SSF, LLC dated February 23, 2016. (Steve Mattas,

Assistant City Attorney Mattas presented the staff report recommending that the Successor Agency
and City Council approve by Motion a Memorandum of Understanding (MOU) between the City of
South San Francisco and the South San Francisco Successor Agency authorizing the City of South
San Francisco to convey properties to SSF Miller Cypress PRI, LLC Pursuant to the Oversight
Board Resolution 4-2016 and the Purchase and Sale Agreement between the Successor Agency and
Miller-Cypress SSF, LLC dated February 23, 2016. Attorney Mattas advised that the sale at issue
was part of the Amended Long Range Property Management Plan adopted by the Successor Agency
and approved by the Oversight Board and Department of Finance. The proposed MOU authorized
the City to receive and convey the properties to SSF Miller Cypress PRI, LLC consistent with the
terms of the Purchase and Sale Agreement between the Successor Agency and Miller-Cypress SSF,
LLC dated February 23, 2016. The MOU also provided that the City's agreement to receive and
convey the property would not assign any other obligations of the Successor Agency as set forth in
the Purchase and Sale Agreement to the City. The City would immediately convey the property to
Sares Regis. He recommended that the MOU be approved by motion and offered to answer any
questions.
Motion—Boardmember Garbarino/Second—Vice Chair Gupta: to approve an MOU between the
City of South San Francisco and the South San Francisco Successor Agency authorizing the City of
South San Francisco to convey properties to SSF Miller Cypress PRI, LLC pursuant to the
Oversight Board Resolution 4-2016 and the Purchase and Sale Agreement between the Successor
Agency and Miller-Cypress SSF, LLC dated February 23, 2016. Unanimously approved by roll call
vote.
Motion—Councilman Garbarino/Second—Vice Mayor Gupta: to approve an MOU between the
City of South San Francisco and the South San Francisco Successor Agency authorizing the City of
South San Francisco to convey properties to SSF Miller Cypress PRI, LLC pursuant to the
Oversight Board Resolution 4-2016 and the Purchase and Sale Agreement between the Successor
Agency and Miller-Cypress SSF, LLC dated February 23, 2016. Unanimously approved by roll call
vote.
