RESOLUTION OF THE REDEVELOPMENT AGENCY OF
THE CITY OF SOUTH SAN FRANCISCO APPROVING
THE ACQUISITION AND SIMULTANEOUS TRANSFER
OF LAND FOR REDEVELOPMENT IN CONFORMITY
WITH THE GATEWAY REDEVELOPMENT PLAN
RESOLVED BY THE MEMBERS OF THE REDEVELOPMENT AGENCY
OF THE CITY OF SOUTH SAN FRANCISCO:
WHEREAS, on March 19, 1981 the Redevelopment Agency
of the City of South San Francisco (the "Agency") and Homart
Development Company ("Homart") entered into an Owner Participation
and Development Agreement providing that Agency is to acquire
fee title to certain real property ("drill track") as more
particularly described in Exhibit "A" attached hereto owned
by Southern Pacific Transportation Company ("Southern Pacific")
with funds advanced to Agency by Homart; and
WHEREAS, the Owner Participation and Development
Agreement further provided for a simultaneous transfer of the
aforesaid drill track to Homart for purposes of redevelopment
in accordance with the Redevelopment Plan for the Gateway
Redevelopment Project adopted by the City Council of the City
of South San Francisco on June 17, 1981 as Ordinance No. 867-81;
and
WHEREAS, the Redevelopment Agency has determined that
the disposition of the above-described property is in the best
interest of the community as a whole and that the property will
-- be developed pursuant to the aforesaid Redevelopment Plan; and
WHEREAS, the Redevelopment Agency, Homart and the
Southern Pacific have opened an escrow with the Title Insurance
and Trust Company of Redwood City, California in order to complete
the aforesaid transfer;
NOW, THEREFORE IT iS HEREBY DETERMINED and the Redevelopment
Agency of the City of South San Francisco does hereby resolve
as follows:
1. That the transfer of the above-described property
to Homart shall be conditional upon the redevelopment and use
of the property in conformity with the Gateway Redevelopment
Plan.
2. That the transfer of the above-described property
is hereby approved and authorized in accordance with the Owner
Participation and Development Agreement dated as of March 19,
1981.
3. The Chairman and Executive Director of the
Redevelopment Agency of the City of South San Francisco are
hereby authorized and directed to perform all acts necessary
on behalf of the Agency for the acquisition and transfer of
said property and said Chairman and Executive Director are
further authorized to execute all documents necessary to con-
clude the aforesaid acquisition and transfer and to do any and
all other things in connection with such proceedings as in
their judgment may be necessary or convenient to the successful
conclusion of the aforesaid acquisition and transfer.
4. The Chairman and Executive Director are hereby
individually authorized and directed to consent to and accept
on behalf of the Agency all deeds and grants conveying any
interest in the property as hereinabove described and are
authorized and directed to execute all deeds and grants necessary
to convey the aforesaid property to Homart Development Company.
PASSED AND ADOPTED at a regular meeting of the
Redevelopment Agency of the City of South San Francisco held
on July 15, 1981 by the following roll call vote:

All that certain parcel of land situated in the City
of South San Francisco, County of San Mateo, State of California,
being a portion of the parcel of land described first in deed
dated September 8, 192~, from South San Francisco Land and
· Improvement Company to the South San Francisco Belt Railway,
recorded September 10, 1927, in Book 324 of Official Records,
at Page 103, Records of San Mateo County, described as follows:
Beginning at a point in the southeasterly line of
the land of Utah International Inc. that is the most westerly
corner of said land described first in said deed dated September
8,.1927; thence North 38029'48'' East along the southeasterly
line of land of Utah International Inc., 103.88 feet to the most
westerly corner of the 2744 square foot parcel of land described
in deed dated May 21, 1952, from Southern Pacific Company to
E.H. Edwards Company; thence along the southerly line of last
said land as follows: easterly on a curve to the right having
a radius of 789.78 feet and a central angle of 7023'03''
(tangent to said curve at last mentioned point bears North
70010'40'' East) an arc distance of 101.79 feet to a point,
North 77033'43'' East tangent to said curve at last mentioned
point 17.46 feet and North 2°.36'14'' West 11.00 feet to a point
in the northerly line of said land described first in deed dated
September 8, 1927; thence leaving said southerly line and along
said northerly line as follows: North 87023'46'' East also along
the southerly line of land as described in deeds recorded in
Reel 7810 at Image 1575, in Volume 5847 at Page 610 and in
Reel 7823 at Image 2400, all Records of San Mateo County,
1976.41 feet to a point, easterly and northerly on a curve to
the left, also along said southerly line of said land described
in deed recorded in Reel 7823 at Image 2400, having a radius
of 307.74 feet and a central angle of 32°01'00" (tangent to
said curve at last mentioned point is last described course) an
arc distance of 171.96 feet to a point, and North 55°22'46"
East, also continuing along last said southerly line, 447.73
feet to a point in the southerly line of Oyster Point Boule-
vard, as recorded in Volume 4801 at Page 251, Records of San
