REDEVELOPMENT AGENCY OF THE CITY OF SOUTH SAN FRANCISCO
A RESOLUTION AUTHORIZING EXECUTION OF AN
AGREEMENT WITH GEORGE S. NOLTE & ASSOCIATES
FOR PROFESSIONAL SERVICES RELATED TO OYSTER
PT. BLVD./HWY. 101 GRADE SEPARATION
WHEREAS, in accordance with the provisions of the Community Redevelop-
ment Law (Part 1, commencing with Section 33000 of Division 24 of the Health
and Safety Code of the State of California) the City Council of the City of
South San Francisco being legislative body of the City of South San Francisco,
by Ordinance adopted December 17, 1979, declared that there is a need for the
Redevelopment Agency of the City of South San Francisco to function in the
City of South San Francisco and declared the City Council itself to be the
Redevelopment Agency; and
WHEREAS, the Agency has determined that it will be necessary to employ
engineering consultants for a feasibility study of required or possible modifi-
cations to improve the Grade Separation at Oyster Pt. Blvd./Hwy 101 within the
redevelopment area; and
WHEREAS, the Agency has reviewed an agreement among said Agency, the
City of South San Francisco and George S. Nolte & Associates, which provides
for said services.
NOW, THEREFORE, BE IT RESOLVED by the Redevelopment Agency of the City
of South San Francisco as follows:
1. That the firm of George S. Nolte & Associates, be and is hereby
retained to act as engineering consultants to the Redevelopment Agency in con-
nection with the proposed Oyster Pt. Blvd./Hwy 101 Grade Separation Feasibility
Study subject to the terms and conditions of the agreement attached hereto_as
Exhibit "1."
2. Execution of ~he aforementioned agreement among this agency, the
City of South San Francisco, and George S. Nolte & Associates providing for
professional services is hereby authorized.
3. The Executive Director is authorized to execute said agreement on
behalf of the Agency.
PASSED AND ADOPTED at a regular meeting of the Redevelopment Agency of
the City of South San Francisco on this 4th day of November , 1981.

AGREEMENT
-- This Agreement, entered into on , 1981, is by and
between the Redevelopment Agency of the City of South San Francisco,
hereinafter called AGENCY, and GEORGE S. NOLTE & ASSOCIATES, a
California corporation, hereinafter called CONSULTANT.
It is mutually agreed by AGENCY and CONSULTANT as follows:
SECTION 1. GENERAL
This Agreement pertains to engineering services to perform a
feasibility study for a grade separation of Oyster Point Boulevard
over the railroad tracks of the Southern Pacific Transportation
Company and Highway 101 in the City; and for required or possible
modifications to other existing facilities in the vicinity, includ-
ing streets, ramps, utilities, related surface and subsurface
structures, landscaping and other miscellaneous improvements.
SECTION 2. SCOPE OF WORK
The services which the CONSULTANT agrees to perform in the above
phases of the project are described in the Scope of Services,
attached hereto as "Exhibit A."
SECTION 3.. TIME OF PERFORMANCE
CONSULTANT shall begin work following execution of this Agreement
upon written notice by AGENCY to proceed. ~CONSULTANT agrees to
'complete Scope of Work within six months(excluding review time by
other agencies) from notice to proceed, except that CONSULTANT
will not be held responsible for delay caused by others or extenua-
ting circumstances beyond control of CONSULTANT.
SECTION 4. COMPENSATION
In consideration for services described in Exhibit A, the AGENCY
agrees to pay the CONSULTANT on a time and expense basis with a
maximum limit. CONSULTANT shall perform all of the services
described in "Exhibit A" for a sum not to exceed $68,000, same to
be computed as hereinafter set forth. Labor charges will be ac-
cording to CONSULTANT'S current standard charge rates for San Jose
Office personnel. Charge rates include compensation for direct
labor, indirect labor overhead, general and administrative over'-
head, and profit. A list of rates, effective 3uly 19, 1981, for
classifications of staff, is attached as "Exhibit B." Direct
expenses for in-house services of word processing and computer
use will be charged at direct cost. Direct expenses for outside
services such as printing, travel, equipment rental~ subcontracts,
and special services will be charged at direct cost, plus 25
percent. .Mileage will be charged at $.20 per mile.
The ~harge rates aha [ne maximum fee for any work remaining which
bas been authorized and, due to delay caused by AGENCY, cannot
reasonably be completed prior to July t, 1982 shall be subject to
renegotiation. The maximum increase in compensation shall be
based upon the current consumer price index, but in any event
sball not exceed 11% per year for services covered by this Agreement.
SECTION 5. PAYMENT
The CONSULTANT shall submit invoices every four weeks for services
performed and expenses incurred, and AGENCY shall make payments to
CONSULTANT based upon said invoices, contingent upon approval by
AGENCY as to performance of the wo'rk, and within 30 days of
submittal.
SECTION 6. OWNERSHIP OF MATERIAL
The AGENCY shall have full and complete access to the CONSULTANT'S
design calculations, drawings, specifications, and other documents
during progress of'the work; and the study reports, surveys, reports
of investigations, and design drawings prepared by the CONSULTANT
shall become the property of the AGENCY at the completion of the
project.
SECTION 7. DUTIES OF AGENCY
The AGENCY agrees to make available to. the CONSULTANT all previous
reports and studies pertaining to the project and all plans, reports,
records, and data pertaining to the street improvements and utility
systems owned by the AGENCY within.the .vicinity of the work.
Whenever any item of services set forth herein is submitted to
AGENCY for. approval, AGENCY shall review the item and, if satis-
factory, shall approve the same. If unsatisfactory, AGENCY shall
inform CONSULTANT in writing of the changes or revisions necessary
to acquire AGENCY'S approval.
SECTION 8. INSURANCE
The CONSULTANT agrees to provide and maintain the following
insurance:
1. Worker's Compensation, with Employer's Liability limits
not less than $1,000,000 each accident,
2. Comprehensive General Liability Insurance, with limits
not less than $1,000,000 each occurrence, Combined Single
Limit Bodily Injury and Property Damage, including
Contractural Liability and Completed Operations coverages.
The AGENCY, its elected and appointed boards, officers,
agents and employees are named as .additional insured for
all liabilities arising out of the operations by or on
behalf of the named insured.
3. Comprehensive AutOmobile Liability Im~nce, with
limits not less than $1,000,000 each occurrence, Combined
Single Limit Bodily Injury and Property Damage, including
Employer's non-ownership liability and hired auto
coverage.
4. Professional Liability Insurance in connection with the
services performed hereunder, with limits of liability
not less than $1,000,000 each claim with a deductible of
not greater than $50,000.
SECTION 9. ADD'ITIONAL SERVICES
CONSULTANT may perform additional services, or special services
related to the project, other than those shown in the attached
Scope of Services, if requested by the AGENCY. CONSULTANT shall
not proceed with performance of such services without written
notice to proceed. Compensation for any such additional or
special services~will be on a time and expense basis according to
the standard charge rates for labor and expenses as shown on
"Exhibit B".
SECTION 10 TERMINATION
The AGENCY may terminate this Agreement upon 10 days written
notice to the CONSULTANT in.the event of substantial failure by
the CONSULTANT to perform in accordance with the terms of this
Agreement through no fault of the AGENCY. In the event of termi-
nation,~ the CONSULTANT shall deliver to the AGENCY all work
products completed to date, and shall b~e paid by the AGENCY for
all services performed to date in-accOrdance with the terms of the
Agreement.
IN WITNESS WHEREOF, duly authorized representatives of the AGENCY
and the CONSULTANT have signed in confirmatin of this Agreement,
as follows:

SCOPE OF SERVICES

GRADE SEPARATION FEASIBILITY STUDY
REDEVELOPMENT AGENCY OF THE CITY OF SOUTH SAN FRANCISCO
SCOPE OF SERVICES
A. Collect and review available information about the Project,
such as, but not limited to:
1. Record drawings of existing streets and highways,
2. Plans of existing and future railroad tracks,
3. Available soils information,
4. Existing topographic and survey information,
5. Available traffic analysis and reports,
6. Existing drainage, sewer and utility plans,
7. Redevelopment plans and EIR,
8. Other pertinent studies and reports,
9. Design criteria and standards of other agencies.
B. Determine project design criteria.
1. Define project goals and objectives.
2. Establish geometric and operational criteria.
3. Prepare traffic projections for a single best estimate of
anticipated use of undeveloped or potential redevelop-
ment properties which will be directly served by the
Oyster Point project and add these projections to the
available Gateway EIR projections to obtain a projected
ultimate traffic volume upon which to base project design.
C. Prepare preliminary conceptual plans of various alternatives.
1. Review previous designs.
2. Prepare conceptual plans and profiles (minimum of four,
maximum of eight) considering the following items:
a. grade separation of Oyster Point Boulevard and SPTC
tracks,
b. new Oyster Point Boulevard overcrossing of
Highway 101,
c. alignment of ~mprovements to connect to future
extension of Hillside Boulevard,
d. retention or removal of existing Oyster Point
Boulevard overcrossing,
e. effect of northbound on-ramp at Grand Avenue on
Oyster Point Boulevard ramps.
f. treatment of existing connection of Oyster Point
Boulevard with Dubuque Avenue,
g. improvement to the northbound on-ramp and off-
ramp from Oyster Point Boulevard to Highway 101,
including ~mpact to existing truck scale,
h. possible improvements to the southbound on-ramp
from Linden Avenue to Highway 101 and the south-
bound off-ramp onto South Airport Boulevard or
Oyster Point Boulevard from Highway 101.
3. Submit conceptual plans for review by.-
. a. City (staff, Planning Commission, Redevelopment
Agency and City Council) of South San Francisco,
b. California Department of Transportation (Caltrans)
c. Southern Pacific Transportation Company,
d. County of San Mateo,
e. Other interested parties.
D. Coordinate the review of conceptual plans by affected agencies
and parties.
1. Arrange meetings with parties who received .conceptual
plans.
2. Discuss concepts in order to determine advantages and
disadvantages to affected parties.
E. Recommend three best alternatives to the Agency for selection.
Refine and analyze said alternates.
1. Prepare layout of best alternatives taking into
account review of affected agencies and parties.
2. Prepare plans showing sections, elevations, construction
materials and other pertinent information.
3. Evaluate construction staging.
4. Consider impacts upon drainage and utility systems.
5. Estimate probable construction, right-of-way and total
project costs.
F. Evaluate ~advantages and disadvantages of alternatives.
Consideration will be given to:
1. Operation and maintenance,
2. Cost implications,
3. Construction staging,
4. Environmental sensitivities,
5. Conditions unique to each alternative,
6. Other impacts,
G. Prepare Nomination to the PUC for State Grade Separation
Funding based on the best information available at the time.
1. Collect railroad and automobile traffic and speed
data.
2. Pursue possible special condition factor points
with PUC staff.
3.Determine estimate of costs applicable to State
Grade Separation funding.
4. Submit nomination.
H. Analyze other potential funding sources.
1. Existing or expanded redevelopment area.
2. Possible zones of benefit and approximate costs
for assessment district.
3. State or Federal grant funding (in addition to
PUC Grade Separation Fund).
I. Prepare study report recommending a final alternative.
1. Present and discuss final recommendation with
affected agencies and parties.
2. Summarize study in a bound report (50 copies) which
includes a project description, goals and objectives,
design criteria, funding considerations, alternative
plans, cost estimates, discussion of advantages and
disadvantages and a architectural rendering of the
recommended alternative.
J. Assist or represent the City as necessary at the PUC Grade
Separation Hearings.
H. Prepare and submit monthly reports of project progress.
EXCLUSIONS
A. Geotechnical investigations or recommendations are excluded
from this Scope of Services.

Charges for personnel engaged in professional and/or technical work are
made for the actual hours directly chargeable to the project.
