AN ORDINANCE OF THE CITY OF SOUTH SAN FRANCISCO ADDING
CHAPTER 20.40, THE "GENENTECH RESEARCH AND DEVELOPMENT OVERLAY
DISTRICT" TO THE SOUTH SAN FRANCISCO MUNICIPAL CODE AND
APPROVING AN AMENDMENT TO THE ZONING MAP OF THE CITY OF SOUTH
SAN _~RANCISCO RECLASSIFYING CERTAIN GENENTECH PROPERTIES FROM
PLANNED INDUSTRIAL (P-I) TO PLANNED INDUSTRIAL/RESEARCH AND
DEVELOPMENT (P-I/GR&D)
RECITALS
WHEREAS, applications for: (1) an amendment to the
zoning ordinance of the City of SoUth San Francisco (the "Zoning
Ordinance") adding Chapter 20.39, the "Research and Development" or
"R&D" Overlay District, (2) an amendment of the to the Zoning
Ordinance adding Chapter 20.40, the Genentech "Research and
Development" or "R&D" Overlay District and (3) an amendment of the
zoning map of the City of South San Francisco (the "Zoning Map")
from Plarned Industrial ~P-I) to Planned Industrial/Research and
Development Overlay District (P-I/GR&D) for certain Genentech
properties (such properties are more particularly described in
Exhibit A and Exhibit B attached hereto), were submitted to the
City. Tke amendments to the Zoning Ordinance and the Zoning Map
are sometimes referred to together herein as the "Project"; and
WHEREAS, an environmental initial study ("Initial Study")
which considered the potential environmental impacts of the Project
was processed and reviewed in accordance with the California
Environmental Quality Act. The Initial Study determined that the
Project would not have any potentially significant impacts on the
environment; and
WHEREAS, based upon the Initial Study and other
information including, but not limited to, the East of 101 Area
Plan Environmental Impact Report ("Area Plan EIR"), a Negative
Declaration was prepared for the Project pursuant to Pub. Res. Code
Section 21080(c)(2) and was made available for public review
pursuant to Pub. Res. Code Sections 21091 et seq.; and
WHEREAS, on January 19, 1995, the Planning Commission of
the City of South San Francisco ("Planning Commission") held a
duly-noticed public hearing on the proposed Negative Declaration
and the Project; and
WHEREAS, by separate resolutions the Planning Commission
has recommended to the City Council of the City of South San
Francisco ("City Council") adoption of the Negative Declaration and
approval of the proposed ordinances adding Chapter 20.39 and 20.40
to the South San Francisco Municipal Code and amending the South
San Francisco Zoning Map;
CENTRAl. RECORD~
WHEREAS, the City Council hereby finds that pursuant to
Section 20.39.040 of the Zoning Ordinance, Genentech has submitted:
(1) an application for reclassification, (2) a Genentech Corporate
Facility Master Plan (the "Genentech Facility Master Plan")
covering the properties for which the reclassification is
requested, and (3) appropriate documentation of the following
regarding the now-existing condition of each parcel to be
reclassified: (a) lot area; (b) building height; (c) building
setbacks; (d) building floor area; (e) lot coverage;
(f) landscaping area; (g) parking spaces; (h) off-street loading
areas; and (i) growth and development projections pursuant to
Section 20.39.040(b)(3). (Genentech was not required to provide
information regarding land uses because the Chief Planner has
determined that this information does not relate to the standards
to be modified in the reclassification.)
WHEREAS, no conditions of approval in any pre-existing
discretionary permits or approvals were identified that would be
superseded by the reclassification of the Genentech properties
affected by this ordinance;
WHEREAS, pursuant to Section 20.39.040(b) (4) of the
Zoning Ordinance, the Planning Commission has reviewed the
Genenteck Facility Master Plan. Based upon the General Plan, the
East of 101 Area Plan, the Genentech Facility Master Plan, the
Negative Declaration, and the entire record before the Planning
Commission, the Planning Commission found that:
(a) Genentech has prepared and submitted a Facility
Master Plan that is consistent with and fulfills the purposes of
the East of 101 Area Plan (General Plan); and
(b) The Genentech Facility Master Plan includes a
description of the facility, design guidelines, growth and
development projections for building square footage, and
documentation to justify the use of facility-wide development
standards; and
(c) Sufficient roadway, intersection and
infrastructure capacity exists or with implementation of mitigation
measures will exist, as evidenced in the Genentech Facility Master
Plan and analyzed in the Initial Study and the Area Plan EIR,
subject to establishing future adequate sewer facilities and
capacity, to accommodate facility development pursuant to the
Genenteck Facility Master Plan; and
(d) Based upon the information discussed above, the
proposed modifications to the standards and regulations of the
underlyirg zoning are justified.

WHEREAS, pursuant to Section 20.39.050 of the South San
Francisco Municipal Code and consistent with Area Plan policies
LU-16, LU-17 and CIR-16, it is appropriate and desirable that the
city adopt the facility-wide development standards for the
Genentech properties to be reclassified.
WHEREAS, pursuant to Section 20.39.040 of the South San
Francisco Municipal Code, the applicant has provided documentation
in the form of Exhibit C attached hereto, for each parcel to be
reclassified, of each lot's now-existing condition. If any lot is
removed from the Genentech R&D Overlay District, such lot shall
conform with the existing conditions as documented for such lot in
Exhibit C, except that the City may determine not to require
demolition or other elimination of physical improvements to a lot
in connection with its removal from the Genentech R&D Overlay
District.
NOW, THEREFORE, the City Council of the City of South San
Francisco does hereby ordain as follows:
SECTION 1. That the South San Francisco Zoning Map is
amended by reclassifying from Planned Industrial (P-I) to
Planned/Industrial/Research and Development Overlay District (P-
I/GR&D) that real property indicated on Exhibit A and more
particularly described in Exhibit B attached hereto; and
SECTION Z. Chapter 20.40 is hereby added to the South San
Francisco Municipal Code to read as follows:

20.40.010 Short Title. This chapter may be referred to as the
Genentech R&D Overlay District Regulations. This district may be
referred to as the Genentech R&D Overlay District.
20.40.020 Purpose. This Chapter establishes the Genentech Research
and Development Overlay District ("Genentech R&D Overlay District")
and prescribes planning and design principles for facility-wide
development in accordance with the Genentech Facility Master Plan

as defined in section 20.40.030. In addition to the general
provisions described in Sections 20.04.030 and 20.39.020, the
specific purposes of the Genentech R&D Overlay District are as
follows:
(a)
To establish a facility-wide architectural character, a system
of open space elements and a pedestrian and vehicular
circulation plan linking buildings and uses together in a
flexible, logical and orderly manner for the Genentech
Facility.
(b)
To increase the flexibility of the City's land use regulations
and the speed of its review procedures to reflect the quickly
changing needs of a research and development focused
corporation.
(c)
To establish facility-wide development standards and design
guidelines consistent with the City's General Plan and the
East of 101 Area Plan.
(u)
To define a baseline of existing conditions for each lot
reclassified to the Genentech R&D Overlay District.
20.40.030 Definitions
(a)
Genentech Facility. Ail lots of record and their structures
owned or leased by Genentech and reclassified such that the
uniform regulations and requirements covered by the Genentech
R&D Overlay District apply.
(b)
Genentech Facility Master Plan. The long-range plan for
guidance for the growth and development of the Genentech
Facility which was submitted to and reviewed by the Planning
Commission and City Council in accordance with Section
20.39.040(b)(4) as part of the application for
reclassification of the Genentech properties to the Genentech
R&D Overlay District.
20.40.040 Overl&y District Designation
(a)
~pplication. The Genentech R&D Overlay District is established
consisting of all lands so reclassified on the Zoning Map of
the City of South San Francisco to P-I/GR&D.
(b)
Reclassification. Additional reclassification to and/or
removal of lots from the Genentech R&D Overlay District may be
considered pursuant to the provisions of Chapter 20.39 and
20.87.
20.40.050 Permit Review. Development review of projects within the
Genentech R&D Overlay District shall be in accordance with all
applicable provisions of this title, including Chapter 20.39.

20.40.060 Design Review. Design review of projects within the
Genentech R&D Overlay District shall be in accordance with the
provisions of this title, including Chapter 20.39 and any facility
design guidelines adopted by the Planning Commission pursuant to
Chapter 20.39.040(c).
20.40.070 Development Standards and Requi~ements. Development
standards and requirements are established in accordance with
Chapter 20.39. Projects shall comply with the development standards
and requirements set forth in the underlying zoning district, and
conditions of prior City approvals as provided in Chapter 20.39,
except for the following:
(a)
Application of Development Standards and Requirements.
Development standards to be applied on a facility-wide basis
to the Genentech R&D Overlay District include the following:
1. Lot Coverage.
2. Floor Area Ratio.
3. Off-Street Parking and Loading Requirements.
4. Building Height.
5. Landscape Buffering.
6. Growth and Development Projections.
(b)
Lot Coverage. The maximum lot coverage is established as 60%
of the total area of the lots within the Genentech R&D Overlay
District.
(c)
Floor Area Ratio. The maximum Floor Area Ratio (FAR) is
established as 1.0 of the total area of the lots within the
Genentech R&D Overlay District.
(d)
Off-Street Parking Requirements. Off-street parking
requirements are established within the Genentech R & D
Overlay District at a rate of 1.5 parking spaces per 1,000
square feet of gross floor area for all buildings with the
exception of new or retrofitted office buildings, as defined
herein. Office buildings are defined as having 50% or greater
floor area devoted to administrative uses. For office
buildings meeting this definition, a rate of 2.5 parking
spaces per 1,000 square feet of gross floor area shall apply.
The City shall review these ratios every five years to
determine whether they continue to adequately reflect parking
needs at the Genentech Facility. All sub-areas shall provide
a minimum of 75% of the required parking spaces for the
associated use on the project site. A maximum of 25% of the
parking spaces may be situated in common parking facilities.
(e)
Off-Street Loading Requirements. Off-street loading
requirements are established at a rate of one loading space
per 100,000 square feet of gross floor area for all buildings
within the Genentech R&D Overlay District.

(f)
Building Height. The maximum building height is established at
65 feet above the average finished grade as measured on the
perimeter of the subject building within the Genentech R&D
Overlay District.
(g)
Parking Lot Landscape Buffering. A landscaped parking lot
buffer strip not less than six feet wide shall be required
only for properties within the Genentech R&D Overlay District
that are located along a public street frontage or adjacent to
properties not within the Genentech R&D Overlay District.
(h)
Growth and Development Projections. Consistent with the
projections analyzed in the Environmental Impact Report for
the East of 101 Area Plan, development for the Genentech
Facility shall be limited to the following through the year
2010:
4,500 employees.
Total gross floor area of 2,600,000 gross square feet
(based on an FAR of 1.0).
Vehicle trip generation of 2,025 vehicle trips in the AM
Peak Hour and 1,440 vehicle trips in the PM Peak Hour.
Sewage generation of 0.556 million gallons per day.
Water demand of 0.576 million gallons per day.
These figures are the maximum development currently possible
for the Genentech Facility through the year 2010, and any such
development is subject to obtaining the required development
per~its and approvals and the existence of adequate
infrastructure capacity. Any greater level of development
would require, at a minimum, additional area-wide
environmental review, an amendment to the East of 101 Area
Plan, and an amendment to the zoning ordinance.
20.40.080 Annual Development Review. Development activity shall be
reviewed at least once a year by the Planning Commission. Genentech
shall submit an Annual Report as provided by Section 20.39.080.
20.40.09( Transportation System Management, Genentech shall
continue to comply with the City Transportation System Management
(TSM) ordinance, Chapter 18.04 of the Municipal Code, and any
revisions thereto, and will provide a status update on its
compliance with the TSM ordinance as part of the Annual Report
provided for in Section 20.39.080.

20.40.100 Fees.
(a)
Contributions to the Oyster Point Interchange. Genentech
shall continue to contribute to the Oyster Point Interchange,
in accordance with the existing requirements of the Oyster
Point Contribution Formula, established by Resolution 71-84.
These requirements shall apply to all discretionary land use
approvals, including minor use permits and use permits issued
pursuant to Chapter 20.39, and approvals pursuant to
administrative review under Chapter 20.39.060(b) where
additional vehicle trips will be generated.
(b)
Contributions to the Capital Improvement Program. Genentech
shall continue to contribute its fair share toward the costs
of capital improvement projects that support Genentech's
development activity, in accordance with the financing
policies established in the East of 101 Area Plan.
SECTION
SEVERABILITY.
In the event any section or portion of this ordinance shall be
determined invalid or unconstitutional, such section or portion
shall be deemed severable and all other sections or portions hereof
shall renain in full force and effect.
SECTION 4i
PUBLICATION AND EFFECTIVE DATE.
This ordinance shall be published once, with the names of
those City Councilmembers voting for or against it, in the
Enterprise Journal, a newspaper of general circulation in the City
of South San Francisco, as required by law, and shall become
effective thirty (30) days from and after its adoption.

FOR GOOD AND VALUABLE CONSIDERATION, receipt of which is hereby acknowledged,
SOUTHERN PACIFIC TRANSPORTATION COMPANY, a Delaware corporation, ("Grantor"),
does hereby GRANT to GENENTECM, INC., a Delaware corporation, ("Grantee"), that
certain real prooerty situated in the City of South San Francisco, County of San
Mateo, State of California, and more particularly described in the Exhibit "A"
attached and hereby made a part hereof, {the "Property").
Grantor excepts from the Property and reserves unto itself, its successors and
assigns, all mirerals and mineral rights, interests, and royalties, including,
without limiting, the generality thereof, oil, gas and other hydrocarbon
substances, as well as metallic or other solid minerals, in and under the
Property; however, Grantor or its successors and assigns, shall not have the
right for any pLrpose whatsoever to enter upon, into or through the surface of
the Property in connection therewith.
Grentee acknowledges that Grantor is operating (and will continue to operate) a
railroad upon its adjoini , property, and recognizes that such operation may
create some noises and vibrations affecting the Property. Grantee accepts the
Property subject to sucL noises and vibrations, and hereby covenants to release
Grantor from all liability, cost and expense resulting therefrom. This covenant
shall run with t~e Property, and shall be biqding upon the successors and assigns
of Grantee.
This Grant is ~ade without covenants or warranties of any kind, except as to
title. Grantee, by signing below, expressly acknowledges that Grantee is buying
the Property in an "AS IS" condition and that Grantee has relied upon its own
independent investigation of the physical condition of the Property. Grantee
hereby releases Grantor and Grantor's shareholders, officers, directors, agents
and employees from all responsibility and liability regarding the condition
{including, but not limited to, the physical condition or presence of hazardous
materials), valJation or utility of the Property.
This Grant is made subject to all covenants, conditions, restrictions,
exceptions, easements, rights-of-way, rights-of-access, agreements, reservations,
encumbrances, liens and other matters as the s~m~ may be of record; any matters
