REDEVELOPMENT AGENCY OF THE CITY OF SOUTH SAN FRANCISCO,
STATE OF CALIFORNIA
A RESOLUTION AUTHORIZING THE EXECUTION OF AN
EXCLUSIVE NEGOTIATING AGREEMENT BETWEEN THE
REDEVELOPMENT' AGENCY AND REPUBLIC URBAN
PROPERTIES, LLC AND MARCHETTI PACIFIC
CORPORATION TO DEVELOP AGENCY-OWNED
PROPERTY AT 201 BADEN AVENUE IN THE DOWNTOWN
REDEVELOPMENT' PROJECT AREA.
WHEREAS, the Redevelopment Agency of the City of South San Francisco ("Agency")
is a redevelopment agency existing pursuant to the Community Redevelopment Law, California
Health and Safety Code Section 33000, et seq. (the "CRL"), and pursuant to the authority
granted thereunder, has the responsibility to carry out the Redevelopment Plan ("Redevelopment
Plan") for the Downtown/Central Redevelopment Project Area ("Project Area"); and
WHEREAS, the Agency seeps development of the Agency-owned property located in the
Project Area at 201 Baden Avenue known as the South San Francisco Firehouse Property (the
"Property"); and
WHEREAS, Republic Urban Properties, LLC and Marchetti Pacific Corporation (the
"Development Team.") have proposed development of the Property as a
residential/commercial/mixed use project; and
WHEREAS, Agency staff have negotiated an Exclusive Negotiating Rights .Agreement
(the "Agreement") with the Development Team which provides that the Development Team
would have the exclusive right during a 12 month period to negotiate the terms and conditions of
a Disposition and Development Agreement that, if approved by the Agency Board, would govern
the conveyance and future development of the Property.
NOW THEREFORE, BE IT RESOLVED, that the Redevelopment Agency of the City of
South San Francisco hereby:
Section 1. Finds that the execution of an Exclusive Negotiating Rights Agreement with
the Development Team will further the implementation of the Redevelopment Plan and is in the
best interests of the Agency and the City of South San Francisco.
Section 2. Authorizes and directs the Executive Director of the Agency to execute an
Exclusive Negotiating Rights Agreement substantially in the form presented to the Agency
Board.
Section 3. Directs staff to pursue negotiations with the Development Team regarding the
terms and conditions of a Disposition and Development Agreement that if approved by the
Agency Board, would govern conveyance and development of the Property.

the Redevelopment Agency of the City of South San Francisco at a regular meeting held on
