RESOLUTION NO. 17-2008
REDEVELOPMENT AGENCY, CITY OF SOUTH SAN FRANCISCO,
STATE OF CALIFORNIA
A RESOLUTION APPROVING THE LEASE OF
REDEVELOPMENT AGENCY PROPERTY LOCATED AT
ONE CHESTNUT AVENUE TO GREEN BUILDING
EXCHANGE, AND AUTHORIZING EXECUTION OF A
LEASE AGREEMENT
WHEREAS, the Redeveloplnent Agency of the City of South San Francisco ("Agency")
is a redeveloPlnent agency existing pursuant to the Comlnunity Redeveloplnent Law, Califon1ia
Health and Safety Code Section 33000, et seq. (the "CRL"), and pursuant to the authority
granted thereunder, has the responsibility to carry out the Redeveloplnent Plan ("Redevelopll1ent
Plan") for the South San Francisco EI Can1ino Corridor Area Project ("Project Area ");
WHEREAS, the Agency has heretofore adopted an In1plen1entation Plan for the
redeveloPlnent of the Project Area (the "l111plementation Plan");
WHEREAS, the Agency is the owner of the Propeliy located in the Project Area at 1
Chestnut Avenue which is improved with a one-story building and a paved parking lot (the
"Property") ;
WHEREAS, Green Building Exchange, a Califon1ia corporation ("Tenant") desires to
lease the Propeliy from the Agency to operate a "green technology" dealership and business
incubator therein;
WHEREAS, the Agency and Tenant have negotiated the tenns and conditions of a Lease
Agreelnent (the "Lease") which is on file with the Agency Secretary;
WHEREAS, the lease of the Property pursuant to the Lease is consistent with the
Redevelopll1ent Plan and the Ilnplelnentation Plan, will be of benefit to the Project Area, and will
be consistent with and further the goals of the Community Redevelopment Law and the
Redevelopn1ent Plan by assisting in the elitl1ination of blight, increasing elnployt11ent
opportunities in the Project Area, and providing services to residents of the City and the Project
Area;
WHEREAS, CRL Sections 33430 and 33431 provide that a redevelopment agency n1ay
lease real property for a period not to exceed 99 years, and may do so without public bidding
provided the agency holds a public hearing following publication of notice; and
WHEREAS, the Agency has caused notice to be published and has conducted a public
hearing in accordance with all legal requirements.
NOW, THEREFORE, BE IT RESOLVED by the Redevelopn1ent Agency of the City of
South San Francisco that it hereby:
1. Finds that lease of the Propeliy to Green Building Exchange pursuant to the ten11S of the
Lease will benefit the Project Area by providing increased elnploytnent and business
oppoliunities in the Project Area, and providing services to residents of the City and the Project
Area.
2. Approves the Lease, and authorizcs the Executive Director of the Agency (or his
designee) to: (i) execute the Lease substantially in the form on file \vith the Agency Secretary;
(ii) subject to the approval of Agency Counsel, to Inake revisions to the Lease which do not
Inaterially or substantially increase the Agency's obligations thereunder; and (iii) to sign all
docun1ents and take all actions necessary or appropriate to carry out and ilnplen1ent the intent of
this Resolution.

I hereby certify that the foregoing Resolution was regularly introduced and adopted by
the Redevelopn1ent Agency of the City of South San Francisco at a special meeting held on the
23rd day of July 2008 by the following vote:
