CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA
A RESOLUTION APPROVING AMENDMENT NO. 2 TO THE
EMPLOYMENT AGREEMENT BETWEEN MICHAEL A. WILSON
AND THE CITY OF SOUTH SAN FRANCISCO DATED
DECEMBER 14, 1994
WHEREAS, on December 14, 1994, the City of South San Francisco
and Michael A. Wilson entered into an Employment Agreement related
to the positions of City Manager, and Redevelopment Agency
Executive Director; and
WHEREAS, said Employment Agreement was revised by Amendment
No. 1, approved by the City Council on December 13, 1995; and
WHEREAS, said Amendment No. 1 did not modify the compensation
package provided Mr. Wilson; and
WHEREAS, the parties hereto desire to amend Section 5(B) of
the Employment Agreement related to administrative leave.
WHEREAS, the parties hereto desire to formally ratify Mr.
Wilson's entitlement to the 2% signing bonus provided to other
members of thE Executive Management Group.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City
of South San Francisco that Amendment No. 2 to the Employment
agreement between Michael A. Wilson and the City of South San
Francisco dated December 14, 1994 is hereby approved.
I hereby certify that the foregoing Resolution was regularly
introduced and adopted by the City Council of the City of South San
Francisco at a regular meeting held on the 22nd day of May ,
1996 by the following vote:

AMENDMENT NO. 2 TO THE EMPLOYMENT AGREEMENT
BETWEEN MICHAEL A. WILSON
AND THE CITY OF SOUTH SAN FRANCISCO
DATED DECEMBER 14, 1994
WHEREAS, on December 14, 1994, the City of South San Francisco and
Michael A. Wilson entered into an Employment Agreement related to the positions
of City Manager, and Redevelopment Agency Executive Director; and
WHEREAS, said Employment Agreement was revised by Amendment No. 1,
approved by the City Council on December 13, 1995; and
WHEREAS, said Amendment No. 1 did not modify the compensation package
provided Mr. Wilson; and
WHEREAS, the parties hereto desire to amend Section 5(B) of the
Employment Agreement related to administrative leave; and
WHEREAS, the parties hereto desire to formally ratify Mr. Wilson's
entitlement to the 2% percent signing bonus provided to other members of the
Executive Management Group,
NOW, THEREFORE, the parties hereto agree as follows:

Section 5(B) of said Employment Agreement is hereby amended to read
"B. WILSON shall be entitled to and shall receive all
employment benefits enjoyed by the CITY's Executive
Management Group including, but not limited to, such
benefits as holidays, retirement, worker's compensation,
sick leave, administrative leave, health, life and other
insurance coverage. With regard to administrative leave,
WILSON shall be entitled to receive 80 hours of
administrative leave per year. WILSON shall be allowed to
redeem, for cash value, up to %0 hours of
administrative leave per year."

Section 3(A)(3) is hereby added to the Employment Agreement to read
(S) WILSON shall be entitled to a one-time signing
bonus equal to 2% of the base salary set forth in Section
3 (A) of the Employment Agreement between the City of
South San Francisco and WILSON. This bonus shall be
payable in June, 1996."
3. Section 4(A) is hereby amended to read as follows:
WILSON shall be covered by the retirement program (i.e. Public
Employees" Retirement System- P.E.R.S.) by which all other
"miscellaneous employees" of the CITY are covered. The P.E.R.S.
coverage shall be the "2% at Age 55 plan."
4. Ail other terms of the December 14, 1994 Employment Agreement shall
remain in full force and effect.
