Box 711 (City Hall, 400 Grand Avenue) South San Francisco, CA File Number: 25-552 Enactment Number: RES 127-2025 RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN AMENDMENT TO A CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF SOUTH SAN FRANCISCO AND KITCHELL CEM, OF SAN FRANCISCO, CALIFORNIA FOR PROJECT MANAGEMENT SERVICES FOR THE WESTBOROUGH PRESCHOOL PROJECT IN AN AMOUNT OF $753,687, FOR A TOTAL CONTRACT AMOUNT NOT TO EXCEED $1,149,185. WHEREAS, Westborough Preschool is a state -licensed preschool located at Westborough Park; and WHEREAS, the Westborough Preschool project is included in the City of South San Francisco's Fiscal Year 2021-22 Capital Improvement Program (Project No. pf2101); and WHEREAS, the City approved an award of contract for Consulting Services to KITCHELL CEM (Consultant) on April 26, 2023; and WHEREAS, Consultant has performed satisfactorily on the project and has provided deliverables and services as outlined in Agreement; and WHEREAS, the scope of the project has changed and increased in complexity in ways consistent with an increase in architectural and engineering planning and design work. NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of South San Francisco hereby approves an amendment to a consulting services agreement with Kitchell CEM of San Francisco, California for a total contract amount not to exceed $1,149,185, conditioned on the consultant's timely execution of the consulting services agreement and submission of all required documents, including, but not limited to, certificates of insurance and endorsements, in accordance with the Project documents. BE IT FURTHER RESOLVED that the City Manager is hereby authorized to execute the amendment to the agreement and to execute any other related documents on behalf of the City upon timely submission by Kitchell CEM a signed contract and all other necessary documents, subject to approval as to form by the City Attorney. BE IT FURTHER RESOLVED that the City Manager is hereby authorized to take any other required actions consistent with the intent of this resolution, that do not materially increase the City's obligations. At a meeting of the City Council on 8/27/2025, a motion was made by Councilmember Nagales, seconded by Councilmember Nicolas, that this Resolution be approved. The motion passed.
