HomeMy WebLinkAboutReso RDA 1-1980 RESOLUTION NO. 1 ~ESOLUTION OF THE REDEVELOPMENT AGENCY ~F THE CITY OF SOUTH SAN FRANCISCO APPROVING AND ADOPTING BY-LAWS OF THE AGENCY WHEREAS, in accordance with the provision of the Community Redevelopment Law (Part 1, commencing with Section 33,000, of Division 24 of the Health and Safety Code of the State of California) the City Council being the legislative body of the City of South San Francisco, by Ordinance adopted December 19 ,19 79 declared that there is a need for the Redevelopment Agency of the City of South San Francisco to function and declared itself to be the Redevelopment Agency; and WHEREAS, the Agency has determined and the law so provides and that it is in the best interests of the Agency to provide for the adoption of the By-Laws for the Agency; NOW, THEREFORE IT IS HEREBY RESOLVED as follows: 1. The By-Laws entitled , attached hereto and incorporated herein by reference as though fully set forth are approved and adopted. Acosta C-hairma~edevelopment Agency of the C~ of South San FrancisccL/ ATTEST: BY-LAWS REDEVELOPMENT AGENCY OF THE CITY OF SOUTH SAN FRANCISCO ARTICLE I Name, Organization and Purpose, Principal Office, Seal Section 1.01. Name. The name of this Agency is The Redevelopment Agency of the City of South Francisco (hereinafter referred to as the "Agency"). Section 1.02. Organization, Purpose and Use of Funds. The Agency is a public body, corporate and politic organized under the Community Redevelopment Law, (Part 1, commencing with Section 33000, of Division 24 of the Health and Safety Code of the State of California) to provide for and implement redevelopment projects and functionsby and through, inter alia, the eliminatiOn of slum and blighted areas; the improvement of housing; the increasing of em- ployment opportunities; the stabilization of the tax base; and the creation of an adequate social, economic and psychological environment, together with any and all rights, powers, duties, privileges and immunities provided for by the Community Redevelopment Law. Section 1.03. Principal Office. The principal office of the Agency shall be 400 Grand Avenue, City Hall, City of South San Francisco, County of San Mateo, State of California. Section 1.04. Seal. The seal of the Agency shall set forth the name of the Agency. ARTICLE II Members of' the Redevelopment Agency Board Section 2.01. Governing Body, Qualifications, Admission. The governing body of the Agency shall consist of the City Council of the City of South San Francisco in a separate capacity as members of the Redevelopment Agency pursuant to Section 33200 of the Community Redevelopment Law. Section 2.02. Termination of Membership. Subject to the provisions of the Community Redevelopment Law, membership of any member shall cease upon the cessation as a member of the City Council of the City of South Francisco. Section 2.03. Property and Voting Rights. No member shall have any right or interest in any property of the Agency. Each member shall be entitled to one vote. ARTICLE III Meetings of Members Section 3.01. Place of Meeting. Ail meetings of the members shall be held at such place in the City of South San Francisco, County of San Mateo, or elsewhere, as may be -2- designated by the Members of the Redevelopment Agency Board. Section 3.02. Regular Meeting. A regular meeting of members shall be held on the first (lst) and third (3rd) Wednesday of each month one-half hour immediately pre- ceeding the regular City Council meeting in and for the City of South San Francisco for the transaction of such business as may properly come before the meeting. Section 3.03. Special Meetings. Special meetings of members for any purpose may be called at any time by the Chairman, or by any two (2) persons or by a majority of members. Section 3.04. Notice of Meetings. Notice of each meetings of members, whether regular or special, shall specify the date, place and hour of meeting and shall be given to each member by the Secretary at least twenty-four (24) hours prior to the date of meeting by mail or telegram, addressed to such member at his address appearing on the records of the Agency. Notice of any special meeting shall set forth the general purpose of the meeting. Section 3.05. Quorum and Manner of Action. Three (3) members (or a majority of the members if that be less) shall -- constitute a quorum at all regular or special meetings, except as otherwise expressly provided by these By-Laws. In the absence of a quorum, any meeting of members may be adjourned from time to time by vote of a majority of the members present, but no other business may be transacted. The transactions of any meeting of members, whether regular or special, however called and noticed and wherever -3- held, shall be as valid as though had at a meeting duly held after regular call and notice if a quorum be present and if, either before or after the meeting, each of the members not present signs a written waiver of notice or a consent to the holding of such meeting or an approval in writing of the minutes thereof. All such waivers, consents and approvals shall be made a part of the minutes of the meeting. Any action which under any provision of these By-Laws may be taken at a meeting of members may be taken without a meeting if authorized by writing signed by all the members and filed with the Secretary of the Corporation. Section 3.06. Organization Meeting. The first Governing Board may at any time, and each succeeding Board shall, on a yearly basis within ~ days after the regular city elections, hold an organization meeting at which the members shall organize by electing from their number a Chairman and a Vlce-Chlarman. In addition, the Governing Board shall elect a Secretary and may elect such subordinate officers as they may determine, none of whom need be a member of the Governing Board. Each officer shall hold office 'until the election and qualification of his successor or until his death, resignation or removal. Section 3.07. Conduct of Meetings. The Chairman or, in his absence, the Vice Chairman, or, in the absence of the Vice Chairman, a chairman chosen by a majority of the members present, shall preside. -4- Section 3.0~. Compensation of Members. Members shall be entitled to receive compensation for serving as a Member of the Governing Board of the Redevelopment Agency as provided by the Community Redevelopment Law. ARTICLE IV Powers of Board of Directors Section 4.01. General Powers of Governing Board of the Agency. Subject to the express provisions of the Community Redevelopment Law and these By-Laws as to action to be authorized or approved by the Members, all Agency powers shall be exercised by or under the authority of, and the business, property and affairs of the Agency shall be con- trolled by, the Governing Board. ARTICLE V Officers Section 5.01. Number and Qualifications. The officers of the Agency shall be a Chairman, a Vice Chairman and a Secretary and such subordinate officers, including an Executive Director and/or one or more assistant secretaries, as the Governing Board may designate. Only Governing Board members shall be qualified to hold the office of Chairman, Vice Chairman, but the Government Board may appoint any person, whether or not a member of the Governing Board of the Agency, to hold the office of Secretary, Executive Director or any subordinate office. -5- Section 5.02.. Election, Term of Office. Each officer shall be elected by the Governing Board and shall hold office until his successor shall have been elected and qualified, or he ceases to be a member of the City Council. Section 5.03. Chairman. The Chairman shall be the chief executive officer of the Agency and shall have general supervision over the business of the Agency, subject, however, to the control of the Governing Board. He shall preside at all meetings of the Members. He may sign and execute, in the name of the Agency, deeds, mortgages, leases, bonds, contracts and other instruments duly authorized by the Governing Board, and generally shall perform all duties incident to the office of Chairman and such other duties as may from time to time be assigned to him by the Governing Board. Section 5.04. Vice Chairman. At the request of the Chairman or in case of his absence or disability, the Vice Chairman shall perform all duties of the Chairman and, when so acting, shall have all the powers of, and be subject to all restrictions upon, the Chairman. In addition, the Vice Chairman shall perform such other duties as may from time to time be assigned to him by the Governing Board or the Chairman. Section 5.05. Secretary. The Secretary shall: (a) Certify and keep at the office of the Agency, or at such other place as the Governing Board may order, the original or a copy of the By-Laws, as amended or otherwise altered; (b) Keep at the office of the Agency, or at such other place as the Governing Board may order, a book or minutes of all meetings of the directors and members, recording therein -6- the time and place of holding, whether regular or special, and if special how authorized, the notice thereof given, and the proceedings thereat; (c) See that all notices are duly given in accordance with the provisions of these By-Laws or as required by law; (d) Be custodian of the records and seal of the Agency; (e) Keep, or cause to be kept, at the principal office of the Agency a membership book containing the name and address of each member, and, in any case where membership has been terminated, such fact and the date of such termination shall be recorded in the membership book; (f) Exhibit at all reasonable times to any Member, upon application, the By-Laws, the membership book and minutes of the proceedings of the members and of the directors of the Agency; and (g) In general, perform all duties of the office of Secretary and such other duties as may from time to time be assigned to him by the Governing Board or the Chairman. Section 5.06. Subordinate Officers. Subordinate officers shall perform such duties as shall be prescribed from time to time by the Governing Board or the Chairman. ARTICLE VI Dissolution Section 6.01. The Agency shall not be voluntarily dissolved except pursuant to the Community Redevelopment Law. -7- In the event of dissolution of the Agency in any manner and for any c~hse, after the payment or adequate provision for the payment of all of its debts and liabilities, all of the remaining funds, assets and properties of the Agency shall be paid or distributed to the City of South San Francisco. ARTICLE VII General Section 7.01. Annual Report. The Governing Board shall cause to be prepared and filed any financial statement or other annual report required by law, including as required by Section 38080.1 of the Health and Safety Code of the Community Redevelopment Law. Section 7.02.. Fiscal Year. The fiscal year of the Agency shall begin July 1 and end June 30 of each year, except the first fiscal year which shall run from the date of to June 30, 19~. ARTICLE VIII Amendment of ByvLaws Section 8.01. Any of these By-Laws may be amended or repealed, and new By-Laws may be adopted, by vote or written consent of a majority of the Members. -8- SECRETARY' S CERTIFICATE The undersigned hereby certifies that he is the Secretary of the Redevelopment Agency of the City of South San Francisco, a public body, corporate and politic; that the foregoing is a full, true and correct copy of the By-Laws of said Agency; and that said By-Laws are in full force and effect as of the date hereof.
