CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA
A RESOLUTION AUTHORIZING THE EXECUTION OF CITY OF
SOUTH SAN FRANCISCO'S AGREEMENT WITH THE It';FORMATION
AND REFERRAL COMMUNITY SERVICES CENTER FOR SERVICES
IN HOUSING AND COMMUNITY DEVELOPMENT, AS DESCRIBED
IN SAID AGREEMENT.
BE IT RESOLVED by the City Council of the City of South San Francisco
that:
1. Upon approval of the operating budget in draft form for fiscal year
1976-77, and assUrance of receipt of Housing and Community Development Act
funds, as described in the Agreement between the City of South San Francisco
and the Information and Referral Community Services Center for services in
housing and community development for 1976-77, execution of the Agreement for
services between the Information and Referral Community Services Center and
the City of South San Francisco, a municipal corporation, a copy of which is
attached, hereto as Exhibit "A", is hereby authorized; and
2. The City Manager is authorized to execute said Agreement on behalf of
the City and the City Clerk attest his signature thereto; and
3. Payment for said services shall be disbursed to the Information and
Referral Community Services Center from Housing and Community Development Act
funds after approval of the City's operating budget in an amount not to exceed
Forty thousand dollars ($40,000) in monthly increments on invoices which are
in accord with the budget for the work described in the Agreement.

AGREEMENT BETWEEN THE CITY OF SOUTH SAN FRANCISCO
AND THE INFORMATION AND REFERRAL COMMUNITY SERVICES
CENTER FOR SERVICES IN HOUSING AND COMMUNITY .
DEVELOPMENT
THIS AGREEMENT, made this 7mrh day of, august

between the CITY OF SOUTH SAN FRANCISCO, a municipal corporation, hereinafter
referred to as the "City," and the INFOP~MATION AND REFERRAL COMMUNITY SERVICES
CENTER, a tax exempt non-profit public supported corporation, hereinafter
referred to as "Center."

WHEREAS, the Center has the personnel and facilities to perform necessary
services for the City; and
WHEREAS, the City desires to obtain these necessary services from th.=
Center in the area of Housing and community development, pursuant to the
terms and conditions hereinafter set forth.
NOW, THEREFORE, IT IS HEREBY AGREED as follows:
]. Maintenance of Physical Facilities for Operations. The Center
shall maintain an office facility for conducting-its services
at 291 Hillside Boulevard, South San Francisco, or such other

place acceptable to the City.
2, Services Provided. The Center shall provide the following services-
A. Commence implementation of a home maintenance project in
the Target Area of South San Francisco by providing tech-
nical assistance and incentives to homeowners to maintain..
their homes.
B. Help implement the Section 8 rent supplement program in
the City by working with applicants and landlords and

with San Mateo County Housing Authority, administrators
of the Section 8 program.
C, Pr6vide housing information and placement services for
meeting immediate housing problems confronting citizens
of the City' -
D. Assist in implementing citizen participation in housing
programs by providing information and referrals to
c.itizens and staff services to the Citizens Advisory
· Committee, · ·
E. Make recommendations to the City Planner on program
changes and on sources of funding and technical assis-
tance for housing programs in future years.

Businesses in the City of South San Francisco, The services to
be provided under this agreement are subject to the following:
A. The work to be .performed under this agreement is on
a project assisted' under a program providing direct
Federal financial assistance from the Department of
Housing and Urban Development and is subject to the
. .
requirements of Section 3 of the Housing and Urban
Development Act of 1968, as amended, 12 U.S,C, 1701u,
Section 3 requires that to the greatest extent feasible
opportunities for training and employment be given

lower income residents of the project area and contracts
for work in connection with the project be awarded to
business concerns which are located in or owned in
substantial part by persons residing in the area of

the project.
B. The parties to this agreement will comply with the pro-
visions of said Section 3 and the regulations issued
pursuant thereto by the Secretary of Housing and Urban
Development set forth in 24 CFR Part 135, and all
applicable rules and orders of the Department issued
thereunder prior to the execution of this agreement.
The parties to this agreement certify and agree, that
they are under no contractual or other disability which
would prevent them from complying with these requirements.
C. The Center will send to each labor organization or rep-
resentative of workers with which he has a collective

bargaining agreement Or other contract or understanding,
if any, a notice advising the said labor organization or
workers' representative of his con~itments under this
·
Section 3 clause and shall post copies of the notice in
conspicuous places~available to employees and applicants
for employment or training.
D. The Center will. include this Section 3 clause in every
.
subcontract for work in connection with the project
and will, at the direction of the applicant for or
recipient of Federal financial assistance, take approp-
riate action pursuant to the subcontract upon a finding
that the subcontractor is in violation of regulations
issued by the Secretary of Housing and Urban Developr~ent,

24 CFR Part 135. .The Center will not subcontract with
any subcontractor where it has notice or knowledge that
·
the latter has been found 'in violation of regulations
under 24 CFR Part 1~5 and will not let any subcontract
unless the subcontractor has fi6st provided it with a
preliminary statement of ability to comply with the re-
quirements of these regulations.
E. Compliance with the provisions of Section 3, the regula-
tions set forth in 24 CFR Part 135, and all applicable
rules and orders of the Departm,.ent issued thereunder
prior to the execution of the contract, shall be a con-
dition of the Federal financial assistance provided to
the project, binding upon the applicant or recipient
for such assistance, its successors, and assigns.
Failure to fulfill these requirements shall subject the~
applicant or recipient, its contractors and subcontractors,
its successors, and assigns to those sanctions specified
by the grant or loan agreement or contract through which
Feder. al assistance is provided, and to such sanctions as
are specified by 24 CFR Part 135,
4. Term and Termination of the A.qreement. The term of this a§reement
shall be from the 9th day of August, 191~6, to the 31st day of
July, i977, and said period may be reasonably extended by agree-

this agreement', the nOn-offending party shall thereunder have
the right to terminate this agreement by giving written notice
'to the other party of such termination and specifying the
effective date' thereof at least thirty days before the effec-
tive date of such termination, and all finished or unfinished
docUments, data, surveys, drawings, ~aps and reports prepared
by the Center-Shall become the property of the City. If such
termination, is by the City, the Center shall not be entitled
· ·
to any additional payments pursuant to paragraph 6 of this
·
agreement from and after the date of said termination. If such
termination is by the Center, then the Center shall not be en-
titled' to any additional payments pursuant to paragraph 6 of
.,
this agreement from and after the effective date of such termina-
tion except to recover expenses incurred by Center which have not
been refunded by City prior to the date of termination.
5, Access'to Records. The Cit~y of South San Francisco, the County
of San Mateo, the. U.S. Department of Housing and Urban Develop-
ment, the Controller General of the United States, or any of
their duly authorized representatives, Shall have access to any
books, documents, papers, and records of the Center which are
directly pertinent to the HCDA Program for the purpose of making
audit, examination, excerpts, and transcriptions.
6. Payment for Services. In consideration of the services to be
performed' by the Center pursuant to this agreement, City -._

agrees to disburse to Center f~a Housing & Community Development

IndePendent Contractor RelatiorJhi.~. City and Center intend that the
relationship created between them by this Agreement is that of
employer~'independant contractor. )(o agent, employee or servant of
Center shall be.or shall be dec-.ed to be the employee, agent or
servant of City. City is inte~es~__=d only in the results to be obtained
under this Agreement; the manner e_nd means of conducting the activi-
ties provided for in the AgreeF~ent are under the sole control of
Center. None of the benefits pro-~ided by City to its employees, ir. clud-
ing but not limited to compensation insurance and unemployment insur-
ance are available from City to the employees, agents or servants of
Center. Center shall' be solely arid entirely responsible for its
acts and for the acts of its a~c~n~, employees, servants, contractors
and subcontractors during the par~rm~nce of this Agreement. Center
shall direct the performance of alt of Center's personnel and its
agents and employees.
