BE IT RESOLVED by the City Council of the City of South San Francisco that' 1. The Council hereby agrees to the terms of the option agreement entitled "Option To Purchase Real Property" executed by Utah International Inc., a Delaware corporation, on the 2nd day of ~ovember, 1976, a copy of which is attached hereto as Exhibit "A". 2. Mirri an~ Leo Pa~reddii itOES, " ~rome ABSENT, " Nome ATTEST' EXHIBIT "A" TO RESOLUTION NO. 162-76 ADOPTED THE 3z-d DAY OF Not/embez- ,1976 OPTION TO PURCHASE REAL PROPERTY UTAH INTERNATIONAL INC., a Delaware corporation, formerly known as Utah C0nstruction & Mining Co., hereinafter called "Utah" does hereby grant to the CITY OF SOUTH SAN FRANCISCO, a city orga- nized under the laws of the State of California, hereinafter called "City", an option to purchase real property now owned by Utah on the terms, price, and conditions hereinafter set forth. 1. Property~ The property subject to this option is that property located in the City of South San Francisco, San Mateo County, California, containing approximately~35-acres and designated as ParCels 1 and 2 title report No. 426865-RWc dated March 30, 1976, a copy of which is attached, hereto. 2. Purchase Price. The total purchaSe price shall be Six Hundred Twenty-Five Thousand Dollars ($625,000.00). 3. Option Term. ? 'The option term shall commence on the first business day after approval of this agreement by the City Council of City and the exe- cution of this option. An escrow shall be opened within two business days after the Option period begins at Title Insurance and Trust Company~ Redwood Cify, California, who is hereby designated escrow agent by the parties hereto. As consideration for the option, the City shall pay to Utah the sum of $1818.00 on the 15th day of November, 1976 and the 15th day of each month thereafter until exercise of the option or the termination of the option term. If o. the City shall not have exercised the option in the manner herein- after set forth by October 15, 1977, then this option shall terminate and City shall.have no further rights. The monthly pas~ents of $1818.00 are made in consideration of the option and shall not be a credit toward the purchase price if the option is exercised. 4. Exercise of Option. City shall exercise the option'upo~ notice to Utah in writing and depositing the'purchase price in cash'with the escrow agent. -1- of Exhibit "A" Utah will convey title by Grant Deed deposited with the escrow agent within five (5) business days thereafter. Each party hereto shall bear one-half of the escrow costs and City shall bear recording costs end'the cost of title insurance if it desires such insurance. The~ property shall be conveyed subject to current county and municipal taxes and exceptions 3 through 12 inclusive as shown on sa~d prelim- inary report attached hereto. If the escrow agent shows any addi- tional exception at time of close, it shall be subject to the reason- able approval of City.~ Utah shall be responsible for any real estate broker's commission which shall be pai~ outside of escrow. 5.
