HomeMy WebLinkAboutReso RDA 30-1982 RESOLUTION NO. 30 REDEVELOPMENT AGENCY OF THE CITY OF SOUTH SAN FRANCISCO A RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT WITH WILLIAM R. ANDERSON FOR FISCAL ADVISORY SERVICES TO THE REDEVELOPMENT AGENCY OF THE CITY OF SOUTH SAN FRANCISCO WHEREAS, the Redevelopment Agency of the City of South San Francisco has determined that it is necessary to employ William R. Anderson for Fiscal Advisory Services to the Redevelopment Agency. NOW, THEREFORE, BE IT RESOLVED by the Redevelopment Agency of the City of South San Francisco that the Executive Director is authorized to execute said agreement, attached hereto as Exhibit "A," on behalf of the Agency. Walter Birkelo, Executive Director EXHIBIT "A" PROFESSIONAL SERVICES CONTRACT This Contract for Professional Services is made and entered into this dayof , 1982, by and between the South San Francisco Redevelopment Agency, a public body corporate and politic, herein referred to as "Agency," and Mro William Ro Anderson, 890 Seale Avenue, Palo Alto, California, here~n referred to'as "Contractor." lo PROFESSIONAL SERVICES. The Contractor will: A. Assist and advise the Executive Director on matters relative to the issuance of notes and bonds and tax increment financing, and provide Procedural and administrative guidance to the Agency. B. Provide assistance to the City Manager and Director of Finance of theCity of South San Francisco on City matters as requested. 2. COMPENSATION. For performance of the above services, the Agency, through the City of South San Francisco, shall pay to. the Contractor: Ao $45.00 per hour for services rendered° B. Services rendered shall not exceed an aggregate of 400 hours in calendar year 1982. The actual hours agreed upon shall be autho- rized by purchase order. C. Reasonable out-of-pocket expenses incurred by the Contractor in accomplishing his professional services. 3° DURATION OF CONTRACT. This Contract shall be effective through June 30, 1982, unless terminated earlier by either party. Early termination of the Contract may be accomplished by either party providing the other party fifteen (15) days written notice of termination, delivered in person or sent by certified mail, return receipt requested, postage prepaid° The Agency shall exercise the option of extending this Contract to December 31, 1982, provided the Contract is funded in the Agency's 1982-83 budget° The termination provision described in this section shall also apply to the option period. 4o CONTRACTOR'S QUALIFICATIONS~ By executing this Contract, Contractor holds himself out as a qualified professional, possessin§ the experience and.specialized skills necessary to perform the tasks mentioned in Section 1 herein and agrees that he will render to the best of his ability the services described in that paragraph during the full term of this Contract. 5. CONTRACTOR'S STATUS° The services shall be provided Agency as set forth herein by Contractor as an independent Contractor as defined in Labor Code Section 3353, under the general control of the Executive Director of the South San Francisco Redevelopment Agency, concerning the results of the work, but not the means by which such result is accomplished~ Nothing herein contained shall be construed to make the Contractor an employee of the Agency while providin9 said services, and Contractor shall be entitled to no other benefits or compensation except as provided herein. 6° MERGER. It is expressly agreed that this writing contains all of the agreements between the parties herein and that there are no oral, collateral o~ other agreements which relate to this Contract which are not herein set forth. -2- IN WITNESS WHEREOF, the parties hereto have signed this contract as of the date first above written.
