Approval of First Amendment. The First Amen~ent to Declaration of Restrictive Covenants to Run with Certain Land among the Redevelopment Agency of the Ci~ of South San Francisco, Homart Development Co. and the Robert P. Warmington Compa~ is here~ approved, and a cow of said First ~en~ent is attached hereto as Exhibit "1." 2. Execution of First Amen~ent. The Chairman is here~ authorized to execute said First Amendment on behalf of the Redevelopment Agency of the Ci~ of South San Francisco,and the Executive Director attest his signature thereto. Addlego; Member kmanuele Damonte; Member Gus Nicolopulos NOES: NONE ABSENT: NONE Redevelopment Agency of the Ci~ of South San Francisco FIRST AMENDMENT TO DECLARATION OF RESTRICTIVE COVENANTS TO RUN WITH CERTAIN LAND THIS FIRST AMENDMENT TO DECLARATION OF RESTRICTIVE COVENANTS TO RUN WITH CERTAIN LAND is made as of this day of , 198 , by and among THE REDEVELOPMENT AGENCY OF THE CITY OF SOUTH SAN FRANCISCO, a public body, corporate and politic (the "Agency"), HOMART DEVELOPMENT CO., a Delaware corporation ("Homart"), and THE ROBERT P. WARMINGTON COMPANY, a California corporation ("Warmington"). WI TNE S S E TH: A. Homart is the owner of certain land within the Gateway Redevelopment Project Area (the "Project Area"), which is situated within the City of South San Francisco, County of San Mateo, State of California, which land is more particularly described on Exhibit A attached hereto and incorporated herein by this reference as though set forth herein (hereinafter the "lands of Homart"). B. After the date of the Fourth Amendment as hereinafter defined, Warmington aquired from Homart certain other land within the Project Area, which land is more particulary described on Exhibit B attached hereto and incorporated herein by this reference as though set forth herein (hereinafter the "lands of Warmington"). C. The Council ("Council") of the City of South San Francisco (the "City") did on June 10, 1981, by Ordinance No. 867-81, approve the Gateway Redevelopment Plan for the Project Area (the "Plan"). D. A copy of the Plan was recorded on July 10, 1981, in the Office of the County Recorder of the County of San Mateo as Instrument No. 65677-AS of the Official Records of said County. E. The Agency and Homart entered into the Owner Participation and Development Agreement (the "Agreement") on March 19, 1981, whereby the parties agreed to certain conditions under which lands within the Project Area will be developed, all in accordance with the Plan and the Agreement. F. The Agency did on November 18, 1981, by Resolution No. 23, approve the Declaration of Restrictive Covenants to Run With Certain Land (the "Restrictions") dated November 11, 1981, by and between the Agency and Homart, which incorporates by reference the Plan and the Agreement as though fully set forth therein. G. On December 30, 1981, the City, the Agency, Homart and Genentech, Inc. entered into the First Amendment to the Agreement. On June 15, 1983, the City, the Agency and Homart entered into the Second Amendment to the Agreement. On August 24, 1983, the City, the Agency and Homart entered into the Third Amendment to the Agreement. -2- H. On September 30, 1983, the City, the Agency and Homart entered into the Fourth Amendment to the Agreement (the "Fourth Amendment"), which provides, among other things, for contributions to the cost of the Oyster Point Grade separation at a rate, at the times specified in, and in accordance with Article IV of the Fourth Amendment. Section 4.8 of the Fourth Amendment specifically provides that the obligations therein stated shall run with the land then owned by Homart and shall as to parcels subsequently sold or leased be binding upon Homart's grantees and lessees. I. The Agency, Homart and Warmington desire to amend the Restrictions to incorporate therein all covenants and provisions of the Fourth Amendment, and to have such covenants and provisions constitute convenants which shall run with the lands of Homart and Warmington and be binding upon and inure to the benefit of all parties claiming under them if and to the extent that such covenants are binding upon future owners or lessess by the terms of the Fourth Amendment. NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: 1. All covenants and provisions of the Fourth Amendment are incorporated into the Restrictions by reference as though fully set forth therein and shall to the extent specifically provided in said Fourth Amendment constitute covenants to run with the lands of Homart and Warmington and be -3- binding upon and inure to the benefit of all parties claiming under them for the benefit of and as limitations upon all future owners of said lands. 2. Except as expressly amended herein, the Restrictions shall remain in full force and effect in accordance with the terms thereof without modification.
