BE IT RESOLVED by the Redevelopment Agency of the City of South San Francisco that: 1. Approval of Agreement. The Agreement entitled, "Agreement for Consulting Services" between the South San Francisco Redevelopment Agency and Katz, Hollis, Cohen & Associates, Inc., a California corporation, is hereby approved, and a copy of said Agreement is attached hereto as Exhibit "1." 2. Execution of First Amendment. The Chairman is hereby authorized to execute said Agreement on behalf of the Redevelopment Agency of the City of South San Francisco, and the Executive Director attest his signature thereto. Addiego, Member Emanuele Damonte, Member Gus Nicolopulos NOES:NONE ABSENT: NONE ~~ ~l~~'Agency of ATTEST: ~i ~ ~d~}~/~,Franci sc0 Redevelopment Agency of the City of South San Francisco EXHIBIT "1" AGREE~tENT FOR CONSULTING SERVICES THIS AGREEMENT is entered into on this 6th day of February of 19~, by and between the SOUTH SAN FRANCISCO REDEVELOPMENT AGENCY (hereinafter referred to as the "Agency") and KATZ, HOLLIS, COREN & ASSOCIATES, INC., a California corporation (hereinafter referred to as "Katz Hollis'). ~ITNESSETlt WHEREAS, the Agency has undertaken certain activities pursuant to the California Community Redevelopment Law necessary to the planning and execution of a ne~ redevelopment project; and WHEREAS, the Agency desires to engage Katz Hollis to render certain technical advice and assistance on financial matters in connection with such undertakings of the Agency; and WHEREAS, Katz Hollis represents that it is qualified to perfor~ such services under this Agreement. NO~, THEREFORE, THE PARTIES BERETO DO ~Ft~I~ALLY AGREE AS FOLLOWS: I. SCOPE OF SERVICES AND TII~ OF PERFOrmANCE Katz Hollis shall provide professional and/or technical services to the Agency in accordance with Exhibit "A," Scope of Services and Time of Performance, attached hereto and made a part hereof. A portion of the services to be provided hereunder shall be rendered by Keyser Marston Associates, Inc. (hereinafter referred to as under subcontract to Katz Hollis. Katz Bollis will be fully responsible for such services and for the compensation therefor. II. ASSISTANCE, DATA AND INFO~VlATION TO BE FURNISHED BY THE AGENCY The Agency shall provide Katz Hollis and KNA with any plans, publications, reports, statistics, records or other data or information pertinent to services to be performed hereunder, which are reasonably available to the Agency. The Agency shall additionally provide Katz Hollis and appropriate staff assistance and shall take prompt and appropriate action when it will assist in insuring proper and timely performance by Katz ~ollis and DiA hereunder. III. COMPENSATION AND ~ETHOD OF PAYmeNT A. Compensation 1. Minor Document Preparation Services The Agenc~y shall compensate Katz Rollis for Minor Document Preparation Services in accordance with the following schedule: Project Adoption Schedule of Actions $1,200 ~ ~esolutions, Legal Notices and Ordinance 3,300 Owner Participation and Preference Rules 500 Preliminary Redevelopment Plan 1,500, ~' Total Minor Document Preparation $6,500 2. Administrative Coordination Services The Agency shall compensate Katz Hollis for Administrative Coordination Services in accordance with the following schedule: Principals '~ $95 per hour Senior Associates $80 per hour Associates $65 per hour Senior Analysts $55 per hour Analysts $40 per hour Secretarial/Administrative $28 per hour 4. Out-of-Pocket Expenses The Agency shall co~ensate Katz Hollis for out-of-pocket expenses incurred in connection with services performed hereunder in accordance with the following schedule: Incurred Expenses - by an amount equal to actual incurred expenses. Automobile Mileage - at the rate of $0.20 per mile. Photographs - at the rate of $0.10 per page for each docu- ment copy in excess of five (5) document copies. "Incurred expenses" include, but are not limited to, authorized travel by common carrier; long distance telephone calls; graphics and comercial reproduction; shipping and messenger services; and other similar expenses. Incurred expenses do not include no~al overhead expenses. 5. Maxi~u~ Compensation Subject to the exceptions set forth herein, the maxi~u~ compensation which may be paid to Katz Hollis for services rendered hereunder shall not exceed the su~ of THIRTY-SEVEN THOUS. AND FIVE HUNDRED DOLLARS ($37,500.00), excluding out-of-pocket expenses, without approval of the Agency. Out-of-pocket expenses shall not exceed the su~ of TWO THOUSAND FIVE HUNDRED DOLLARS ($2,500.00) without approval of the Agency. B. Method of Payment Within thirty (30) days after the last day of any month in which services have been performed hereunder, Katz Hollis shall submit an invoice to the Agency for such services. Except for preparation of resolutions, legal notices, and other such documents under Minor Pocu~ent Preparation Services, the invoiced amounts shall correspond to the amounts shown in sections III.A.1. and III.A.2. above. For preparation of resolutions, legal notices, etc., a prorata a~ount will be billed each month, based upon time expended. The amount hilled will be at Katz Hollis option, the only limitation being that the total for all such billings shall not exceed the total amount to be paid for such services or shown in III.A. 1. above. For Administrative Coordination Services, the invoice shall state the amount due for such services, and shall contain a breakdown of the charges by staff position, hourly rate and number of hours worked. All invoices shall also contain an itemization of out-of-pocket expenses incurred for which reimbursement compensation is due. Payment of invoices will be made after acceptance and approval by the Agency within thirty (30) days of receipt of such invoice. The Agency's approval of invoices shall not be unreasonably withheld. IV.. RIGHT OF TEI~INATION This Agreement may be terminated by either party on ten (10) days written notice to the other, the effective date of cancellation being the 10th day of said written notice, without further action by either party. --3-- In the event this Agreement is teminated by either party prior to completion of the tasks identified in the Scope of Services, Katz Hollis will be compensated an follows: A. Katz Hollis will be compensated for all documents completed and submitted to the Agency to the date of such termination, plus expenses, in accordance with the schedule contained in paragraphs III.A.i., III.A.2., and III.A.4. B. Katz Hollis will be compensated for documents not yet com- pleted on the date of such termination based upon the percentage of completion of such documents as determined by mutual agreement. C. l~atz Hollis will be compensated for Achninistrative Coor- dination Services on the basis of ti~e expended end expenses incurred to the date of such termination in accordance with paragraphs III.A.3 and III.A.4. V. NOTICES Notices to the parties, unless other~ise requested in ~riting, shall be sent to the Agency at City Hall, 400 Grand Avenue, South San Francisco, California 94080, and Katz Hollis at 550 South Hill Street, Suite 980, Los Angeles, California, 90013-2410. IN WITNESS WHEREOF, the Agency and Katz Hollis have executed this Agreement as of the date first hereinabove set forth. SOUTH SAN FRANCISCO REDEVELOPMENT AGENCY KATZ, HOLLIS, COREN & /t,~CIATES, INC. Exhibit "A" SCOPE OF SERVICES AND TI~EOF PERFOR~tANCE MINOR DOCUMENT PREPARATION SERVICES Katz Hollis shall prepare and deliver preliminary drafts of the following documents, and if necessary following review and comment by City/Agency staff and legal counsel, final drafts of such documents shall be prepared and delivered: - Schedule of Actions. As a first step within the adoption process, a detailed Schedule of Actions will be prepared to: denote each required step, the responsible entity involved, the document(s) involved (including all documents covered under this Agreement), and the proposed action date. Such Schedule will be structured and sequenced as necessary to comply with all Community Redevelopment Law and CEOA requirements, and to accommodate insofar as possible the regular meeting dates of the involved City entities, including the City Council, Redevelopment Agency, and City Planning Commission. - Preliminary Redevelopment Plan, establishing project area boundaries and satisfying the minimal requirements of the Community Redevelopment Law (CRL). City/Agency staff will be advised and assisted in preparing a boundary map and legal description complying with regulations adopted by the State Board of Equalization. - Owner Participation and Preference Rules required [o be adopted by CRL Sections 33339.5 and 33345. - Resolutions, I~al Notices and Ordinances required during the adoption process. ~L~JOR DOCD~ENT PREPARATION SERVICES Four major documents (Preliminary Project Report, Redevelopment Plan, Agency Report to City Council, and EIR) will be involved in putting the new project in place. Katz Hollis will prepare three of these documents as follows: - Preliminary Project Re~ort containing, as required by CRL amendments contained within AB 203, the following sections: - Reasons for selection of the project area - Description of the physical, social and economic conditions existing in the project area ("blight report") - Preliminary assessment of proposed method of fi- nmucing and economic feasibility, with reasons for including tax inCrement provisions in rede- velopment plas - Description of specific projects to be pursued by the agency in the project area - Description of ho~ the projects to be pursued will improve or alleviate the project area's conditions of blight. The Preliminary Project Report will involve a field sur- vey of the project area to take photographs and to docu- ment existing conditions. Preparation of the Preliminary Project Report will also involve an economic analysis of the impact of existing physical conditions and other project area problems~ if any, upon the private sectorts ability to undertake redevelopment without public partic- ipation and assistance. This portion of the Report will be prepared in part by IIeyser Marston Associates under subcontract to Katz Hollis. As noted belo~, the Preliminary Project Report will be used for and in effect will become key sections of the Agency's Report to City Council on the proposed project redevelopment plan. An administrative draft of the Preliminary Project Report will be prepared, and following revie~ and comment by City/tgency staff and legal counsel, a final draft of the report will be submitted. - RedeveloI~nent Plun, containing project goals and objec- tives; agency po~ers and authorities in project area; permitted land uses; general development require~entsl public improvements necessary or of benefit to the proj- ect; tax increment and bond limitations; and other provi- sions as needed or desired. The Plan will be prepared and submitted in preliminary draft for~, and, following reviow and comment by City/ Agency staff and legal counsel, a final draft plan will be submitted. - Report to City Council. t preliminary draft of the fol- lowing initial sections of the Agency's Report to City Council on the proposed project Redevelopment Plan, as required by .Section 33352 of the Community Redevelopment La~: .... Reasons for selection of the project area; a description of specific projects proposed and a description of how such projects will alleviate blight conditions; and an explanation of why pub- -ii- ........ lic improvements to be made by the Agency cannot be reasonably expected to be accomplished by private enterprise acting alone - Description of the physical, social and economic conditions existing in the project area ("blight report ") - Proposed method of financing the project - Relocation plan - Neighborhood impact report The previously prepared Preliminary Project Report will become the textual basis for the first three items listed above, and will be used directly or updated as necessary for such purpose. Following review and comment by City/Agency staff and legal counsel, a final draft of the initial sections will be submitted. The remaining sections of the Report required by the Community Redevelopment Law are either the responsibility of others and will be incorporated into the final Report upon receipt by the Redevelopment Agency, or are the Agency's responsiblity and will be prepared by Katz Hollis in preliminary draft and (following review and comment) in final draft forms at a somewhat later period in the plan adoption process when needed data is available or required base documents have been received by the Agency. The remaining sections to be prepared by others and incorporated into the final Report upon receipt by Katz Hollis include: - Report and recommendations of Planning Commission on proposed Redevelopment Plan - Environmental impact report - Report of the San Mateo County Auditor- Controller on project area taxable values - Report of the fiscal review committee regarding fiscal impact of project on the members thereof The remaining sections of the report to City Council to be prepared by Katz Hollis in preliminary and final draft form include: - Project Area Committee (PAC) record (or, if no PAC, then a s,m-~ary of alternative activities) - Analysis of County Auditor-Controller's report - $~,[]~,ary of Agency's consultations with affected taxing agencies regarding fiscal impact of the project (This section is in addition to the fiscal review committee report. ) After all remaining sections have been received or prepared, and following review and comment by City/Agency -iii- staff and legal counsel, a final Report to City Council will be prepared and sub=itted. Included within the provisions of Major and Minor Doc- ument Preparatlon Eervices (and the compensation to he paid therefor) will be a maximum of two visits to South San Francisco (or vicinity) by one Katz Hollis staff person for purpose of data aggregation and report presentation. ADMINISTRATIVE COORDINATION SERVICES i~hen and as necessary for Plan adoption schedule purposes, and upon request of the City/Agency staff, Katz Hollis will provide Achninistrative Coordination Services needed or related to the plan adoption process. Such services include: - Monitoring adoption progress as compared to actions and dates identified in the Schedule of Actions, and working with City/Agency staff to keep on schedule and to adjust scheduled action dates when necessary or desired. - Attending staff and public meetings or hearings, including City Council, Agency and Plsnning Commission meetings~ or other meetings as may be necessary or desired. Included within the provision of Administrative Coordination Services (and the maximum compensation to be paid therefor) will be up to four visits to South San Francisco (or vicinity) by one Katz Hollis staff person for purposes of such meetings. Any meetings in excess of four meetings would be billed at the hourly rates set forth in this Agreement, whichbillings would not apply to the maximu~ compensation li~it contained in this Agreement. - Assisting with fiscal revie~ committee ~atters and consultations with affected taxing agenciest including attendance at meetings and assistance in analyzing fiscal impact of various funding scenarios. - Providing fiscal analysis services, if any, in excess of the mini~al level normally involved in preparing the Redevelompent Plan, the Prelhainary Project Report, and the Report to City Council, and the requirements of fiscal review~taxing agency consultations. - Coordination of public hearings. - Providing other advice and assistance regarding plan adoption policies and procedures. TIME OF PERFORMANC~ The Schedule of Actions will be prepared and delivered within 15 dsy~ of receipt of a fully executed copy of this Agreement. Ma~or and Minor Documents will be prepared and delivered in accord with agreed upon action dates contained in the approved Schedule of Action~. Administrative Coordination Services will be provided as needed and upon request.
