AGREEMENT BETWEEN THE CITY OF SOUTH SAN FRANCISCO
AND MEYERS,NAVE,RIBACK, SILVER AND WILSON
The City of South San Francisco,the South San Francisco Successor Agency and Meyers Nave
do hereby agree as follows:
1. The first two sentences of Section 4"Compensation-Basic Services" are hereby
amended to read as follows:
City shall pay Law Firm$200 per hour for all Basic Services as described in Section 1."
"In addition to Basic Services compensation, Law Firm shall also be paid for: 1)
successor agency services or redevelopment legal services at the rate of$255 per hour for
Principals and "Of Counsel"attorneys and$204 per hour for associate attorneys; 2)
enterprise fund matters(e.g., Sewer, Storm water and Solid Waste)at the rate of$281 per
hour for Principals, $255 per hour for Senior Associates and Of Counsel attorneys, and
$226 per hour for Junior Associates; and 3) cost recovery matters involving land use
entitlements at the rate of$281 per hour for Principals, $255 per hour for Senior
Associates and Of Counsel attorneys,and $226 per hour for Junior Associates with the
City's costs reimbursed by the development applicant.
2. The first sentence of Section 5 "Compensation—Special Services" is hereby amended to
read as follows:
"City shall compensate Law Firm for Special Services as described in Section 2 hereof
on an hourly basis at the rate of$255 per hour for Principals, $230 per hour for Senior
Associates and Of Counsel attorneys,$204 per hour for Junior Associates and$106 per
hour for paralegals.
3. Subsection(m)of Section 1 is hereby amended to read as follows:
"Furnishing legal services of the nature described in paragraphs(a)through(1) for the
Successor Agency at the rates set forth for Successor Agencies in Section 4 and for other
entities created as independent agencies by the City at the rates set forth in Section 4,
excepting Special Services for such agencies which should be charged at the rate set forth
in Section 5.
4. Except as expressly provided herein,all other terms and conditions of the Professional
Services Agreement between the City and Meyers Nave shall remain in full force and
effect for the term of this Agreement. This amendment shall be effective as of August 1,
2012.
