A RESOLUTION AUTHORIZING EXECUTION OF
AGREEMENT FOR DEVELOPMENT OF AN ENERGY
EFFICIENCY AND CONSERVATION ANALYSIS
BE IT RESOLVED by the City Council of the City of South San Francisco
1. Execution of Aqreement.
Execution of an Agreement to provide engineering services for the
development of an Energy Efficiency and Conservation Analysis between the
City of South San Francisco and John Carollo Engieers is hereby authorized,
and a copy of said Agreement is attached hereto as Exhibit "A."
2. Signatures.
The City Manager is authorized to execute said Agreement on behalf
of the City, and the City Clerk attest his signature thereto.
I hereby certify that the foregoing Resolution was regularly introduced
and adopted by the City Council of the City of South San Francisco at a
regular meeting held on the 17th day of December , 19 80 ,
by the following vote:
AYES: Councilmen Ronald G. Acosta, Mark N. Addiego, Emanuele N. Damonte,
Gus Nicolopulos; and Councilwoman Roberta Cerri Teglia

AGREEMENT
This AGREEMENT, made and entered into this ]Stb day of December
1980, by and between the CITY OF SOUTH SAN FRANCISCO, California, hereinafter
referred to as "OWNER" and JOHN CAROLLO ENGINEERS, hereinafter referred to as
"ENGINEER."
WITNESSETH
THAT WHEREAS, the OWNER recognizes that the development of an Energy Ef-
ficiency and Conservation Analysis for the CITY OF SOUTH SAN FRANCISCO, Cali-
fornia, is a necessity, and
WHEREAS, said OWNER recognizes ENGINEER as qualified to perform civil
and sanitary engineering services;
WHEREAS, OWNER now desires to employ ENGINEER to provide engineering
services necessary for the Study and to provide other engineering services,
if directed by OWNER in writing.
NOW, THEREFORE, in consideration of the mutual covenants, conditions,
promises and agreements herein set forth, OWNER AND ENGINEER hereby mutually
covenant and agree as follows:
ARTICLE I
SCOPE OF WORK
The ENC-INEER shall provide the professional services generally
described as furnishing engineering for Phase 1 - Water Quality Control
Plant Energy Efficiency and Conservation Analysis and Phase 2 - Design,
Specifications and Construction Administration of any energy saving
systems for the City of South San Francisco. A more specific Scope of
Work for Phase 1 is contained in Attachment A hereto, which is hereby
incorporated by reference herein. A detailed Scope of Work will be es-
tablished for Phase 2 upon completion of Phase 1 and will also be incor-
porated by reference herein.
ARTICLE II
COMPENSATION

Compensation for services under Article I shall be on an hourlY basis in
accordance with ENGINEER'S standard fee schedule which is hereby incorporated

by reference herein as Attachment B. Travel costs between the ENGINEER's
offices and the CITY OF sOUTH SAN FRANCISCO are inCluded in the ENGINEER's
standard fee schedule. Ail other travel costs, if any, ~will be considered
outside of the Scope of Work and will require the OWNER's direction. The
total maximum fee for this project.shall not exceed $15,300.00 for Phase 1.

It is further·.expressly understood and agreed that, under the terms of this
contract, the maximum fee will be renegotiated if the scope of work included
is exceeded. A maximum fee for Phase 2 will be negotiated after a detailed
scope of work is established for that phase.
ARTICLE III
PAYMENT
The ENGINEER will submit invoices on the first of each month. Such
invoices shall be based upon the amount and value of the work and services
performed by the ENGINEER under this agreement, and shall be prepared by the
ENGINEER and supplemented or accompanied by such supporting data as maY be
reqUired by the OWNER. Payment shall be made within 30 days of receipt of
said invoices.
ARTICLE IV
PERSONNEL AND FACILITIES
The work will be substantially performed by personnel of the Walnut
Creek, California, office of the ENGINEER.
ARTICLE V

TIME OF COMPLETION
The time of completion for Phase 1 - Water Quality Plant Energy
Efficiency and Conservation Analysis shall be 150 calendar days from
the Notice to Proceed for Phase 1. The time of completion shall be
extended for any delays caused by the OWNER not providing informatiom
requested by the ENGINEER which would not allow the ENGINEER to proceed.
ARTICLE VI
NOTICES
Ail notices to either party shall be deemed to have been provided by
depositing the same, postage prepaid, with the United States Postal Service,
addressed as follows: ~

ARTICLE VII
EXTENT OF SUBCONTRACTS
Any outside work shall be performed by a subcontractor approved by
the OWNER and the ENGINEER.
ARTICLE VIII
INDEMNIFICATION
ENGINEER hereby agrees to defend, indemnify and save harmless OWNER
and its officers, agents and employees from and against any and all claims,
demands, liability, costs, expenses,, damages, causes of action and judgments
to the extent that such results from negligent error' or omission by ENGINEER
or its agents or its employees or its independent contractors under this
Agreement.
ARTICLE IX
INSURANCE
ENGINEER shall take out and maintain during the entire term of th%s
Agreement, Public Liability and Property Damage Insurance, which shall be in
the single limit amount of One Miilion Dollars ($1,000,000), provided that
all such insurance shall include the following provisions:
1. It shall cover personal injury as well as bodily injury.
2. It shall cover complete contractural liab'ility.
3. It shall include OWNER as a named insured .herein for all
coverage errors and omission.
4. It shall require the insurance carrier to give OWNER 30
days prior written notice of any cancellation thereof, any
reduction in coverage, or .any other major change therein.
5. It shall cover owned, nonowned, and hired cars and 'trucks.
6. In all such insurance, the word "accident'' shall be changed
to the word "occurrence."
7. The term "insured" is used severally and not collectively,
but the inclusion herein of more than one insured shall not
operate to increase the limit of the company's liability.

It should also include Broad Form Property Damage Coverage.
ENGINEER will furnish OWNER a certificate of insurance
concerning the insurance required hereunder, prior to
beginning work in any phase of this Agreement.
IN WITNESS WHEREOF, the parties hereto have caused this instrument to
be executed the day and year above ~ritten.

ATTACHMENT A
SCOPE OF WORK
Phase I - Water Quality Control Plant Energy Efficiency and
Conservation Analysis:
Task 1.
Develop the general information required concerning
the Energy Efficiency and Conservation Analysis
(hereinafter called "ANALYSIS") including, but not
limited to, site information, regulatory constraints
and grant possibilities, and assemble and present
the information to the CITY administration.
Task 2.
Conduct an in-depth study to determine the most bene-
ficial- use of energy at CITY's Water Quality Control
Plant (hereinafter called "PLANT"). The ANALYSIS will
be accomplished in four steps: First, a power factor
correction feasibility will be studied. Second,
the overall PLANT's, as well as each unit processes'
power consumption will be evaluated in relationship
to the PLANT's ability to meet its effluent standards.
Third, each piece of equipment will be evaluated to see
if it can be made a more efficient energy user, or be
replaced by a piece of equipment that is. And fourth,
evaluate the energy efficiency of the CITY's lift s. ta-
tions.
Task 3.
Evaluate using more energy efficient aeration system
with the existing digester gas driven blowers. Also,
the use of the existing generators will be evaluated
to determine if the PLANT's energy cost can be lowered.
The application of solar energy will be included in the
review.
Task 4.
Prepare a Final Report and present it to the City
Council detailing the ANALYSIS. De]fver 25 copies of Final
· Report to City.
Phase II - Design, Specifications and Contract Administration
If the City Council determines to proceed with an energy saving
system arising out of the ANALYSIS, the parties hereto may enter
into an Addendum to this Agreement wherein the scope of work for
Phase II would be approved.
