HomeMy WebLinkAboutReso 10-1983RESOLUTION NO. 10-83 CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA A RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT FOR PARAMEDIC TRAINING FIELD IN- TERNSHIP WITH STANFORD UNIVERSITY HOSPITAL that' BE IT RESOLVED by the City Council of the City of South San Francisco 1. Execution of Agreement. Execution of an Agreement entitled "Agreement for Paramedic Training Field Internship Experience Between Stanford University Hospital and South San Francisco Fire Department" is hereby authorized, and a copy of said Agreement is attached hereto as Exhibit "A." 2. Signature. The Fire Chief is authorized to execute said Agreement on behalf of the City, and the City Clerk attest his signature thereto. I hereby certify that the foregoing Resolution was regularly intro- duced and adopted by the City Council of the City of South San Francisco at a regular meeting held on the 19th day of January , 1983, by the following vote' AYES- Councilmembers Ronald G. Damonte, Gus Nicolopulos; and Roberta Cerri Teglia None None NOES' ABSENT ATTEST' City AGREEMENT FOR PARAMEDIC TRAINING FIELD INTERNSHIP EXPERIENCE BETWEEN STANFORD UNIVERSITY HOSPITAL AND SOUTH SAN FRANCISCO' FIRE DEPARTMENT THIS AGREEMENT, made and entered into as of the ]gth day of January , 1983, by and between the STANFORD UNIVERSITY HOSPITAL, a California nonprofit corporation (hereinafter referred to as "Stanford"), and SOUTH SAN FRANCISCO FIRE DEPARTMENT, a political subdivision of the State of California (hereinafter referred to as "Contractor"). W I T N E S S E T H : WHEREAS: A. Stanford conducts a Paramedic Training Program which provides pre-hospital care training for persons desiring to become paramedics in accordance with the provisions of the Wedworth-Townsend Act of California. B. Stanford is desirous that its trainees participating in the program obtain field internship experience by being assigned to mobile intensive care units operated by Contractor. C. Contractor has facilities for ~urnishing this field internship experience to the trainees participating in Stanford's program and is desirous of making its facilities available for this purpose. Paramedic Training Field Internship Agreement Page 2 NOW THEREFORE, the parties agree as follows: 1. Contractor agrees to provide a supervised program of field internship experience to the selected paramedic trainees in accordance with the terms and conditions stated in this agreement. Individuals supervising the internship experience shall be mutually acceptable to the parties. 2. The period of time for each trainee's field internship experience with Contractor shall be mutually agreed upon between Stanford and Contractor prior to the beginning of each trainee's field internship experience. Reasonable extensions of the internship may be agreed to by the parties if a particular trainee requires additional experience. 3. The number of trainees to participate in the field internship experience with Contractor at any given time shall be mutually agreed upon by Stanford and Contractor prior to the beginning of the field internship experience program, and may be modified from time-to-time by mutual agreement.upon the request of either party. 4. Stanford shall be responsible for selecting the individual trainees who will be assigned to Contractor and such selection will be made without regard to the race, creed, color, sex, handicap or national origin of the trainee. On or about four (4) weeks prior to the beginning of each trainee's field internship experience with Contractor, Stanford shall Paramedic Training Field Internship Agreement Page 3 forward to Contractor the name, biographical data, report of health status, and other appropriate information of each trainee selected by Stanford to participate in Contractor's field internship experience. Contractor shall have the right, prior to arrival of the trainees, to request from Stanford additional reasonable information concerning any or all of the selected trainees. 5. Contractor may request Stanford to withdraw from Contractor's field internship experience program any trainee who Contractor determines is not performing satisfactorily, or who refuses to follow Contractor's administrative and patient care policies, proCedures, rules and regulations. Such request must be in writing and must include a statement of the reason or reasons why Contractor desires to have the traineee withdrawn. 6. Stanford shall notify 'the trainees that the trainees shall be responsible for: (a) Following the administrative and patient care policies, procedures, rules and regulations of Contractor; (b) ACquiring and using the necessary and appropriate uniforms when not provided by Contractor; (c) Arranging for his or her own transportation and personal living accomodations and costs when not provided by Contractor; Paramedic Training Field Internship Agreement Page 4 (d) Arranging for his or her own health insurance. 7. Contractor shall maintain'completed attendance and progress records and reports on each trainee's performance and shall provide an evaluation for each trainee to Stanford on forms provided by Stanford. 8. Contractor shall, upon reasonable request, permit Stanford and/or appropriate governmental agencies charged with the responsibility of accrediting or approving the paramedic training program to inspect the Contractor's facilities, services, trainees' records, and such other materials which pertain to the field internship training program. 9. It is expressly agreed and understood by Stanford and Contractor that the trainees under this program are in attendance with Contractor for educational purposes, and they are not considered to be employees of Contractor for any purpose including, but not limited to, compensation for serwices, employee welfare and pension benefits, or workers' compensation insurance, unless a particular trainee or particular trainees assigned to Contractor also happen to be employed by Contractor and are participating in Stanford's paramedic training program in accordance with the terms of a separate agreement between stanford and Contractor whereby Stanford has agreed with 'Contractor to train selected employees of Contractor as paramedics. Further, it is agreed and Paramedic Training Field Internship Agreement Page 5 understood that the trainees in attendance with Contractor are not considered to be employees of Stanford for any purpose including, but not limited to, compensation for services, employee welfare'and pension benefits, or workers' compensation insurance. 10. It is agreed and understood that the parties to this agreement are independent contractors and that neither is the employee or employer of the other and that the employees of one are not the employees of the other. 11. Stanford agrees that it will be liable for any loss, injury, damage or liability incurred by reason of anything done or omitted to be done by the trainees, unless the particular trainee or particular trainees which cause the loss, injury, damage or liability are also employees of Contractor who are participating in Stanford's paramedic training program in accordance with the terms of a separate agreement between Stanford and Contractor whereby Stanford has agreed with Contractor to train selected employees of Contractor as paramedics. Further, Stanford agrees that it will be liable for any loss, injury, damage or liability incurred by reason of anything done or omitted to be done by Stanford, its officers, employees or agents in connection with performance of this agreement. 12. Contractor agrees that it will be liable for any loss, Paramedic Training Field Internship Agreement Page 6 injury, damage or liability incurred by reason of anything done or omitted to be done by Contractor, its officers, employees or agents in connection with performance of this agreement, and~ further, Contractor agrees that it will be liable for any loss, injury, damage, or liability incurred by reason of anything done or omitted to be done by the trainees, but only if the paticular trainee or particular trainees'which cause the loss, injury, damage or liability are also employees of Contractor who are participating in Stanford's paramedic training program in accordance with the terms of a separate agreement between Stanford and Contractor whereby Stanford has agreed with Contractor to train selected employees of Contractor as paramedics. ~ 13. Stanford and Contractor shall each maintain in full force and effect during the full term of this agreement liability insurance in amounts and written by insurance carriers satisfactory to Stanford and Contractor respectively. · 14. The term of this agreement shall commence on December 1, 1982 and shall continue in effect through November 30, 1983; provided, however, that this agreement may be terminated by either party upon giving thirty (30) days prior written notice to the other party. 15. The Director of Stanford's Paramedic Training Program and Contractor's authorized officer may mutually agree upon, .Paramedic Training Field Internship Agreement Page 7 and may formalize by a separate writing, the operational details of the field internship training program, and such separate agreement and writing will be binding on both Stanford and Contractor in the same manner as if they had been party of this agreement. 16. This agreement may be modified or amended without additional consideration at any time by'mutual consent of the parties. IN WITNESS WHEREOF, the parties hereto have executed this agreement in duplicate as of the day and year first hereinabove written.
