A RESOLUTION AUTHORIZING EXECUTION OF AN
AGREEMENT WITH T. H. ROGERS ASSOCIATES
FOR TECHNICIAL SERVICES
(BURI BURI LIGHTING PLAN)
BE IT RESOLVED by the City Council of the City of South San Francisco
that:
1. Execution of Agreement.
Execution of an Agreement for technical services (Buri Buri Lighting
Plan) between the City of South San Francisco, a municipal corporation and
T. H. Rogers Associates, a corporation, a copy of which is attached hereto
as Exhibit "A", is hereby authorized.
2. Signatures.
The Mayor is authorized to execute said Agreement on behalf of the
City, and the City Clerk attest his signature thereto.

and adopted by the City Council of the City of South San Francisco at a
regular meeting held on the 7th day of September , 1983,

AND THE CITY OF SOUTH SAN FRANCISCO
BURI BURI LIGHTING PLAN
THIS AGREEMENT is made and entered into this ?th day of September, 1983,
by and between the City of South San Francisco, a municipal corporation herein-
after referred to as "City", and T. H. Rogers Associates hereinafter referred to
as "Engineer".
WITNESSETH
WHEREAS, City desires to obtain the professional services of Engineer to
prepare plans for the project known as "Buri Buri Park Lighting Plan" and
Engineer is willing to perform said services.
NOW, THEREFORE, IT IS AGREED AS FOLLOWS'
1. City and Engineer shall perform the covenants and provisions set forth
in Exhibit "A" entitled, "Exhibit "A" to Agreement for Technical Services be-
tween T. H. Rogers Associates and the City of South San Francisco, Buri Buri
Park Lighting Plan", a copy of said Exhibit is attached hereto and incorporated
herein by this reference.
2. City and Engineer shall establish a schedule for the completion of said
work which is attached to this Agreement as Exhibit "B" and incorporated herein
by this reference.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date
set forth above.

EXHIBIT "A" TO
AGREEMENT FOR TECHNICAL SERVICES
BETWEEN T. H. ROGERS ASSOCIATES AND
THE CITY OF SOUTH SAN FRANCISCO
BURI BURI PARK LIGHTING PLAN
Engineer to program the following services:
1.1 To hold consultation meetings with the Department of Parks and
Recreation and other City staff as necessary for the purpose of
discussing various items of design, costs, and coordination, and
one City Council meeting and one Commission meeting a~ necessary
for .approval of the plans.
1.2 To prepare a preliminary lighting master plan to advise the City
of the numbers, locations, and types of lighting fixtures which
will provide adequate lighting for sports, parking, paths, and
security within park boundaries.
1.3 To prepare working drawings, technical specifications and budget
estimates for use in obtaining competitive bids for construction
for all phases including the following:
a. Parking lot lighting
b. Pathway and security lighting
c. Sign uplights - for one sign
d. One basketball court - lighting and controls
e. One tennis court, new lighting and controls
f. Play area security lighting
1.5 To assist with technical questions and addenda, if required during
the bidding period, and with the evaluation of the bids received
and selection of contractor(s).
1.6 To review contractors' submittals of equipment and materials data
for conformance with the plans and specifications.
1.7 To review and inspect the installation and operation of the lighting
system for conformance with the contract documents. Engineer shall
give City reasonable notice of the item of said inspections so that
· City representatives may be present. Engineer's observations and
inspections shall be supplemental to the City's normal site inspec-
tion program. Engineer shall review work and make recommendations
to the City's inspection staff based on his observations. All formal
changes, progress payments and related matters shall be through the
Director of Parks and Recreation.
2. The procedures for administering the provisions of this Agreement shall
be as follows-
2.1 The fee for all work performed shall be a fixed amount of Five
Thousand Eight Hundred Dollars ($5,800.00), invoiced in progress
increments. The estimated percentage breakdown of the total
scope of work is as follows:
a. Meetings and plan proposals 12%
b. Preliminary schematic plans

c. Study and report on energy use

e. Addenda and bid evaluation

g. Construction and operation review

2.2 Additional services shall be based upon hours actually expended,
invoiced at rates as follows-
a. Drafting services
$36.00 per hour
b. Technical design services
$45.00 per hour
c. Principal professional services
$54~00 per hour
2.3 Engineer to furnish all printing except final printing for bidding
purposes, and three (3) sets of reproducibles for all plans°
2.4 Printing of plans and specifications for bidding and construction
shall be by the City.
2.5 Termination If the contract is terminated by either party, the
Engineer shall be paid for completed work done in accordance with
the hourly fee schedule.
2.6 .City and Engineer shall develop a time schedule outlining Completion
dates for the entire scope of work. The time for completion of per-
formance may be reasonably extended by agreement of both the parties.
2.7 City shall furnish the Engineer prints of all necessary surveys and
utility drawings and plans for its use.
2.8 Engineer agrees to provide and maintain the following insurance
during the duration of the project'
a. Workers' Compensation as required by law.
b. Comprehensive General Liability Insurance with.limits not less
than $1,000,000 each occurrence. Such policy shall include con-
tractual liability and completed operations coverage.
c. Comprehensive Automobile Liability Insurance, with limits not
less than $500,000 each occurrence and $500,000 property damage
liability for each occurrence.
d. Professional Liability Insurance, with limits not.less than
$250,000 for any one claim.
As a provision of the Comprehensive General Liability Insurance and the
Comprehensive Automobile Liability Insurance, the coverage shall include', as
additional insured under the policies, the City, its elective and appointive
boards, commissions, officers, agents and employees with respect to work per-
formed by the Engineer.
The insurance policies provided for in this Section which include the City~
its elective and appointive boards~ commissions, officers, agents and employees
as an additional insured shall contain the following endorsement.
"Notwithstanding any other provision in this policy, the insurance
afforded hereunder to the City of South San Francisco shall be
primary as to any other insurance or reinsurance covering or avail-
able to the City of South San Francisco, and such other insurance or
reinsurance shall not be required to contribute to any liability or
loss until and unless the approximate limit of liability afforded
hereunder is exhausted"
As evidence of said coverage the Consultant shall forward Certificates of
Insurance, upon request, which shall include a provision for a cancellation
notice of not less than thirty (30) days, directed to the City Further, the
Consultant shall, upon request, submit for inspection any such insurance
policies to the City.
2.9 RESPONSIBILITY; INDEMNIFICATION
Engineer shall indemnify, save harmless, and at City's request,
defend City, its employees, agents and representatives from and
against all claims, demands, actions, causes of action, losses,
damages, liabilities, costs and expenses including reasonable
attorney's fees or obligations, for or in connection with injury
or damage to any person or property which arises out of or is in
any way connected with the negligent act, error or omission of
Engineer and its agents, subcontractors, or employees as a result
of Engineer's rendition of services under this Agreement.
3.0 Work shall be completed per the agreed-upon schedule outlined in
Exhibit "B" to be determined at the beginning of the work. Work
schedule shall accompany Agreement for' Engineer Services when
submitted for approval.
3.1 Time is of the essence and the Commencement, Completion, and Phas-
ing of Work as set forth in Exhibit "B" which is attached hereto,
and incorporated herein as a part of this Agreement, shall provide
the time provisions applicable to this Agreement.
3.2 Liquidated Damages' It is agreed by the parties to this Agreement
that in case all the work called for under said Agreement in all
parts and requirements is not finished or completed within the dates,
as set forth in Exhibit "B", damage will be sustained by the City,
and that is and will be impracticable and extremely difficult to
ascertain and determine the actual damage which the city will sustain
in the event of and by reason of such delay; and it is therefore agreed
that the Engineer shall pay to the City the sum of $100.00 per day for
each and every calendar day's delay in finishing all work under said
Agreement, in excess of the number of calendar days; and the Engineer
agrees to pay said liquidated damages herein provided for, and further
agrees that the City may deduct the amount thereof from any moneys due
or that may become due the Engineer under said Agreement.
