A RESOLUTION AUTHORIZING EXECUTION OF AN
AGREEMENT WITH WESTERN TV CABLE TO EXTEND
SERVICE TO THE GATEWAY ASSESSMENT DISTRICT
NO. ST-82-2
BE IT RESOLVED by the City Council of the City of South San Frahcisco
that:
1. Execution of Agreement,
Execution of a letter Agreement between the City of South San Francisco
and Western TV Cable to extend service to the Gateway Assessment District No,
ST-82-2 is hereby authorized, and a copy of said Agreement is attached hereto
as Exhibit "A".

The City Manager is authorized to execute said Agreement on behalf of
the City~
I hereby certify that the foregoing Resolution was regularly introduced and
adopted by the City Council of the City of South San Francisco at a reqular
meeting held on the 5th day of October , 1983~ by the following vote:

EXHIBIT "A" TO RESOLUTION NO. 138-83

Dear Mr. Yee,
Below are the terms and conditions by which Western TV Cable will provide
Cable TV service to the Gateway Assessment District:
1) Extension of the Cable TV System to the East side of Hiqhway 101
"The Grand Avenue Overpass Extension"
Western TV Cable Line Extension Policy--Exhibit A; SSF Ordinance 835-80
Section II C 2:
'~xtension of the System in excess of 200 feet will require a written agreement
specifying the terms under which Western TV Cable will install the
extension and then the developer will pay the costs. These costs are
intended to be non-refundable. However, it is recognized that extensions
made might later be used to provide service to other subscribers along
that extension or to other subscribers of future or existing development
beyond the subject subdivision or development. Therefore, the refundable
status of the costs paid by the developer, for the extensions of the
system beyond the boundaries of the subdivision or development in excess
of 200 feet, shall be stated on the written agreement between Western
TV Cable and the developer".
When the cost of the "Grand Avenue Overpass Extension" is known vis-a-vis
Western TV Cable's receipt of the bill for the work from the City of
South San Francisco, Western TV Cable~will apply for reimbursement
from the Gateway Assessment District exclusive of the prorated cost
of the first 200 feet.
Three years following the execution date of this agreement Western
TV Cable will calculate the then current monthly revenue generated
east of the railroad right of way earned as a result of the extension
here in question. That percentage of the revenue earned from other
than Gateway Project subscribers will be considered against the costs
paid by the Gateway Assessment District for the extension and the appropriate
monies developed by the calculation will be refunded to the Gateway
Assessment District.

Note: The Gateway Assessment District is paying the cost of providing~'
for the Cable line extension. Western TV Cable is solely responsible
for the cost of cable and electronicS.
Underground Distribution System within The Gateway Assessment
District
A) Pursuant to LINE EXTENSION POLICY-EXHIBIT A; SSF ORDINANCE 835-80,
Western TV Cable will require that the developer, in this case
the Gateway Assessment District, provide and construct, or bear
the costs of constructing, a substructure of conduit and distribution
boxes as required by Western TV Cable engineering design for distribution
and for connection to potential users.
B) Western TV Cable will engineer and design the required substructure
system upon receipt of the PG&E preliminary trenching plan. Western
TV Cable will utilize joint trenching to the maximum possible extent.
C). Western TV Cable will provide and install 'all electronics, distribution
equipment, cable, and other hardware required to assemble the cable
television distribution system in .the substructure proVided.
D) .Western TV Cable will make connections to each living unit requesting
service at the rates and charges to the subscriber as permitted
in the franchise agreement.
