A RESOLUTION AUTHORIZING EXECUTION OF AN
AGREEMENT WITH MARTIN CARPENTER ASSOCIATES
TO PREPARE REVISED HOUSING ELEMENT FOR THE
CITY OF SOUTH SAN FRANCISCO
BE IT RESOLVED by the City Council of the City of South San Francisco
1. Execution of Agreement.
Execution of an Agreement entitled "Consultant Services Agreement"
between the City of South San Francisco and Martin Carpenter Associates is hereby
authorized, and a copy of said Agreement is attached hereto as Exhibit "1".
2. Signatures. The Mayor is authorized to execute said Agreement on
behalf of the City, and the City Clerk attest his signature thereto.
I hereby certify that the foregoing Resolution was regularly introduced
and adopted by the City Council of the City of South San Francisco at a regular

CONSULTANT SERVICES AGREEMENT

THIS AGREEMENT is made at South San Francisco, California~ as of April 2
1984, by and between the CITY OF SOUTH SAN FRANCICO (hereinafter referred to as
-"CITY") and Martin Carpenter AssociateS~ a. California Corporation, (hereinafter
referred.to as "CONSULTANT"), who agree as roi.lows:
1~ Services~ Subject to the 'terms 'and conditions set forth in this Agreement~
Consultant shall provide, to City the services described in Exhibit "A", "Proposal
to prepare Revised Housing Element for City of South San Francisco," January.17,
1984~ attached hereto and by this reference incorporated herein as though set forth
verbatim.
'2~ Compensation~ City shall pay Consultant for services rendered pursuant
to this Agreement at the time and in the manner set forth in Exhibit "B" attached
hereto and by this reference incorporated herein as though set forth verbatim.
._The payments specified in Exhibit "B" shall be the only payments to be made to
Consultant for services rendered pursuant to this Agreement~ Consultant shall
submit all billings for said services to City in the manner specified in Exhibit

3~ Facilities and Equipment~ Consultant shall, at its sole cost and expense,
furnish all facilities and equipment 'which may be required for furnishing its

business activities,
6. Insurance. The Consultant shall take out aF.~ maintain during the life
of this Agreement the following policies of insurance:
{a) ~'orker's Compensation an~ e~ployers' liability insurance in the
statutory amount, as applicable.

(d) Contractual Liability Insurance. C~nsultant shall take out and
maintain during the life of this Agrea~eF~t an insurance policy in the amount

and appointive boards, commissions, offl-ers, ag6~=~ and employees, and Consul-
tant against damages sustained by reastn of any act~>n or actions at law or
in provisions thereof, or by reason o~ ary contra-~l liability, or alleged

Francico, and such other insurance or reinsurance shall not
be required to contribute to any liability or loss until and
unless the a~roximate'limit of liability afforded hereunder
is exhausted.'~

gations, f.sr or in connection with personal injury (including death) and proPerty

error or c-ission of Con_='~ltant and its agents, subcontractors, or employees as
a result ~f Consultant's ~endering of services under this Agreement.
8. ~s~ of Subcontractors. Unless ~ritten approval from the City is received,
the Cons"';~.nt shall not ~'.~bcontract any services to be provided hereunder,
except f.~r service firths ~ngaged in reproduction~ typing and printing. Consultant
shall b~ s:~ely respo.qsi~ie for reimbursing any subcontractors and the City
shall h~-'.'e no obligation to them,
9. Assi§n~ent. Consultant shall not assign any of its rights nor transfer
any of its obligations under this Agreement without the prior written consent of
the Ci'ty, wSich consent may be withheld at the sole discretion of the City
10. Termination. ~he City may terminate this Agreement upon ten (10) days
written notice to the Consultant in the event of substantial failure by the
Consultant to perform in accordance with the terms of this ~greement through
no fault of the City] In the event of Termination~ the Consultant shall deliver
to the City all work products.co~p!eted to date, and shall be paid by the City
for all services performed to date in accordance with terms of the Agreement.
11. Consul~ant's Qualifications. By executing this agreement, Consultant
holds himself out as a qualified City and Regional Planner, possessing the
experience and specialized skills necessary to perform the tasks mentioned in
Paragraph I herein and agrees that.he will render to the best of h~s ability the
services described in that paragraph during the full term of this agreement.
12. Consultant's Status. The services shall be provided City as set forth

herein by Consultant 'as an independent consultant, as d~f~ed in Labor Code
Section 33~, under the general control of the Director of Com. munity Development
of the City of South San Francisco, concerning the results of the work, but not
the means by which such result is accomplished. Nothing herein contained shall
be construed to make the Consultant an agent Or employee of City while providing
said services, a~d Consultant shall be entitled to no other benefits or compen-
sation exc~ as provided herein.

Thank you for inviting us to submit this proposal to assist you in
updating the Housing Element of the South' San Francisco General
· Plan. Our proposal includes a summary of our understanding.of the
project, a list of the various tasks, to be proposed under the scope
of work and the qualifications of our-firm members. As in past
contracts with the City of South San Franc.isco, I would be the
Project Director responsible for preparation of. the updated Housing-
Element if we are selected. We propose to accomplish the entire
update for a maximum budget of $9,500. We would be willing to work
either on a lump sum or time and materials basis at your direction.
I am sure that we can easily complete the Housing Element Update
prior to July 1,.1984 as indicted in our proposed schedule.

OUR UNDERSTANDING OF THE PROJECT
In 1981 the South San Francisco City Council adopted its current Housing
Element. The element was designed to meet both the California Depart-
ment of Housing and Community Development (HCD) Housing Element Guide-
lines in effect prior to October l, 1981 and the revised Housing Element
statutes contained in Government Code Article 10.6..Although the element
was rejected by HCD on the primary basis that it did not contain the
ABAG Housing needs' numbers, it was determined to be adequate 'through
adjudication by San Mateo County Superior Court in the suit Pollard et al
versus South San Francisco,
The Housing-Element Statute, now in effect, requires an.update of each
~urisdiction's plan bY July l, 1984. That revision should include an
update of the City's data base using the 1980 Census and the most
recently available population, employment and housin§ projections.
It is our understanding that the City desires to update and revise its
1981 Housing Element in accordance with the Statute and to seek a
positive review of that plan from HCD. We propose to help the City
accomplish that objective.
It is our understanding the consultant w~ll be required to complete the
following tasks as part of the revision process-
1. Update the population, employment and housing data base using the
1980 U.S. Census.
2. Incorporate the most recent projections Of population, employment
and housing into the plan.
Incorporate acceptable housing needs determination into the plan.
4. Prepare Administrative Draft Housing Element Reports.
5. Present the Draft Housing Element to the Planning Commissien and
City Council at required public hearings.
6. Seek acceptance of the document by 'HCD.
7. Produce a camera ready copy of the final adopted Housi;~ Element
for publication by the City.
It is also our understanding that the citizen participation process
to be 'used in preparation of the Draft Housing Element will occur

OUR APPROACH TO THE PROJECT
he principals of Martin. Carpenter Asz~ciates have had broad experience
in providing'planning services to comunities with characteristics
similar' to those of South San Francis:.~. Each member has worked
extensively ~'ith California cities an~ counties in all phases of.
:urrent and advance planning. Exanpl=_s of past and present clients

jargon. Our product would-.be designe: in compliance with the 1981
statutes relating to the content of h:.Jsir~g elements (Government Code

.Past Experience in the City of South S~n Francisco
We feel that Martin. Carpenter. Associates has a major asset in its
knowledge and past experience workincj with the City ol= South San Fran-
cisco. Mr.' Neal Martin, President of the firm, has been a consultant to
the Planning Department continuously fram 1965 to tI~e present. On t~m
occasions, for approximately one year e~ch, Mr. ~.tartin served as Acting
Planning Director. of the City. Mr. l.',.=_rtin was a Vice-President of Hahn-
Wise & Associates and consultant in ck=-r§e of'worki~I with the City
staff to prepare the 1969 docum'ent "Orderly Growth" and the Hous~§
Element. In addition, Mr. Martin pre.~.=~red the Subd~¥ision Ordima:ce
which is currently in use by the City. He preparect the Housing) Element
currently in effect in South San Francisco. ~,le feel that this extensive
experience and knowledge'of the City's goals, obSectives and policies
would be of value in preparing the up~=_ted plan.
Timing and Consultant Availability
Martin. Carpenter. Associates would be =~¥ailable to be§in work i~r~qediately
upon execution of a cohtract for planning services. It would be our
intent to deliver-the administrative draft of the element for ~taff
review within eight weeks from the proj=~ct beginning date. The admini-
strative draft would be reviewed by tVe Planning Division staff prior to
submitting a formal draft to the Planning Commission and City Council.
Progress reports would be submitted on a monthly basis including reference
to any major problems encountered. 0~? firm is particularly responsible
about meeting deadline co.~,,~itments. ?=_st client references will attest
to this quality.
Cal ifornia Environmental Quality Act

~e ;.~ill work with the Planning Divisic_q staff to thoroughly prepare the
checklists and initial study required ~y the California Environmental
Quality Act. We will prepare written responses to all topics ~here a
potentially significant impact is fouF~. Should the initial stt~..-ty
lead to the conclusion that a Negati¥-~ Declaration will be appropriate,
we will help the Planning Division st=_-'f prepare that documentation.
Should the initial study lead to the '-_~nclusion that an EIR should be
prepared we would be pleased to prepa.--~ such a document for the City.
Howe,~er, the preparation of an EIR is ~-eyond the scope of this proposal
and >dditional financial arrangemer~ts for the preparation oi~ that document
would be necessary.

PROPOSED WORK PROGRAt4
This section of the proposal con-:ists of a description of the work
tasks that would be undertaken to complete the revised Housing Element.
If selected, our first task would be to meet with the City staff to
refine, detail and.perhaPs amend this work program to assure that it
is consistent with the City's objectives.
Task l- _Prepare Outline of Revised Housing Element
This task will involve working with the'Planning Division staff to
prepare a refined outline of the Housing Element Revision.' Our objective
would be to achieve compliance with the Housing Element Statute
(Government Code Article 10.6). Our intent would be to address each
specific requirement as stated ir. the .Statute, taking into consideration
the individual characteristics of South San Francisco. This task
would also include an identification of'issues to be discussed and
resolved through the Planning Co~}ssion and City Council
process. ..
Task .2- Update all Basic Information Using 1980 Census and Other Recent
Data Sources
This task involv, es updating the existing "Technical Housing Data"
appendix and other data items in the report to reflect the results of
the 1980 U.S. Census and other available recent studies. This updated
data will be presented in tabular form by census tract and for the
City as a whole. ABAG's "Projections '83" will be included as the
City's .population and employment projections. ABAG housing needs
numbers will be included to the extent that they are acceptable to the
City.
Task 3- Review Base Data, projections and Issues with Staff and
lndividual Commission and Council Members'
After all base data, information, projections and issues have been
completed or identified, the information will.be reviewed with City staff
Any required additional information ,,.till be prepared 'and the report out-
line will 'be modified if necessa'."-y to reflect any issues or details
emerging during this review. If desired, we will meet with.the Planning
Commission and City Council, eit~:-=-r individually or in regular session to
review progress on the project a:~d to obtain input from these bodies.
The product of this task will be an update of the technical housing data
appendix, to provide the base data requirements called for in the Housing
Element Statute. This will also include an identification of any new or
changed issues which have evolve-' since the preparation of the existing
element.

approval of the document from HCD, w~ich we-have used successfully in
c. ther jurisdictions. That'strate§y involves carefully addressing each
statutory requirement and'tailoring the contents of each section to fit
the special circumstances in South S=.n Francisco. The Housing Element
~ill contain specific Government Coda references for each .required piece
cf information. Those references will be in the form of margin notes or

Exclusions and Limitations
It is requested that the City provide all computer printouts of the 1980
U..S. Census Data available either from the Bureau of Census or the Associa-
tion of Bay Area Governments.
The consultant will prepare plans in a form for adoption by the client.
However, the consultant cannot guarante'e or warrant that the proposed
element will be adopted by the local agency of jurisdiction.

STATEMENT OF QUALIFICATIONS
Martin. Carpenter. Associates 'is a firm specializing in com~nunity and
regional planning, environmental impact reporting and interagency coordina-
tion- The firm was formed in 1972 and has worked primarily in the San
Francisco Bay Area. The firm's planning experience ranges from plan

City of Fairfield is a mixed use concept involving light

- San Juan Area, Belmont. The specific plan for this developin§
neighborhood included residential design, lot consolidation and

commercial and executive office uses in a one square mile
developing neighborhood
- Rancho Canada de Verde, San'Mateo County. A 2,000-acre timber
management and harvesting plan was compiled with a homesite

Reiners and Hayes, .HCA prepared the Specific Plan to be adopted
as a General Plan'Amendment, for this 800-acre project which
incorporated a championship golf course and 1700 residential
dwelling units, adjacent to the City of Fairfield
- SyCamore Valley,' Contra Costa County. In 1979 Martin.Carpenter.
Associates served as environmental planners for the unincorporated
Sycamore Valley, 2~300-acre residential and commercial development
