CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA
A RESOLUTION ORGANIZING THE SOUTH SAN FRANCISCO
INDUSTRIAL DEVELOPMENT AUTHORITY AND PROVIDING
RULES FOR SAID AUTHORITY'S OPERATION
WHEREAS, the California Industrial Development Financing Act (Commencing
with Government Code Section 91500) (hereinafter the "Act") provides for
the establishment and authority to conduct business of an Industrial Develop-
ment Authority in cities in the State of California; and
WHEREAS, the City Council of the City of South San Francisco (hereinafter
"City Council") did, by Ordinance No,946-84 , adopted March 28, 1984 ,
1984 and effective thirty days thereafter, properly declare that there exists
a need for the Industrial Development Authority (hereinafter "Authority") to
function in the City of South San Francisco (hereinafter "City"); and
WHEREAS, Ordinance No~ 946-84 did lawfully establish the Authority; and
WHEREAS, the Act provides that the City Council may be ex officio the
Board of Directors of the Industrial Development Authority (hereinafter

"Board"), which Board is the governing body of the Authority;
NOW~ THEREFORE, BE IT RESOLVED by the City Council of the City of South
San Francisco that:
1~ Council Declared Board~ The City Council is hereby declared to be
the Board of Directors of the Industrial Development Authority pursuant to
the authority contained in Section 91523 of the Government Code~
2~ Chairperson'' The Mayor of the City shall be ex officio the Chair-
person of the Board, and in such capacity shall-
a) Sign all contracts on behalf of the Authority; and
b) Perform other duties as needed and imposed by the Board
3. Secretary. The City Clerk of the City shall be the Secretary of
the Authority, and in such capacity shall perform such duties as imposed

4' Treasurer The Treasurer of the City shall be ex officio the
Treasurer of the Authority'~, and in such capacity shall'
a) Perform the duties of Treasurer of the Authority; and
b) Install and maintain a system of auditing and accounting that
shall at all times show the financial condition of the Authority;
and
c) Assist the Manager of the Authority in completing all required
reports of financial transactions of the Authority, including
,
statements of revenues and expenditures
For the purpose of fulfilling the duties set forth above, the Treasurer
may call upon the Director of Finance of the Authority for assistance
5 Manager The City Manager of the City shall be ex officio the Manager
of the Authority, and shall perform such duties as assigned to the Board.
6~ Attorney' The City Attorney of the City shall be ex officio the
Attorney for the Authority, and in such capacity shall perform the duties of
an attorney as imposed by the Board.
7~ Director of Finance~ The Director of Finance of the City shall be
ex officio the Director of Finance for the Authority, and in such capacity
shall:
a) Assist the Treasurer in the performance of his duties, as
requested; and
b) Perform other duties as prescribed by the Manager of the
Authority.
8~ Meetings~ The Board's regular meetings shall be held annually on
the second Wednesday in April at 7:00 p~m~ in the Community Room of the
Municipal Services Building~ 33 Arroyo Drive. South San Francisco~ California~
The Board may hold such special meetings as it deems necessary and shall pro-
vide public notice of all special meetings as required by the Ralph M Brown
Act (Government Code Section 54950 et seq,).
9~ Rules for Proceedings~ The Rules for Proceedings applicable to the
Board generally shall be those rules adopted and in use by the City Council.
Notwithstanding the foregoing, no resolution or motion shall be passed or
become effective without the affirmative votes of at least a majority of the
members of the Board~
10~ Fiscal Year~ The fiscal year of the Authority shall be from July 1
of one calendar year through June 30 of the calendar year immediately following~
