BE IT RESOLVED by thee City Council of the City of South San Francisco
that:
1. Execution of Agreement.
Execution of an Agreement entitled."Agreement Between the Count~ of San
Mateo and the City of South San Francisco--for the Linden & Miller-Avenues Traffic
Signal Modifications Projis hereby authorized, and a copy of said Agreement is
attached hereto as Exhibit "1~"
' 2." Signatures.
The Mayor is authorized to execute said Agreement on behalf of the City,
and the City Clerk attest his signature thereto.
I hereby certify that the foregoing Resolution was regularly ~ntrocluced and
adopted by the City Council of the City of South San Francisco at a regular

RESOLUTION NO. 45827
RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT BETWEEN THE
COUNTY OF SAN MATEO AND THE CITY OF SOUTH SAN FRANCISCO IN
CONNECTION WITH THE LINDEN AND MILLER AVENUES PROJECT
RESOLVED, by the Board of Supervisors of the COunty of San
Mateo, State of California, that.
WHEREAS, the City of South San Francisco is participating
in the City/County Highway Program for San Marco County; 'and
w~EREAS, it is necessary and desirable to modify the signal
system at Linden and Miller. Avenues; and
WHEREAS, :a" form'of agreement providing for reimbursement to
the City_of South San Francisco for certain costs of ~he Linden
and Miller Avenue's signal project has been presented to this
Board of Supervisors; and
WHEREAS, the Director of Public Works has recommended to the
Board that said agreements be executed, and this Board finds it
necessary and desirable that said agreements be executed by this
Board on behalf of the County of San Mateo:
NOW, THEREFORE, IT IS HEREBY DETERMINED AND ORDERED that the
Chairman of this Board of Supervisors be, and 'is hereby, authorized
and directed to execute said. agreements with the City of South
San Francisco for and on behalf of the CoUnty of San Mateo and
the signature of the Clerk of this Board shall attest thereto.

AGREEMENT
BETWEEN THE COUNTY OF SAN MATEO AND
THE' CITY OF SOUTH SAN FRANCISCO FOR
THE LINDEN g MILLER AVENUES TRAFFIC.
SIGNAL MODIFICATIONS PROJECT
THIS AGREEMENT, entered intO this ~'~day of ~~ ,
1984, by and between the. COUNTY. OF SAN MATEO, a political subdivision

of the. State of California, hereinafter called "County," and'the
CITY OF SOUTH SAN FRANCISCO, a General'LaW City of the County of San
Mateo,.State of California, hereinafter called "City";
" WiTNESSETH ·
WHEREAS, Section 186.3 of the Streets and Highways Code provides
that the expenditures of funds apportioned by a County pursuant to
Section .2106 of sai.d Code for construction of streets not under the
jurisdiction of the County that complements the.system of roads or
streets of the CoUnty, shall be deemed an expenditure upon the street
system of the County making such expenditure; and
WHEREAS, certain major street projects within the.City are of
areawide interest and benefit to the County of San Mateo as a whole;
and
WHEREAS, the City of South San Francisco finds that the installa-
tion of a modified'traffic signal system at Linden Avenue and Miller
Avenue wOuld be in the public interest, and proposes to let a contract
for such project; and
WHEREAS, the County agr~e~ that such a traffic signal project
would complement the County street system·
NOW, THEREFORE, IT,IS HEREBY AGREED BY THE PARTIES HERETO, AS
FOLLOWS'
1. City .agrees to submit to the State Controller of the State
of California all notices and reports required to make this'project
. .
eligible for expenditures of Section 2106 funds.
2. County'agrees to reimburse City from .~ection 2106 monies
of its road funds an amount equal to two-thirds {2/3) of the eligible
City.streets and various eligible roadway items of work not to

exceed the sum of $20,000.

3. City agrees that ~project shall~be advertised for bid by
June 30, 198~.
4. ^tt.ached ~xhibit "A" lists the eligible City streets and
various eligible roadway items of ~ork within the City limits of
City.
5. City agrees to make all payments to contractor for work
completed in the construction of~ said impr°vements.
6' City shall furnish County with.all documents requested by

Co.unty in'order to verify quantity calculations prior to City's
seeking..reimburs'ement for such Costs Under Paragraph Z of this
agreement-.
7. City ~ill furnish the design engineering necessary for
..
preparation of"plan'S', Specifications, and e~gineer's estimate for
the entire pr°ject. '"
8. City will furnish' constrUction engineering, including
surveying, necessary for the construction of the improvement for
the ent'ire project.
9. County agrees' to make payments hereinabove provided for
:
on a progress payment basis. The Couniy ~¢ill repay the City for
County's pro-rata share of citY's disbursement for el'igible items
after receipt from City of a certification of the progress paymen~
made by City to 'the-contractor.
10. City agrees that' said County' aid, as herein provided, .shall
be used solely for design engineering, constr~ction inspection and
construction of said improve~ents hereinab°ve mentioned.
11. City agrees to furnish such. reports' and accounts of the
expenditure of such aid £unds as County reasonably d'eems necessary
and convenient.
12. City ~arr~ants that it will comply with ali rules, r~egulations
and la~¢s of the State and Federal governments, including but not ii-.
mited to Section 7260 et seq. of the Government Code ~nd Public La~
91-646, and that'County shall not be responsible for City's failure
to so comply. Further, city shall hold county harmless from any
failure by City to comply with all rules, regulations and laws of
the State and Federal governments.

13. Said County being deemed a responsible agency shall be

included .in the environmental review process as discussed in the
· .
·
Guidelines for Implementation of the California Environmental
Qhality Act '(CEQA) of 1970, as amended.
14. The City shall indemnify and save.harmless the County,
its officers, agents and employees from all claims, Suits or
actions of every name, kind and description brought for, or on
account of, injuries to or death of any person or d~mage to pro-
petty res.ulting from the negligent acts or omissions of the City~
-it.s officers, employees or agents in the performance of this
agreement.
IN lVlTNESS WHEREOF, the parties hereto have caused this
agreement to be executed by their duly a~thorized officers on
