REDEVELOPMENT AGENCY OF THE CITY OF SOUTH SAN FRANCISCO
STATE OF CALIFORNIA
A RESOLUTION APPROVING THE FIRST AMENDMENT TO THE AMENDED
AND RESTATED OWNER PARTICIPATION AGREEMENT WITH THE HINES
INTERESTS FOR THE GATEWAY REDEVEI DPMENT PROJECT AREA
WHEREAS, in March, 1981 the Redevelopment Agency of the City of South San Francisco
entered into an Owner Participation and Development Agreement with Homart Development Company
concerning the development of several parcels of land owned by Homart and located in the Gateway
Redevelopment Project Area; and
WHEREAS, the Owner Participation and Development Agreement was subsequently amended
several times; and
WHEREAS, in August, 1992, the Redevelopment Agency approved an Amended and Restated
Owner Participation and Development Agreement with Homart Development Company which superseded
the previous Agreement; and
WHEREAS, the Hines Interests (HMS Office, L.P.) have subsequently acquired the interests of
Homart Development Company in the Gateway Project; and
WHEREAS, the Hines Interests have requested that the Redevelopment Agency enter into a First
Amendment to the Amended and Restated Owner Participation and Development Agreement (hereinafter
"First Amendment"); and
WHEREAS, the First Amendment would amend Section 3.2.1 of the agreement, relating to
permitted densities of office and research and development uses of properties covered by the agreement,
and would otherwise provide for greater flexibility of uses on the two undeveloped sites covered by the
agreement; and
WHEREAS, the Hines Interests have retained the services of a Waffle consultant who has
determined that the proposed land use changes would not cause traffic demands to increase beyond those
contemplated by the Amended and Restated Owner Participation and Development Agreement; and
WHEREAS, the Redevelopment Agency desires to ensure the continuation of quality development
within the Gateway Project area in the future.
NOW, THEREFORE the Redevelopment Agency of the City of South San Francisco does hereby
resolve as follows:
1. The Redevelopment Agency of the City of South San Francisco hereby approves the First
Amendment to the Amended and Restated Owner Participation and Development Agreement, and hereby
authorizes and directs the Executive Director to execute the same on behalf of the Redevelopment Agency
of the City of South San Francisco.
I hereby certify that the foregoing Resolution was regularly introduced and adopted by the
Redevelopment Agency of the City of South San Francisco at a regu] ar'meeting held on the 13th
day of August , 1997, by the following vote:
AYES: Boardmembers dames L. Oatzman, Eugene R. Mull5n, dohn R.
Penna, Robert Yee and Chairman Joseph A. Fernekes
