RANDLETT, AS ~GINEER, TO PREPARE PLANS AND SPECIFICATIONS AND SUPERVISE THE CONS'~RUCTION AND INSPECTION OF A JOINT DOMESTIC AND IN- DUSTRIAL SFgAGE TRE&TMENT PLANT AND S~'.[AGE COLLECTING SYST~ IN FHE CITY OF SOUTH SAN FRANCISCO. RESOLVED by the City Council of the City of South San ~'rancisco that said city employ CHARLES E. RANDLETT, Civil Engineer, to prepare plans and specifications and supervise the construction and inspection of a joint domestic and industrial sewage treatment plant and sewage col- lection system in the City of South San Francisco. Said City of South San Francisco will enter into an agreement with said Charles E. Randlett, to be dat~deMarch 6, 1950, and provide substantially as follows: "THIS AGREEMENT, made and entered into this 6th day of March, 1950, by and between the City of South San Francisco, a municipal corporation in the County of San Mateo, State of California, party of the first part, and Charles E. Randlett, Civil Engineer, party of the second part, WITNESSETH: (1) The City of South San Francisco hereby employs said Charles E. Rand- lett,as an engineer to prepare plans and specifications and supervise the const~ction and inspection of a joint domestic and industrial sewage treatment plant, and sewage collecting system. (2) The said Charles E. Randlett, in performance of the services as such engineer, will do the following: A4 Prepare complete plans and specifications for the construction of said project and prepare and present to the state Board of Health the necessary applications for permits for the construction and operation of such treatment plant. 452 B. Supervise and inspect all such work during construction. Furnish all necessary engineering assistance, equipment and supplies for surveys, plans and specifica- tions, inspection and construction, and pay all exoenses incident to the carrying out of the engineering services herein enumerated. C. Retain as consultant a reputable sanitary engineer satisfactory to the City Engineer of San Bruno, plans for the sewage treatment plant, to have said consul- tant's approval. All persons who are to do any inspection work in connection with the cons- truction of the domestic portion of the sewage treatment plant shall, before their employment, be approved by the said engineer of the City of San Bruno. In the event of any disagreement between the City of South San Francisco and Charles E. Randlett, concerning the domestic portion of the sewage treatment plant, res- pecting any obligation of said parties under Chis agreement, or in the interpretation of this agreement, any such matter or subject of dispute, shall be submitted to arbitration in the following manner: The Mayor of the City of South San Francisco and the City Engineer of the City of San Bruno shall select a competent disinterested engineer and said Charles E. Randlett shall select another disinterested and competent engineer. These two engineers so selected shall select a third disinterested and competent engineer. The determination of the engineers so selected as herein provided, shall be binding on both said parties. In full compensation for such services, the City of South San Francisco will pay said Charles E. Randlett six Dercent (6%) for the preparation of plans and specifi- cations of the industrial portion of said sewage treatment plant, and the sewagecollection facilities; four and one-quarter percent (~) of the domestic portion of the sewage treatment plant; two percent (2%) for inspection during construction; and five percent (5%) for con- struction engineering. These engineering services shall not include: (1) Field and site surveys for preliminary investigatiohs; (2) Field surveys for design; (3) Foundation explorations, such as boring, test pits, and soil mechanics laboratory investigations; (~) Laboratory test- ing of material to be used in construction. If the services of said Charles E. Randlett are required for these services, the City of South San Francisco will pay his actual expenses in- cluding office and overhead expenses, plus ten percent (10%) of such expenses for the work done. The cost on which said fee is based shall not include the cost of legal services, cost of legal publications, election, issuance of bonds, and clerical and office ex- pense of the city in connection with this work. This engineering cost will not include the cost of rights of way necessary for the construction of said prooosed projects nor the cost on engineerin~ during construction. It is agreed however that the City of South San Francisco will be allowed a credit by Charles E. Randlett for the payments made for that portion of the work which had been completed at the time of the death of John E. Estes. The fee for engineering incurred in the preparation of plans and specifica- tions shall be oaid by the City of South San Francisco to Charles E. Randlett,a~ follows: Each month following the date of this agreement, said Charles E. Randlett will render to the first p~rty a statement showing the percentage of completion of the work of preparing such plans and specifications, thereupon said Charles E. Randlett shall be paid by said city three-quarters (3/d) of the value of the percentage of the work performed on the in- dustrial portion of the sewage disposal plant, and one-half of the value of the percentage of the work performed on the domestic portion of the sewage disposal plant. Remainder of the cost of preparation of said plans and specifications shall become payable to said Charles E. Randlett upon the completion of said plans and specifications and their approval by the California State Department of Public Health. Balance of two percent (2%) for inspection and five percent (5%) for construction engineering will be paid monthly to said Charles E. Randlett on monthly estimates showin? the percentage of actual work completed under any contract which may be enter- ed into for such work. Payments for engineering services performed on the sewage collecting system shall be made upon monthly statements rendered by Charles E. Randlett for the portion of engin- eering services completed. The mayor and the city clerk are hereby directed to execute, in behalf of said city, the agreement hereby authorized. I hereby certify that the foregoing resolution was regularly introduced and adopted by the City Council of the City of South San Francisco, this 6th day of March, 1950, by the following vote: Ayes, Councilmen Victor Boido, Chas.
