Home My WebLink AboutReso 52-2014RESOLUTION NO. 52 -2014 CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN ADDENDUM TO THE AGREEMENT WITH HIGH LINE CORPORATION IN ORDER TO UPDATE ORACLE LICENSES AND RELATED SOFTWARE SUPPORT, AND AMENDING THE INFORMATION TECHNOLOGY FUND BUDGET BY $29,950 WHEREAS, on February 19, 2007, the City of South San Francisco ( "City ") entered into the "Program License & Service Agreement #061001" with High Line Corporation to provide software for the City's payroll and human resource applications; and WHEREAS, as part of the High Line payroll purchase, the City purchased licenses to use the Oracle database through the High Line Corporation; and WHEREAS, the City is in the process of upgrading High Line software to stay current with changes, fixes and support, which includes updates to the Oracle license agreements; and WHEREAS, the cost of the new Oracle licenses and maintenance fees will include a one- time license fee of $22,000 as well as a new annual maintenance cost of $7,950; and WHEREAS, the 2013 -2014 Information Technology Fund Budget will need to be increased by $29,950 in order to cover the increase in license and maintenance fees on a one time basis; and WHEREAS, City staff recommends executing the Addendum. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of South San Francisco that the City Council hereby approves of the Addendum to the Agreement with High Line Corporation. BE IT FURTHER RESOLVED that the City Council of the City of South San Francisco hereby authorizes the City Manager to execute the Addendum on behalf of the City, subject to approval as to form by the City Attorney. BE IT FURTHER RESOLVED that the City Council of the City of South San Francisco hereby authorizes a budget amendment to the 2013 -2014 Information Technology Fund Budget to increase by $29,950 to cover the addendum costs. Box 711 South San Francisco, California, USA 94083 (hereinafter referred to as LICENSEE) This is an Addendum to the Master Program License #061001 between High Line Corporation and City of South San Francisco. This document when duly signed by both parties will constitute an Agreement Addendum to the original agreement(s) stated above. When in conflict with the original agreement(s), the terms and conditions of this Agreement Addendum shall prevail. RECITALS A. Parties entered into an agreement entitled "Program License & Service Agreement #061001" dated February 19, 2007, hereinafter referred to as "Master Program License Agreement ", for the provision of various computer program licenses and services. B. The parties now desire to amend the agreement to adjust Schedule "A" Part III of the Master Program License Agreement to add and replace Oracle Application Specific licenses to the Project. C. Except as modified herein, all rights, terms and conditions of said Master Program License Agreement remain unchanged and in full force and effect. ADDENDUM REVISIONS 1 Part III Third Party Software of Schedule "A" of the Master Program License Agreement is deleted and replaced in its entirety with the following: Oracle Application Specific Licensing License [Oracle Named User Fee Processor Fee WebLogic Server — Standard Edition, 2 Processor Licence ($6,000 /processor) $12,000 -3- 5/8/2014 Annual Maintenance ($2,200 /processor) $4,400 Oracle Database Server Standard Edition One, 2 Processor License ($3,500/Processor) $7,000 Annual Maintenance ($1,275 /processor) $2,550 Oracle Business Intelligence — Standard Edition, 10 Named User License ($300 /user) $3,000 Annual Maintenance ($100 /user) $1,000 Totals $4,000 25,950 HIGH LINE agrees to provide the Licensing listed above and the Licensed Software Support and Maintenance services to CUSTOMER as identified in this Part III, and in accordance with the terms and conditions of the Master Agreement. The CUSTOMER's right to use Third Party Application Software programs are as set forth in the terms and conditions of the Master Oracle Sub - license Agreement. Upon execution of this Addendum, HIGH LINE shall cancel with Oracle, CUSTOMER'S existing Oracle Application Specific Licensing support effective with CUSTOMER'S next Annual Support renewal Ayril_1, 2015 pending Go -live with Web -Logic applications. The following licensing and support shall be cancelled upon Go -live with Web - Logic: o Oracle Internet Developer Suite I Seat o Oracle Database Server Standard Edition 10 Named Users o Oracle Internet Application Server Enterprise Edition 10 Named Users License Fees — The License Fees listed in this Part III are due upon Initial software download/installation, Net 30 upon receipt of invoice. Maintenance Fees — The Maintenance Fees listed in this Part III are due upon Initial software download/installation, Net 30 upon receipt of invoice. Fee shall be pro -rated from software download/delivery to coincide with the terms of the current Support Agreement Apr 1 — Mar 31. Subsequent year's Fee shall be added to the terms of CUSTOMER'S Annual Support Service renewal invoice with HIGH LINE. In Witness whereof the parties have executed this Agreement as of the effective date stated herein.
