CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA
A RESOLUTION APPROVING AMENDMENT NO. 1 TO THE
EMPLOYMENT AGREEMENT BETWEEN THE CITY OF
SOUTH SAN FRANCISCO AND MICHAEL FUTRELL FOR
SERVICE AS CITY MANAGER
WHEREAS, on March 12, 2014, the City Council approved by resolution an employment
agreement with Michael Futrell for services as City Manager and Executive Director of the
Successor Agency to the Redevelopment Agency of the City of South San Francisco; and,
WHEREAS,the City of South San Francisco and Michael Futrell hereto desire to amend the
Employment Agreement.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of South San
Francisco that Amendment No. 1 to the Employment Agreement, attached hereto as Exhibit A, is
hereby approved; and
BE IT FURTHER RESOLVED that the Mayor is hereby authorized to execute said
Amendment No. 1 to the Employment Agreement on behalf of the City of South San Francisco.

City Council of the City of South San Francisco at a regular meeting held on the 24th day of June
2015 by the following vote:

AMENDMENT NO. 1 TO THE EMPLOYMENT AGREEMENT
BETWEEN MICHAEL FUTRELL AND THE CITY OF SOUTH
SAN FRANCISCO DATED MARCH 12, 2014
RECITALS
WHEREAS, on March 12, 2014, the City of South San Francisco and Michael Futrell
entered into an Employment Agreement related to the positions of City Manager and Executive
Director of the Successor Agency to the Redevelopment Agency of the City of South San
Francisco; and
WHEREAS, the parties desire to amend the Agreement to modify the terms.
NOW, THEREFORE,the parties hereto agree as follows:
1. Section 1(A) is hereby amended to read as follows:
A. This Agreement shall remain in full force in effect from April 7, 2014 through April
6, 2018, unless terminated by the Employer or Employee as provided in Section 9 or
Section 11 of this Agreement.
2. Section 3 is hereby amended to read as follows:
A. Base Salary: Employer agrees to pay Employee an annual base salary of two hundred
and forty two thousand and fifty dollars ($242,050), payable in installments at the
same time that the other management employees of the Employer are paid.
B. Salary Review: Employer and Employee agree that the City Council will consider
Employee compensation as part of Employee's annual performance evaluation.
All other terms of the March 12, 2014 Employment Agreement shall remain in full force and
effect.
