CITY COUNCIL OF THE CITY OF SOUTH SAN FRANCISCO , STATE OF CALIFORNIA
RESOLUTION AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AN EXCLUSIVE NEGOTIATION RIGHTS
AGREEMENT (ENRA) BETWEEN THE CITY OF SOUTH SAN
FRANCISCO AND MIDPEN HOUSING CORPORATION FOR
POTENTIAL GROUND LEASE AND DEVELOPMENT OF
AFFORDABLE WORKFORCE HOUSING AT THE CITY-
OWNED MILLER/MAPLE PARKING LOT (APN 012311330).
WHEREAS, the City of South San Francisco ("City") is the owner of certain real property
located at the corner of Miller and Maple Avenues("Property"),known as County Assessor's Parcel
Numbers 012311330; and
WHEREAS,the City Council has expressed concern regarding the rising housing costs in the
City and surrounding communities within the Peninsula and the effect on the City's ability to retain
and attract a quality workforce; and
WHEREAS, on December 16, 2015, the City Council held a study session on the
development of workforce housing and as a result,directed City staff to pursue several projects and
initiatives to promote the development of workforce housing,including the issuance of a Request for
Qualifications ("RFQ") for the development of potential workforce housing at the Property; and
WHEREAS,the City issued the RFQ on December 22,2015 and received submissions from
four experienced affordable housing developers; and
WHEREAS,the City's Housing Subcommittee interviewed the four developers on February
25,2016 and recommended their top two choices of Bridge Housing("Bridge")or MidPen Housing
("MidPen"); and
WHEREAS, the City Council selected Midpen Housing Corporation as its preferred
developer; and,
WHEREAS, the City is interested in potentially leasing the Property to Midpen Housing
Corporation,contingent upon Midpen Housing Corporation preparing all appropriate environmental
review documents,and applying for land use entitlements from the City and if such entitlements are
granted constructing an affordable workforce housing rental development ("Project") on the
Property; and
WHEREAS, Midpen Housing Corporation has requested the exclusive right to collaborate
with City to develop the Project and negotiate with the City for the purpose of reaching agreement
on a Project description, appropriate land uses, economic feasibility, and the terms and conditions
which would govern any lease and development of the Property; and
WHEREAS, City desires to grant Midpen Housing Corporation the exclusive right to
collaborate and negotiate with City with regard to lease and development of the Property; and
WHEREAS, in order to further the desires of both the City and Midpen Housing
Corporation, both wish to negotiate and prepare an Exclusive Negotiation Rights Agreement
("ENRA") to reflect the terms and conditions of such exclusive collaboration and negotiation.
NOW,THEREFORE BE IT RESOLVED,that the City Council of the City of South San
Francisco does hereby take the following actions:
1. Finds that the Recitals set forth above are true and correct, and are incorporated
herein by reference; and,
2. Authorizes the City Manager or his designee to negotiate and prepare an ENRA with
Midpen Housing Corporation on behalf of the City for the purpose of reaching
agreement on a Project description,appropriate land uses,economic feasibility,and
the terms and conditions governing any lease and development of the Property,
which will then be presented to the City Council for review and approval.
BE IT FURTHER RESOLVED that this Resolution shall become effective immediately
upon its passage and adoption.
I hereby certify that the foregoing Resolution was regularly introduced and adopted by the
City Council of the City of South San Francisco at a regular meeting held on the 9th day of March,
2016 by the following vote:
AYES: Councilmembers Karyl Matsumoto, Richard A. Garbarino, and Liza Normandy
Vice Mayor Pradeep Gupta and Mayor Mark N. Addiego
