CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA
A RESOLUTION APPROVING THE SECOND AMENDMENT
TO THE CONSULTING SERVICES AGREEMENT WITH
TOWNSEND PUBLIC AFFAIRS FOR GRANT CONSULTING
SERVICES AND AUTHORIZING THE CITY MANAGER TO
EXECUTE SAID AGREEMENT.
WHEREAS, the City of South San Francisco ("City") entered into an agreement for grant
consulting services with Townsend Public Affairs ("TPA") on January 15, 2015 for a one year
term not to exceed $60,000 ("Agreement"); and,
WHEREAS, in January of 2016, the City entered into the first amendment ("First
Amendment") to the Agreement extending the term for three months for an additional $15,000,
attached hereto and incorporated herein as Exhibit A; and,
WHEREAS, staff recommends entering into a second amendment ("Second
Amendment") to the Agreement with TPA to extend the term for 2 '/2 months for an additional
$12,500, attached hereto and incorporated herein as Exhibit B.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of South San
Francisco that the City Council hereby takes the following actions:
L Approves the Second Amendment to the Consulting Agreement with
Townsend Public Affairs (TPA) in an amount not to exceed $12,500 for grant
consulting services, attached hereto and incorporated herein as Exhibit B.
2. Authorizes the City Manager to execute the Second Amendment on behalf of
the City, in substantially the same form as attached in Exhibit B, subject to
review and approval of the City Attorney and take any other related action
necessary to achieve the intent of this resolution.
I hereby certify that the foregoing Resolution was regularly introduced and adopted by
the City Council of the City of South San Francisco at a regular meeting held on the 13th day of
April, 2016 by the following vote:

FIRST AMENDMENT TO CONSULTING SERVICES
AGREEMENT
FIRST AMENDMENT TO THE ACREE MENT BETWEEN THE CITY OF SOUTH
SAN FRANCISCO AND TOWNSEND PUBLIC AFFAIRS
THIS FIRST AMENDMENT TO THE CONSULTING SERVICES
AGREEMENT is made at South San Francisco, California,as of January 15,2016 by and between
THE CITY OF SOUTH SAN FRANCISCO ("City"), a municipal corporation, and Townsend
Public Affairs"Consultant''who agree as follows:
RECITALS
A, On January 15, 2015, City and Consultant entered that certain CONSULTING SERVICES
AGREEMENT ("Agreement") whereby Consultant agreed to provide to City the following
services- state, federal and private corporate or non-profit foundation grant writing,funds needs
analysis, funding strategy development, funding opportunity monitoring and tracking, grant
research and identification, on-call grant research,grant proposal development, grant application
submittal and management, grant application advocacy, post-award grant administration and
compliance, debriefings with funding agencies, and other related services as described in more
detail in the Scope of Work attached as Exhibit A. A true and correct copy of the Agreement and
its exhibits is attached as Exhibit A.
B. City and Consultant now desire to amend the Agreement.
NOW,THEREFORE,for and in consideration of the promises and other good and valuable
consideration,the receipt and sufficiency of which are hereby acknowledged,City and Consultant
hereby agree as follows:
1. All terms which are defined in the Agreement shall have the same meaning when used in this
Amendment,unless specifically provided herein to the contrary.
2. Section 1. The January 15,2016 end date for the term of services identified in Section
I of the Agreement is hereby replaced with April 15, 2016.
3. Section 1 The Agreement shall be amended such that the City agrees to pay Consultant a
suni, not to exceed $75,000, with the understanding that up to $60,000 has already been
paid to Consultant.
Consultant agrees this is the City's total contribution for payment of costs under the Agreement
unless additional payments are authorized in accordance with the terms of the Agreement and
said terms of payment are mutually agreed to by and between the parties in writing,
All other terms,conditions and provisions in the Agreement remain in full force and effect. If there
is a conflict between the terms of this Amendment and the Agreement,the terms of the Agreement
will control unless specifically modified by this Amendment.

SECOND AMENDMENT TOT CONSULTING SERVICES AGREEMENT
BETWEEN THE CITY OF SOUTH SAN FRANCISCO AND TOWNSEND PUBLIC
AFFAIRS.
THIS SECOND AMENDMENT TO THE CONSULTING SERVICES AGREEMENT is made
at South San Francisco, California, as of April_, 2016 by and between THE CITY OF
SOUTH SAN FRANCISCO ("City"), a municipal corporation,and Townsend Public Affairs
("Consultant"), (sometimes referred together as the"Parties")who agree as follows:
RECITALS
A. On January 15, 2015, City and Consultant entered that certain Consulting Services
Agreement("Agreement") whereby Consultant agreed to perform the following services for City:
state, federal, and private corporate or non-profit foundation grant writing, funds needs
analysis, funding strategy development, funding opportunity monitoring and tracking, grant
research and identification, on-call grant research, grant proposal development, grant
application submittal and management, grant application advocacy, post-award grant
administration and compliance, debriefings with funding agencies, and other related services. A
true and correct copy of the Agreement and its exhibits is attached as Exhibit 1.
B. In January of 2016, the City and Consultant entered into an amendment to the
Agreement ("First Amendment") to extend the term of the Agreement for 3 months to April 15,
2016 and increase the compensation by $15,000 for a total contract amount of$75,000.
C. City and Consultant now desire to amend the Agreement.
NOW,THEREFORE, for and in consideration of the promises and other good and
valuable consideration,the receipt and sufficiency of which are hereby acknowledged, City and
Consultant hereby agree to amend the Agreement as follows, with additions in italics and deletions
in striketlffeti&
1. Section 1.1 Term of Services
The term of this Agreement shall begin on the Effective Date and shall end on
April 15, 2016 June 30, 2016 the date of completion specified in Exhibit A and
Consultant shall complete the work described in Exhibit A prior to that date,
unless the term of the Agreement is otherwise terminate or extended, as provided
for in Section 8. The time provided to Consultant to complete the services required
by this Agreement shall not affect the City's right to terminate the Agreement, as
provided for in Section.
2. Section 2 Compensation.
City hereby agrees to pay Consultant a sum not to exceed $5,000 per month for a
total contract amount not to exceed $75,000 $87,500, notwithstanding any contrary
indications that may be contained Consultant's proposal, for services to be
performed and reimbursable costs incurred under this Agreement.
All terms which are defined in the Agreement shall have the same meaning when used in this
Amendment, unless specifically provided herein to the contrary. All other terms, conditions and
provisions in the Agreement remain in full force and effect. If there is a conflict between the
terms of this Amendment and the Agreement, the terms of the Agreement will control unless
specifically modified by this Amendment.
