WHEREAS, on September 10, 2014, City Council approved the award of a consulting services agreement to Swinerton Management & Consulting ("SMC") of San Francisco, California in an amount not to exceed $1,229,256 to SMC for program management services is attached to this resolution as Exhibit A, which was through a competitive interview process; and WHEREAS, on February 24, 2015, the First Amendment was executed for additional construction management services requested by staff in the amount not to exceed of$35,185; and WHEREAS, on August 5, 2016, the Second Amendment was executed for the addition of project management services requested by staff which resulted in a net zero change in the total value of the agreement; and WHEREAS, staff is recommending the Third Amendment to Staff to amend SMC's existing agreement to add additional budget to complete the original project scopes in an amount not to exceed $599,730, in which the list of projects is attached to this resolution as Exhibit B; and WHEREAS, a contingency for 10 percent in the amount of$59,973 set aside for unforeseen conditions in the Third Amendment; and WHEREAS, funding for the Third Amendment will be provided by the assigned Capital Improvement Program projects. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of South San Francisco that the City Council hereby authorizes the City Manager to execute the Third Amendment to the existing consulting services agreement for program management services to Swinerton Management & Consulting of San Francisco, California, in an amount not to exceed $599,730 with a contingency of $59,973 conditioned on SMC's timely execution of the Third Amendment to the Consulting Services Agreement and submission of all required documents, including but not limited to, certificates of insurance and endorsements, in accordance with the agreement documents. BE IT FURTHER RESOLVED that the City Manager is hereby authorized to execute the agreement documents on behalf of the City Council upon timely submission by SMC's signed Third City of South San Francisco Page 1 File Number: 16-957 Enactment Number: RES 141-2016 Amendment to SMC Consulting Services Agreement and all other documents, subject to approval by the City Attorney. RECITALS WHEREAS, on September 10, 2014, Consultant and City entered into the Agreement, pursuant to which City contracted with Consultant to provide consulting services related to the Program Management Services for various CIP Projects; and WHEREAS, pursuant to the Agreement, City agreed to pay Consultant a sum not to exceed One Million Two Hundred Twenty Nine Thousand Two Hundred and Fifty Six Dollars ($1,229,256.00) for professional services provided in the Agreement; and WHEREAS, on February 24, 2015, City and Consultant executed the First Amendment in an amount not to exceed Thirty Five Thousand One Hundred Eighty Five Dollars ($35,185.00) in order to provide construction management services for additional work related to the increase in scope of the Program Management Services for various CIP Projects; and WHEREAS, on August 5, 2016, City and Consultant executed the Second Amendment in order to provide additional Program Management Services for the Oyster Point Development Project, the City requests to further amend the Agreement to include the requested services to the Agreement Scope of Work, resulting in no change in fee ($0.00); and WHEREAS, on December 14, 2016, Staff recommended to City Council to amend SMC’s existing agreement to add additional projects to assist the city with program management services on various Program projects in an amount not to exceed Five Hundred Ninety Nine Thousand Seven Hundred Thirty Dollars ($599,730); and WHEREAS, pursuant to Section 8.3 of the Agreement, the Parties desire to modify the Agreement. NOW, THEREFORE, the Parties hereto agree as follows: 1. The Scope of Work is hereby amended to include additional Project Management EXHIBIT B Services for various City-funded projects. 2. The above adjustments are reflected in the revised project list and cost budget (Exhibit A) in an amount not to exceed $599,730. 3. All other terms, conditions and provisions in the Agreement and First and Second Amendment not modified by this Third Amendment shall remain in full force and effect.
