A RESOLUTION AUTHORIZING THE CITY MANAGER TO
EXECUTE FIRST AMENDMENTS TO TWO CONSULTING
SERVICES AGREEMENTS FOR ADMINISTRATIVE, PLAN
REVIEW, AND INSPECTIONS SERVICES: 1) RENEWING AN
AGREEMENT WITH CSG CONSULTANTS INC. FOR TWO YEARS
IN THE AMOUNT NOT TO EXCEED $1,400,000 FOR EACH YEAR
OF THE TWO YEAR CONTRACT, AND 2) RENEWING AN
AGREEMENT WITH WEST COAST CODE CONSULTANTS FOR
TWO YEARS IN AN AMOUNT NOT TO EXCEED $1,400,000 FOR
EACH YEAR OF THE TWO -YEAR CONTRACT PERIOD.
WHEREAS, on May 28, 2016, the City Council approved Resolution 52 -2016 authorizing the City
Manager to execute consultant agreements to assist in processing time - sensitive building plan reviews
and inspections and to occasionally supplement administrative services, such as permit technician tasks
and interim staff support, with CSG Consultants Inc. and West Coast Code Consultants, Inc., and
WHEREAS, Resolution 52 -2016 approved two -year contract periods, with the opportunity to extend the
contracts an additional two years with City Council approval,
WHEREAS, both consultants have provided competent and responsive service to the City and the
public, and
WHEREAS, staff recommends granting extensions to both consulting services agreements for an
additional two years in an amount not to exceed $1,400,000 for each year of the two year contract period
with each consultant, and
WHEREAS, the cost of these contract extensions will be offset by permit revenues, which are expected
to exceed $7 million in Fiscal Years 2018 -19 and 2019 -20.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of South San Francisco that
the City Council hereby authorizes the City Manager to:
Execute a first amendment to the consulting services agreement between the City and CSG Consultants
Inc. originally executed on May 28, 2016 for an additional two -year term and in an amount not to exceed
$1,400,000 for each year of the two year contract period included as Exhibit A,
Execute a first amendment to the consulting services agreement between the City and West Coast Code
Consultants Inc. originally executed on May 28, 2016 for an additional two -year term and in

amount not to exceed $1,400,000 for each year of the two year contract period included as Exhibit B, and
Take any action consistent with the intent of this Resolution.
At a meeting of the Special City Council on 6/20/2018, a motion was made by Mark Addiego, seconded by
Pradeep Gupta, that this Resolution be approved. The motion passed.

1st Consulting Agreement Amendment
With Original Consulting Agreement
FIRST AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF SOUTH
SAN FRANCISCO AND CSG CONSULTANTS, INC.
THIS FIRST AMENDMENT TO THE CONSULTING SERVICES AGREEMENT
("Amendment") is made at South San Francisco, California, as of May 28, 2018 by and between
THE CITY OF SOUTH SAN FRANCISCO (“City”), a municipal corporation, and CSG
Consultants, Inc. (“Consultant”), (sometimes referred together as the “Parties”) who agree as
follows:
RECITALS
A. On May 28, 2016, City and Consultant entered that certain Consulting Services
Agreement (“Agreement”) whereby Consultant agreed to provide to the City services described
in the Scope of Work. A true and correct copy of the Agreement and its exhibits is attached as
Exhibit A.
B. City, in its sole discretion, as set forth in Section 1.1, seeks to extend the Agreement
for an additional two years.
NOW, THEREFORE, for and in consideration of the promises and other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, City and
Consultant hereby agree as follows:
1. All terms which are defined in the Agreement shall have the same meaning when used in this
Amendment, unless specifically provided herein to the contrary.
2. Section 1.1. The term of services identified in Section 1.1 of the Agreement is
hereby extended by two years. Upon execution of this Amendment, the term of this
Agreement shall now end on May 28, 2020.
3. Section 2. Section 2 of the Agreement shall be amended such that the City agrees to pay
Consultant a total not to exceed amount of one million four hundred thousand dollars
($1,400,000) during the term of the two-year term extension period.
Consultant agrees this is the City’s total contribution for payment of costs under the
Agreement unless additional payments are authorized in accordance with the terms of the
Agreement and said terms of payment are mutually agreed to by and between the parties in
writing.
All other terms, conditions and provisions in the Agreement remain in full force and effect. If
there is a conflict between the terms of this Amendment and the Agreement, the terms of the
Agreement will control unless specifically modified by this Amendment.
