Box 711 (City Hall, 400 Grand Avenue) South San Francisco, CA City Council Resolution: RES 158 -2018 File Number: 18 -854 Enactment Number: RES 158 -2018 RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE AN AMENDMENT TO THE MEMORANDUM OF UNDERSTANDING ALLOWING THE PARKS AND RECREATION DEPARTMENT TO INSTALL A SCOREBOARD AT CALLERO BASEBALL FIELD, IN ORDER TO ALLOW THE CITY TO USE THE SOUTH SAN FRANCISCO UNIFIED SCHOOL DISTRICT'S EXISTING ELECTRICITY METER TO POWER THE SCOREBOARD AT A COST OF $120 PER YEAR. WHEREAS, the City of South San Francisco ( "City ") and South San Francisco Unified School District ( "District ") reauthorized a Joint Powers Agreement in 2008, hereby attached as Exhibit A, which allows the City to maintain and operate the Callero Baseball Field at Baden School for a term of 20 years; and WHEREAS, the Parks and Recreation Department intends to install a scoreboard for City and co- sponsored youth baseball programs at Callero Baseball Field; and WHEREAS, at the regular City Council Meeting on November 20, 2017, the City Council authorized staff to accept the donation of the scoreboard from the International Brotherhood of Electrical Workers (IBEW) Local 617; and WHEREAS, at the same meeting, the City Council also authorized staff to install and maintain the scoreboard at Callero Field, a District facility; and WHEREAS, the District required that the City execute a Memorandum of Understanding, prior to any installation work, requiring that the City be responsible for on -going operation and maintenance of the scoreboard after installation; and WHEREAS, the District has further required that the City execute an amendment to the Memorandum of Understanding to allow the scoreboard to be energized using the District electric meter; and WHEREAS, the District will invoice the City $120 per year for use of District electricity infrastructure. NOW, THEREFORE, BE IT RESOLVED the City Council of the City of South San Francisco hereby authorizes the City Manager to execute an Amendment to the Memorandum of Understanding, hereby attached as Exhibit B, allowing the Parks and Recreation Department to install a scoreboard at Callero City of South San Francisco Page 1 File Number: 18 -854 Enactment Number. RES 158 -2018 Baseball Field, in order to allow the City to use the South San Francisco Unified School District's existing electricity meter to power the scoreboard at a cost of $120 per year. At a meeting of the City Council on 9/12/2018, a motion was made by Pradeep Gupta, seconded by Mark Addiego, that this Resolution be approved. The motion passed. AN Yes: 4 Mayor Normandy, Mayor Pro Tem Matsumoto, Councilmember Gupta, and City of South San Francisco Page 2 Exhibit A - Page 1 Exhibit A - Page 2 First Amendment to the Memorandum of Understanding between the City of South San Francisco and South San Francisco Unified School District Regarding Installation and Maintenance of the Callero Ballfield Scoreboard Amendment to Agreement Authorizing the Joint Use of City and District facilities (“Joint Use Agreement”) on March 1, 2008 This first amendment to the Memorandum of Understanding (“MOU”) is made and entered into as of August _______, 2018 by and between the City of South San Francisco (“City”), a municipal corporation, and the South San Francisco Unified School District (“District”), herein collectively referred to as the “Parties,” to define responsibilities related to the power infrastructure needed for a scoreboard located at Callero Ballfield, located at Baden School. Whereas, the City and District entered into an Agreement Authorizing the Joint Use of City and District facilities (“Joint Use Agreement”) on March 1, 2008. Whereas, on November 1, 2017, the City and District entered into a Memorandum of Understanding between the City and District allowing the City to install and maintain a scoreboard at Callero Field, located at Baden School (“Field”). Whereas, the City does not have electrical infrastructure at the proposed site of the scoreboard on the Field. Whereas, the City desires to connect to an existing electrical pedestal on District property to serve the scoreboard. In light of the following recitals, the Parties mutually agree as follows: Section 1: Payment for Use of District Electricity. The City shall provide electricity to the scoreboard using an existing electrical pedestal at Callero Field. In return for use of electricity on the District property, the City shall pay the District $120 per year. The District will invoice the City and the City shall pay the District a lump sum of $120 on an annual basis. Section 2. JPA Conditions. All other terms and conditions of the Joint Use Agreement shall remain as stated therein, and shall be binding upon the Parties in all other respects with regard to the subject matter thereof, including, without limitation, the Callero Ballfield and related facilities. In witness thereof, the City of South San Francisco and South San Francisco Unified School District have executed this agreement as of August __, 2018.
