OF MORGAN HILL, CALIFORNIA IN AN AMOUNT NOT TO EXCEED $476,100 IN TELECOMMUNICATION EQUIPMENT AND SUBEQUENT SUPPORT AND SOFTWARE MAINTENANCE, AND AUTHORIZING THE CITY MANAGER TO EXECUTE THE SERVICES AGREEMENT. WHEREAS, the current phone system has been in place for over 25 years and has reached its end of life; and WHEREAS, a reliable and effective phone system is necessary to provide City services; and WHEREAS, on November 18, 2018 staff advertised a RFP seeking a new unified communication voice over internet protocol (VoIP) system; and WHEREAS, on December 21, 2018 the City received nine proposals; and WHEREAS, staff convened an evaluation panel and rated the proposals, inviting four vendors for interviews, ultimately selecting Kelso Communications as the best qualified to provide a new unified communication VolP system; and WHEREAS, after completing the qualifications evaluation, staff negotiated a cost of $476,100 for equipment, implementation, and subsequent support and software maintenance. NOW, THEREFORE, BE IT RESOLVED by the "City Council of the City of South San Francisco that the City Council hereby approves an agreement with Kelso Communication, Inc. of Morgan Hill, California in an amount not to exceed $476,100 in telecommunication equipment and subsequent support and software maintenance. BE IT FURTHER RESOLVED that the City Manager is hereby authorized to execute said Agreement, a draft of which is attached hereto as Exhibit A, on behalf of the City of South San Francisco, subject to any minor modifications that are approved as to form by the City Attorney that do not substantially increase the City's obligations hereunder, and that the City Manager, or his designee, is authorized take any and all other actions necessary to implement this intent of this Resolution, subject to approval as to form by the City Attorney. ("Consultant") effective as of March 14, 2019 (the "Effective Date"). City and Consultant are hereinafter collectively referred to as (the "Parties"), In consideration of their mutual covenants, the Parties hereby agree as follows: 1. eco 1)eof'Services. Consultant shall pert.-brm everything required to be perfbrmed arid shall provide and furnish to City the equipment and installation of said equiptnent, and any related technical and. engineering services for migration of the City's telephone system from digital to VolP, as more specifically described in the Scope of Workattached hereto as Exhibit The Work described in the Exhibit A shall commence on April 15,2019 and shall be completed to the satisfaction of' tine City by ApdLjj,21� , unless such date is extended. or otherwise modified by the City in writing. At all times Consultant shall be an independerilt contractor and City shall not control the manner of Consultant accomplishing the Work. Consultant is not authorized to bind the City to any contracts or other obligations without the express written consent of the City. 4. indemnification. To the fullest extent permitted by law, Consultant shall indernnify, defend (With Counsel acceptable to the City), and hold harmless the City and its elected and appointed officers, officials, employees, agents, contractors and consultants (collectively, the "City Inideninitees") ftom. arid against, any arid all liability, loss, damage, claims, expenses and costs (including, without Ifinitation, attorneys' fees and costs of litigation) (collectively, "Liability") of every nature arising out of or in connection with Consultant"s performance of the Work or Consultant's failure to comply with this Agreement, except such Liability caused by the gross negfigerice oir willful misconduct of the City Inden-mitees, 5. Insurance. Prior, to beginning the Work. aridcontinuing throughout the term of this Agreement, Consultant (arid any subcontractors) shall, at Consultant's (or subcontractor's) sole cost and expense, furnish the City with certificates ofinsurance evidencing that Consultant has obtained and maintains insurance in the fbilowing amounts: A. Workers' Compensation that satisfies the mininitan statutory limits., B. Commercial General Liability and Property Damage finsurance in an amount not less than ONE M.111.101'4 DOLLARS ($1,000,000) combined single limit per occurrence,'TWO MILLION DOLLARS ($2,000,000) annual aggregate, f6r bodily injury, propm erty daagep , roducts, completed operations and contractual liability coverage, The policy shall also include coverage for liability arising out of the utse mid operation of any City -owned or Cily-fiurnished equipment used or operated by the Consultant, its personnel, agents or subcontractors, C. Comprehensive automobile insurance in an. amount riot less than ONE MILLION DOLLARS ($1,000,0 00) per occurrence for bodily injury and property damage including coverage for owned and non -owned vehicles. All insurance policies shall be written. on an occurrence basis and shall name the City Indemnitees as additional insureds with any City insurance shall be secondary and in excess to Consultant's insurance, If the Consultant's insurance policy includes a self-insured retention that must be paid by a named insured as at precondition of the insurer's liability, or which has the effect of'providling that payments of the self-insured retention by others, hicl.uding additional insureds or insurers do not serve to satisfy the self-insured retention, such provisions must be modified by special endorsement so as to not apply to the additional insured coverage required by this agreernent so as to not prevent any of the parties to this agreement fn.-.):rn satisfying or paying the self' -insured retention required to be paid as a precondition to the insurer's liability. Additionally, the certificates of insurance must note whether the policy does or does not include any self-instired. retention and also must disclose the deductible, T'he certificates shall contain a staternent of obligation on the part of the carrier to notify City of any material change, cancellation, termination or non renewal of the coverage at least thirty (30) days in advance of' the effective date of any such material change, cancellation, termination or non -renewal, The City's Risk Manager may waive or niodify tiny of the insurance requirements of this section. Consukant shall comply with -- all applicable local., state and fie--deral laws, regulations and ordinances in the performance of this Agreement. Consultant shall not discriminate in the provision of service or in the employment of persons engaged in the performance of this Agreement on account of race, color, national origin, ancestry, religion, gender, marital status, sexual orientation, age, physical or inental disability in violation of any applicable local, state or federal laws or regulations. Prevailing-RAM Where applicable, the wages to be paid for a. day's wof.k. to all classes of laborers, workmen, or mechanics on the work contemplated by this Purchase Agreement, shall be riot less than the prevailing rate for a day's work in the same trade or occupatioir in the locality within the state where the work hereby conternplates to be performed as determined by the Director of Industrial Relations pursuant to the Director's authority under Labor Code Section 1770, et seq. Each laborer, worker or mechanic employed by Consuttarlt or by any subcontractor shall receive the wages herein provided for. I'lie Consultant shall pay two hundred dollars ($200), or whatever amount may be set by Labor Code Section 1775, as may be amended, per day penalty for each worker paid less than prevailing rate of per them wages. Tbe difference between the prevailing rate of per diem wages and the wage paid to each worker shall be paid by the Consultant to each worken An error on the part of an atwarding body does not relieve the Consultant from respo.l.isibility for payment of the prevailing rate of per them wages and penalties pursuant to Labor Code Sections 1770-1775, The City will not recognize any claim for additional compensation because of the payment by the Consultant for any wage rate in excess of prevailing wage rate set forth, The possibility ofwage increases is one ofthe e.lernents to be considered by the Consultant. (A) Posting of Schedule of Prevailing Wage Rates and Deductions, If the schedule of prevailing wage rates is not attached hereto pursuant to Labor Code Section 17 73.2, the Consultant shall post at appropriate conspicuous points at the site of the project a schedule showing all determined prevailing wage rates for the various classes oflaborers and mechanics to be engaged. in work on the project under this contract and all deductions, if any, required by law to be aidde from unpaid wages actually earned by the laborers and inechanics so engaged. (B) Payroll Records, Each Consultant and subcontractor shall keep an accurate payroll record, showing the name, address, social security number, workweek, and the actual per them wages paid to each journeyman, apprentice, worker, or other employee employed Iby the Consultant in connection with the public work., Stichrecords shall be certified and submitted weekly as required by Labor Code Section 1776. 9. KELSO replaces all existing digital stations with new'VoIIP Terminals KELSO provides temporary CCIS connectivity between the new SV9500 and existing NEAR 2 00lPX. This will provide integration between new and old for the duration of the project. KELSO lmplements a UG50 gateway with a SR -Node (survivability) at the City Fall KELSO implements a UG50 gateway with a SR.. -Node (survivability) at Water Treatment KELSO implements a UG50 gateway at the Fire Stations 62, 64 and 6.5 KELSO will migrate existing users and menus to new LIM provisioned solution (UM8700). KELSO will have engineering support onsite for large cut overs. KELSO will provide on a loan basis (at no charge to the City), the necessary hardware and labor for integration between old and new systems and for Ethernet connectivity to non-CAT5e end points at the MSB. Proiect Management: Our customers effectively determine the degree to which the project plan is being met, the KELSO Project Manager will follow a plan to control and manage the Customer's project through a communication plan, change control, and variance management. As part of the communication plan the KELSO PM and the Customer will jointly establish the time and frequency for status meetings (or conference calls), document meeting results, and distribute meeting notes, including action items. For effective scheduling and cost control, progress measurements will start as the project begins and continually utilized throughout to measure the performance of the Customer's project. The project roadmap provides a baseline from which to judge progress, comparing planned activities, in -progress activities, and the actual completion of those activities. The PM will identify variances to plan and take action to correct or limit it impact on the project.
