Box 711 (City Hall, 400 Grand Avenue) South San Francisco, CA City Council Resolution: RES 43-2019 File Number: 19-271 Enactment Number: RES 43-2019 RESOLUTION AUTHORIZING AN AMENDMENT TO THE CONSULTING SERVICES AGREEMENT WITH GOOD CITY COMPANY TO ASSIST WITH PROJECT ADMINISTRATION OF THE GENERAL PLAN UPDATE FOR AN ADDITIONAL $477,000, NOT TO EXCEED A TOTAL AUTHORIZATION OF $551,000 FOR A THREE-YEAR TERM AND ALLOCATION OF $400,000 FOR AUGMENTED AND CITY STAFF TIME AND PUBLIC OUTREACH RESOURCES. WHEREAS, the South San Francisco General Plan was last updated in 1999; and WHEREAS, in addition to obtaining a consultant team to prepare the General Plan Update, augmented staff assistance is needed to supplement City staff with project management; and WHEREAS, the Good City Company has extensive professional planning and project management service experience, and has staff available to assist the City with its General Plan Update; and WHEREAS, based on a competitive process, the Good City Company was selected by staff to specifically assist with the formation of the General Plan Community Advisory Committee and manage the procurement process to select and negotiate a contract with the a General Plan consultant team; and WHEREAS, the Good City Company has an existing services contract with the City in an amount of $74,000; and WHERAS, the Good City Company has done an excellent job to date and staff recommends amending the services contract in the amount of $477,000 to augment staff for the duration of the General Plan Update process; and WHEREAS, in addition to the services that would be performed by the Good City Company, city staff will also be needed to assist in the preparation of the General Plan Update as well as additional resources for public meetings requiring an additional budget allocation of $400,000. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of South San Francisco that the City Council hereby approves a Consulting Services Agreement Amendment with Good City Company City of South San Francisco Page 1 File Number: 19-271 Enactment Number: RES 43-2019 for Project Administrative services for the General Plan and Zoning Code Update project for an additional $477,000, not to exceed a total authorization of $551,000. BE IT FURTHER RESOLVED that the City Council authorizes the City Manager to execute a Consulting Services Agreement Amendment with Good City Company for Project Administrative services for the General Plan and Zoning Code Update project for an additional $477,000, not to exceed a total authorization of $551,000, in a form substantially similar to the agreement attached hereto as Exhibit A. BE IT FURTHER RESOLVED that the City Council authorizes the allocation of $400,000 for augmented city staff time and public outreach resources. BE IT FURTHER RESOLVED that the City Council does hereby approve Budget Amendment #19.047. BE IT FURTHER RESOLVED that the City Council authorizes the Finance Department to establish the Project Budget consistent with the information contained in the staff report. BE IT FURTHER RESOLVED that the City Council authorizes the City Manager to execute the documents on behalf of the City upon timely submission by Good City Company signed agreement and all other documents, subject to approval as to form by the City Attorney BE IT FURTHER RESOLVED that the City Council authorizes the City Manager to take any other related actions consistent with the intention of this resolution. At a meeting of the City Council on 3/27/2019, a motion was made by Richard Garbarino, seconded by Mark Nagales, that this Resolution be approved. The motion passed. Yes: 4 Mayor Matsumoto, Vice Mayor Garbarino, Councilmember Addiego, and Councilmember Nagales Absent: 1 Councilmember Nicolas Attest by4��( 4WL— Aosa Govea Acosta City of South San Francisco Page 2 FIRST AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF SOUTH SAN FRANCISCO AND GOOD CITY COMPANY THIS FIRST AMENDMENT TO THE CONSULTING SERVICES AGREEMENT is made at South San Francisco, California, as of March 27, 2019 by and between THE CITY OF SOUTH SAN FRANCISCO (“City”), a municipal corporation, and Good City Company (“Contractor”), (sometimes referred together as the “Parties”) who agree as follows: RECITALS A. On October 19, 2018, City and Contractor (formerly Neal Martin & Associates) entered into a certain Consulting Services Agreement (“Agreement”) whereby Contractor agreed to provide professional construction management consulting for the City. B. City and Contractor now desire to amend the Agreement. NOW, THEREFORE, for and in consideration of the promises and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, City and Contractor hereby agree as follows: 1. All terms which are defined in the Agreement shall have the same meaning when used in this Amendment, unless specifically provided herein to the contrary. 2. Section 1. The December 31, 2019 end date for the term of services identified in Section 1 of the Agreement is hereby replaced with March 31, 2022 and the description of services and cost proposal is revised as described in Exhibit A. 3. Section 2. This section of the Agreement shall be amended such that the City agrees to pay Contractor a sum not to exceed $551,000, with the understanding that $30,000 has already been paid to Contractor. Contractor agrees this is the City’s total contribution for payment of costs under the Agreement unless additional payments are authorized in accordance with the terms of the Agreement and said terms of payment are mutually agreed to by and between the parties in writing. All other terms, conditions and provisions in the Agreement remain in full force and effect. If there is a conflict between the terms of this Amendment and the Agreement, the terms of the Agreement will control unless specifically modified by this Amendment. Ms. Costa Sanders will serve under the direction of the Assistant City Manager Serve as the deputy project manager, work closely with City Planners, and manage/administer the consultant’s service contract in preparing the General Plan. Services include the following: • Provide coordination between the General Plan consultant team and City staff, including attendance at weekly conference calls, coordinate meetings with City department staff and review of draft materials. • Administer the General Plan consultant contract which includes multiple subconsultants and is valued at approximately $2.6 million for three years. • Provide assistance at public outreach meetings and respond to public inquiries and requests for information. • Preparation of staff reports and present to the Community Advisory Committee, the Planning Commission and City Council and at other public venues as needed. • Support and manage the General Plan Community Advisory Committee including preparation and distribution of meeting agendas, meeting minutes, staff reports and packet materials. • Review all draft materials and consultant work products. • Other tasks as needed. Cost Proposal Initial contract authorization $74,000 Spent to-day: $30,000 Remaining authorization $44,000 Request additional authorization of $477,000 With authorization, up to $521,000 available for three-year term which covers the following: • 81 hours per month for 33 months (hourly rate for Lisa Costa 195.00) • $500 for out of pocket expenses
