RESOLUTION APPROVING THE GRANT OF TWO EASEMENTS
FOR PUBLIC UTILITY PURPOSES FOR THE ELECTRIC VEHICLE
CHARGE NETWORK PROGRAM AT THE CORPORATION YARD
AND MILLER AVENUE PARKING GARAGE, TO BE GRANTED
BY THE CITY OF SOUTH SAN FRANCISCO TO PACIFIC GAS &
ELECTRIC COMPANY, FOR THE INSTALLATION AND
MAINTENANCE OF THE ELECTRIC VEHICLE CHARGING
EQUIPMENT, AND AUTHORIZE THE CITY MANAGER TO
EXECUTE EASEMENT DEEDS.
WHEREAS, the Electric Vehicle Charging Stations Project (pfl903) will install electric vehicle (EV)
charging stations at various City locations for both internal fleet and public facing use; and
WHEREAS, Pacific Gas & Electric Company ("PG&E") manages the Electric Vehicle Charge Network
("EVCN") program which pays for, owns, maintains, and coordinates construction of the EV
infrastructure from the transformer to the parking spaces; and
WHEREAS, PG&E also pays for a portion of the charging equipment costs; and
WHEREAS, the City of South San Francisco has entered into an agreement with PG&E to participate in
the EVCN; and
WHEREAS, the City of South San Francisco plans to install 34 Electric Vehicle (`BV") chargers at the
Corporation Yard through the EVCN program; and
WHEREAS, the City of South San Francisco plans to install 10 EV chargers at the Miller Avenue
Parking Garage through the EVCN program; and
WHEREAS, to participate in the EVCN program and install the chargers, the City must grant PG&E an
easement at both locations to access the equipment for proper maintenance to keep the equipment in safe
working condition; and
WHEREAS, the properties located at the Corporation Yard and Miller Avenue Parking Garage
("Properties"), are owned by the City of South San Francisco ("City"); and
WHEREAS, the Properties do not currently include a dedicated utility easement to accommodate the
location of the EV chargers; and

WHEREAS, PG&E requests a grant of a public utility easement at each location to accommodate and
maintain the EV chargers and associated equipment; and
WHEREAS, the general locations of the proposed easements are shown on Exhibit A to this resolution;
and
WHEREAS, exact locations for the public utility easements on the Property will be submitted for
approval by the City once construction has been completed; and
WHEREAS, the City Manager will retain authority to authorize the final exact locations of the
easements for filing with the San Mateo County Recorder, based on the as -built engineering plans; and
WHEREAS, California Government Code section 65402 requires that, as a precondition to any
disposition of real property, the City's Planning Commission must determine that the location, purpose
and extent of the proposed disposition conforms with the City's General Plan; and
WHEREAS, on July 18, 2019, the Planning Commission determined that the location, purpose, and
extent of the proposed grant of the proposed easements for Pacific Gas & Electric's EV chargers is in
conformity with the City's adopted General Plan in accordance with Government Code section 65402.
THEREFORE, BE IT RESOLVED that the City Council of the City of South San Francisco hereby
approves the grant of two proposed easements for public utility purposes for the Electric Vehicle Charge
Network Program at the Corporation Yard and Miller Avenue Parking Garage, by the City of South San
Francisco to Pacific Gas & Electric Company, for installation and maintenance of the electric vehicle
charging equipment.
BE IT FURTHER RESOLVED that the City Council of the City of South San Francisco hereby
authorizes the City Manager to execute easement deeds, in substantially the same form as the document
that is attached hereto as Exhibit B, on behalf of the City in order to effectuate the grant of the foregoing
easements, subject to review and approval as to form by the City Attorney, and take any other action
necessary to accomplish the intent of this resolution.
At a meeting of the City Council on 7/24/2019, a motion was made by Mark Addiego, seconded by Buenaflor
Nicolas, that this Resolution be approved. The motion passed.

CITY OF SOUTH SAN FRANCISCO, a municipal corporation,
hereinafter called Grantor, hereby grants to PACIFIC GAS AND ELECTRIC COMPANY, a
California corporation, hereinafter called Grantee, the right from time to time to construct,
reconstruct, install, inspect, maintain, replace, remove, and use facilities of the type hereinafter
specified, together with a right of way therefor, within the easement area as hereinafter set forth,
and also ingress thereto and egress therefrom, over and across the lands of Grantor situate in the
City of South San Francisco , County of San Mateo , State of California, described as follows:

Parcel A as shown upon the Parcel Map filed for record November 15, 1984 in Book 55 of Parcel
Maps at Page 35, San Mateo County Records.
Said facilities and easement area are described as follows:
Such underground conduits, pipes, manholes, service boxes, wires, cables, and electrical
conductors; aboveground marker posts, risers, and service pedestals; underground and
aboveground switches, fuses, terminals, and transformers with associated concrete pads; electric
vehicle charging supply equipment, bo llards and/or curbs or other associated safety equipment,
associated signage; and fixtures and appurtenances necessary to any and all thereof, as Grantee
deems necessary for the distribution of electric energy and communication pu rposes located within
the strips of land of the uniform width of 10 feet, lying 5 feet on each side of the alignment of the
facilities as initially installed hereunder. The approximate location of said facilities are shown upon
Grantee’s Drawing Number SJL-15719 attached hereto and made a part hereof.
EXHIBIT B

Grantee agrees that on receiving a request in writing, it will at Grantor’s expense, survey, prepare
and record a “Notice of Final Description” referring to this instrument and setting forth a
description of said strip(s) of land.
Grantor further grants to Grantee the right, from time to time, to trim or to cut down any and all
trees and brush now or hereafter within said easement area , and shall have the further right, from
time to time, to trim and cut down trees and brush along each side of said easement area which now
or hereafter in the opinion of Grantee may interfere with or be a hazard to the facilities installed
hereunder, or as Grantee deems necessary to comply with applicable state or federal regulations.
Grantor shall n ot erect or construct any building or other structure or drill or operate any well
within said easement area.
Grantor further grants to Grantee the right to assign to another public utility as defined in Section
216 of the California Public Utilities Code the right to install, inspect, maintain, replace, remove
and use communications facilities within said easement area (including ingress thereto and egress
therefrom).
In the event upon termination of the electric vehicle charging station contract as set forth in said
terms and conditions, Grantee shall upon written demand therefor execute and deliver to Grantor a
good and sufficient quitclaim of said easement and right of way or such portion thereof conveyed
in this document, at Grantor’s expense.
The pr ovisions hereof shall inure to the benefit of and bind the successors and assigns of the
respective parties hereto.
In exercising its easement rights hereunder, Grantee shall not unreasonably interfere with, disrupt,
or materially adversely affect Grantor ’s business operations or access rights at the property owned
by Grantor.
