RESOLUTION NO.
CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA
A RESOLUTION APPROVING AN EXTENSION OF,
AND AMENDMENT TO, THE EMPLOYMENT
AGREEMENT WITH MICHAEL A. WILSON TO
SERVE AS CITY MANAGER OF THE CITY OF SOUTH
SAN FRANCISCO AND EXECUTIVE DIRECTOR OF
THE REDEVELOPMENT AGENCY.
WHEREAS,the City of South San Francisco seeks to continue the services of
the present City Manager, Redevelopment Agency Executive Director Michael A.
Wilson; and
WHEREAS, pursuant to the Employment Agreement between Michael A.
Wilson and the City of South San Francisco approved December 14, 1994, Section
2.A. ~Term, Termination and Severance Pay" the initial term of the Agreement is
from January 23, 1995 through January 22, 1997; and
WHEREAS, the City Council and Michael A. Wilson desire to extend the term
of Wilson's Employment Agreement by 12 months through January 22, 1998; and
WHEREAS, the public interest for the City of South San Francisco will be
served by the extension of the Employment Agreement ~ith Michael A. Wilson;
NOW, THEREFORE, BE IT RESOLVED by the City Coundl of the City of
South San Frandsco that it hereby approves Amendment No. 1 to the Employment
Agreement with Michael A. Wilson as set forth in Exhibit A hereto.
The Mayor is hereby authorized to sign Amendment No. 1 to said
Employment Agreement.
I hereby certify that the foregoing Resolution was regularly introduced and
adopted by the City Council of the City of South San Francisco at a r e 9 u l a r
meeting held on the 13th day of December , 1995, by the
following vote:

AMENDMENT NO. 1 TO THE EMPLOYMENT AGREEMENT
BETWEEN MICHAEL A. WILSON AND THE CITY OF SOUTH
SAN FRANCISCO DATED DECEMBER 14, 1994 AND RELATED
TO THE POSITIONS OF CITY MANAGER AND
REDEVELOPMENT AGENCY EXECUTIVE DIRECTOR
WHEREAS, on December 14, 1994 the City of South San Francisco and
Michael A. Wilson entered into an Employment Agreement related to the positions
of City Manager and Redevelopment Agency Executive Director; and
WHEREAS, the initial term of said Employment Agreement terminates on
January 22, 1997; and
WHEREAS, the parties hereto desire to amend the termination date of said
employment agreement;
NOW, THEREFORE, the parties hereto agree as follows:
1. That section 2 (A) of said Employment Agreement is hereby amended to
read as follows:
"A. This initial term, the term of this Agreement shall be from
January 23, 1995, through January 22, 1998. WILSON agrees to
remain in the exclusive employ of the CITY until the termination date
set forth herein, and neither to accept other employment, nor to become
employed by any other employer until said termination date. ~
2. All other terms of the December 14, 1994 Employment Agreement shall
remain in full force and effect.
