CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA
A RESOLUTION APPROVING A CONTRACT AMENDMENT
TO THE CONTRACT WITH MEYERS, NAVE, RIBACK,
SILVER AND WILSON REGARDING CITY ATTORNEY
SERVICES.
RECITALS
WHEREAS, in September 1994, the City Council approved a
Professional Services Agreement with Meyers, Nave, Riback, Silver
and Wilson (~MNRSW") regarding City Attorney services;
WHEREAS, said Agreement is set to expire on September 14,
1995;
WHEREAS, the City Manager has recommended renewal of the
Agreement with specified amendments;
WHEREAS, the City Council and MNRSW agree to amendments set
forth herein;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of South San Francisco that the Professional Services
Agreement between the city and MNRSW including the amendments set
forth in Exhibit A attached hereto is hereby approved.
BE IT FURTHER RESOLVED that the Mayor is authorized to sign
the Agreement amendment set forth in Exhibit A.
I hereby certify that the foregoing Resolution was regularly
introduced and adopted by the City Council of the City of South
San Francisco at a regular meeting held on the ??th day
of September , 1995, by the following vote:

EXHIBIT A
AMENDMENT NO. 1 TO PROFESSIONAL SERVICES
AGREEMENT BETWEEN THE CITY OF SOUTH SAN
FRANCISCOANDMEYERS, NAVE, RIBACK, SILVER AND
WILSON
1. Section 16 "Term, Continuation" is hereby amended to read
as follows;
"Subject to annual review and the unconditional power of the
Council to terminate, the term of this Agreement shall commence on
September 15, 1994 and shall continue until September !4, 1996,
unless otherwise terminated."
2. Section 4 "Compensation - Basic Services" is hereby
amended to read as follows:
"City shall compensate Law Firm for all Basic Services
described in Section 1 hereof Eighteen Thousand Dollars ($18,000)
per month. City shall also reimburse Law Firm the actual costs
paid by the Law Firm to third parties for messenger services and
document requests."
3. Except as expressly set forth herein, all other terms and
conditions of the Professional Services Agreement between the City
and MNRSW shall remain in full force and effect for the ter~ of
said Agreement.
IN WITNESS WHEREOF, the parties have executed the Amendment
No. 1 to the Professional Services Agreement dated September 14,
1994.
