A RESOLUTION AUTHORIZING EXECUTION OF
THE SIXTH AMENDMENT TO AGREEMENT FOR
PROFESSIONAL ENGINEERING SERVICES WITH
WILSEY & HAM FOR THE GATEWAY ASSESSMENT
DISTRICT NO. ST-82-2 - PHASE II -
GATEWAY BOULEVARD EXTENSION
BE IT~ RESOLVED by the City Council of the City of South San Francisco,
that:
The City Manager is authorized to execute on behalf of the City
the Sixth ~mendment to Agreement entitled, "Sixth Amendment to Agreement for
Professional Engineering Services for the Gateway Assessment District No.
ST-82-2 -~Phase II" between the City of South San Francisco and Wilsey &
Ham. A copy of the Sixth Amendment to Agreement is attached as Exhibit "1".
I hereby certify that the foregoing Resolution was regularly introduced
and adopted by the City Council of the City of South San Francisco at a
regular meeting held on the 22nd day of April , 1987, by the
following Vote.

AGREEMENT
FOR
PROFESSIONAL ENGINEERING SERVICES
FOR
THE GATEWAY ASSESSMENT DISTRICT

The Sixth Amendment to Agreement is made this day of
, 1987 by and between CITY OF SOUTH SAN FRANCISCO,
hereinafteY called the CITY and WILSI:Y & HAM, a California Corporation consisting of
engineers, ~surveyors and technicians, hereinafter called the CONSULTANT.
Whereas, the CITY and the CONSULTANT desire to amend that certain Agreement for
Professional Engineering Services for the Gateway Assessment District, dated 3uly 21,
1982, hereinafter referred to as the Basic Agreement, as amended by the First through
Fifth Amendments to the Agreement, dated March lt~, 1984, October 10, 1984. April 18,
1985, December 11, 1985 and 3une 23, 198(; respectively, hereinafter referred to as the
First, Second, Third, Fourth and Fifth Amendments.
Now, Therefore, This Sixth Amendment to Agreement Witnesseth: That for and in
consideration of the mutual covenants and promises between the parties hereto, it is
hereby agreed as follows:
SECTION 1. AMENDED SCOPE OF SERVICES
The services which the CONSULTANT agrees to perform as described in Exhibit A
"Scope of Services" to the Basic Agreement are hereby amended as follows:
Provide additional services of a resident project representative, construction
surveying and other construction management and design support services for an
extended Phase II construction period for Gateway Extension. Services will be
provided to construction close-out and will be as specified under Phase ~ of Exhibit
A of the Fifth Amendment, and as further described under Exhibit C of this Sixth
Amendment.

Provide special supplementary survey, design and coordination services related to
Gateway Boulevard Extension Design and Construction to supplement services
specified under Phase # of the Fifth Amendment and Phase 6 of the Basic
Agreement, all as described under Exhibit C of this Sixth Amendment.

SECTION 2, AMENDED COMPENSATION
Section 6. Compensation under the Basic Agreement is hereby amended as follows.'
As compensation for performance of all the services described for Phases # and 6 of
Exhibit A as amended by the First through Fifth Amendments and this Sixth
Amendment provided herein, the CITY agrees to pay the CONSULTANT on a time
and miaterials basis up to a maximum limit as indicated below in accordance with
Exhibilt B, CONSULTANTS Standard Fee Schedule. The maximum compensation to
be pa!id CONSULTANT under this Sixth Amendment to Agreement is hereby
increalsed from $1,96#,8#0 to $2,012,895 representing an increased compensation of
$~8,055 to account for the additionaJ services to be performed by CONSULTANT as
described above and in Exhibit C attached hereto and made a part of this
Amendment to the Agreement. CITY and CONSULTANT agree that said attached
CONSULTANT'S Standard Fee Schedule shall be effective through December 31,
1987 and may be amended annually thereafter. Such amendment shall be in writing
and shah be signed by the parties hereto.
Except as~ modified by this Sixth Amendment, the Basic Agreement with the First
through Filth Amendments is hereby ratified and confirmed. In witness whereof, the
parties to these presents have hereunto caused these presents to be executed in duplicate
the day and year first above mentioned.

STANDARD FEE SCHEDULE
The compensation for CONSULTANT for work done on the basis of salary cost times a
factor, plus incurred expenses (which may be referred to as "time and materials" or
"standard billing'') will be the sum o! all the items set forth below:
A. PERSONNEL SERVICES
2,2 times salary cost. Salary cost is defined as total hours worked times the
employee's straight-time rate of pay on an hourly basis plus 37% allowance for
payroll taxes and other employee benefits. All time spent in connection with
the order by executive, professional, subprofessional, technical and clerical
employees wili be included. The current billing rates are attached herewith as
EXhibit C.
Overtime premium (overtime hours worked times the difference between
overtime and straight-time pay rates).
B. TRAVEL AND TRANSPORTATION EXPENSES
Reimbursement for actual travel and subsistence expenses paid to or on behalf
o~ employees on business connected with the project, plus a service charge of
10%.
.hirty-five cents (35¢) per mile for use of vehicles. A minimum of four dollars
Sq.00) per hour will be charged for use of vehicles carrying field survey
equipment or used by field representative personnel.
C. OUTSIDE SERVICES
Invoice cost of services and expenses charged to CONSULTANT by outside
cOnsultants, professional, or technical firms engaged in connectioin with the
order, plus 15% overhead costs. This markup shall also be the only markup
applied to part-time contract labor furnished by outside firms.
D. MISCELLANEOUS EXPENSES
The invoice cost of materials, supplies, reproduction work. and other services,
including communication expenses, procured by CONSULTANT from outside
sources, plus a service charge of 10%. All out-of-pocket expenses not included
in{ Items A, B, and C will be included in this category.
