CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA
A RESOLUTION APPROVING AND AUTHORIZING THE EXECUTION
OF A FIFTH AMENDMENT TO THE GROUND LEASE BETWEEN THE
CITY OF SOUTH SAN FRANCISCO AND THE PRICE COMPANY
WHEREAS, the Ci~ of South San Francisco, as Landlord, and Price C~pany,
as Tenant, entered into a Ground Lease dated Februa~ 26, 1985 with respect
to certain real proper~ located on South Airport Boulevard in the Ci~ of
South San Francisco; and
WHEREAS, the Februa~ 26, 1985 Ground Lease and exhibits thereto were
previously amended September 25, 1985, November 18, 1985, April 23, 1986 and
June 3, 1986; and
WHEREAS, the parties wish to further amend the Ground Lease and exhibits
thereto to clari~ the description of the properS, the conditions of the
lease and the lease term.
NOW, THEREFORE, BE IT RESOLVED ~ the Ci~ Council that the Ground Lease
between the Ci~ of South San Francisco and The Price C~pa~ is amended as
set forth in Exhibit "1" attached, and the M~or is authorized to execute the
amen~ent.

adopted ~ the Ci~ Council of the Ci~ of South San Francisco at a regular
meeting held on the 12th d~ of November , 19 86 ~ the following vote:
AYES: Councilmembers Mark N. Addiego, John "Jack" Drago, Gus Nicolopulos,
and Roberta Cerri Teglia

FIFTH AMENDMENT TO THE GROUND LEASE BETWEEN THE
CITY OF SOUTH SAN FRANCISCO AND THE PRICE COMPANY
RESOLUTION NO. 184-86
EXHIBIT "1"
This Amendment, dated November 6, 1986, between the City of South San
Francisco, Landlord, and The Price Company, Tenant, amends the Ground Lease
dated February 26, 1986, as subsequently amended.
1. Exhibit "A", captioned "Legal Description" which includes a written
legal description and a plat map of the Premises is deleted in its entirety
and a new Exhibit "A" attached, dated July, 1986 including a written legal
description and a plat map of the Premises is substituted.
2. Exhibit "B", the Site Preparation Agreement, is amended as follows:
a. Paragraph 1.D is amended.to read:
D. This Agreement is conditioned upon Tenant receiving no
later than November 6, 1986, all necessary and required
final governmental land use and other approvals and
building and other permits (the "Approvals") needed for
the construction and operation on the property of a
typical Price Club operation to be located in a building
of approximately 100,000 square feet (the "Planned Use"),
including all governmental approvals necessary to perform
the development work referred to in Paragraph 2, below
herein.
b. Paragraph 5 is amended to read:
5. Lease Commencement.
The lease term shall commence one (1) month after all
conditions in Paragraph i have been satisfied or waived
by Tenant but in no event earlier than December 6, 1986

(one month after November 6, 1986, the "Commencement
Date"). Within fifteen (15) days after the Commencement
Date, Landlord and Tenant shall execute an addendum to
the lease, setting forth the date of the "Commencement
Date".
As specifically amended herein, the Ground Lease and the exhibits thereto are
hereby confirmed, ratified and approved.
IN WITNESS WHEREOF, this Amendment is executed by the parties.
