HomeMy WebLinkAboutReso 57-1985 RESOLUTION NO. 57-85 CITY COUNCIL, CITY OF SOUTH SAN FRANCISCO, STATE OF CALIFORNIA A RESOLUTION AUTHORIZING EXECUTION OF THIRD AMENDMENT TO AGREEMENT FOR PRO- FESSIONAL ENGINEERING SERVICES FOR THE GATEWAY ASSESSMENT DISTRICT - ST-82-2 BE IT RESOLVED by the City Council of the City of South San Francisco that: 1. Approval of Agreement. The Agreement entitled "Third Amendment to Agreement for Professional Engineering Services for The Gateway Assessment District" between the City of South San Francisco and Wilsey & Ham, a California Corporation, is hereby approved, and a copy of said Agreement is attached hereto as Exhibit "1." 2. Execution of Agreement. The Mayor is authorized to execute said Agreement on behalf of the City, and the City Clerk attest his signature thereto. I hereby certify that the foregoing Resolution was regularly introduced and adopted by the City Council of the City of South San Francisco at a regular meeting held on the 27th day of March ,1985 , by the following vote: AYES: NOES: ABSENT: Councilmembers Mark N. Haffey, Gus Nicolopulos; and Roberta Cerri Teglia None None City Clerk EXHIBIT "1,' TO RESOLUTION NO. 57-85 THIRD AMENDMENT TO AGREEMENT FOR PROFESSIONAL ENGINEERING SERVICES FOR THE GATEWAY ASSESSMENT DISTRICT The Third Amendment to Agreement is made this 18th day of April , 1985 by and between CITY OF SOUTH SAN FRANCISCO, hereinafter called the CITY and WILSEY & HAM, a California Corporation consisting of engineers, surveyors and technicians, hereinafter called the CONSULTANT. Whereas, the CITY and the CONSULTANT desire to amend that certain Agreement for Professional Engineering Services for the Gateway Assessment District, dated July 21, 1982, hereinafter referred to as the Basic Agreement, as amended by the First and Second Amendments to the Agreement, dated March 1#, 198# and October 10, 198# respectively, hereinafter referred to as the First and Second Amendments. Now, Therefore, This Third Amendment to Agreement Witnesseth: That for and in consideration of the mutual covenants and promises between the parties hereto, it is hereby agreed as follows: SECTION 1. AMENDED SCOPE OF SERVICES The services which the CONSULTANT agrees to perform as described in "Scope of Services" to the Basic Agreement are hereby amended as follows: 1. Add the following the Exhibit A, "Scope of Services: ~ Exhibit A Phase 7: Provide required supplementary special administrative services associated with preparation and distribution of financial status reports and providing on-going coordination with Redevelopment Agency Attorney, City Appralser~ District Bond Counsel and Financial Consultant and other affected 'public agencies and landholders as relates to Phase I construction closeout and Phase II design and construction, all as required to supplement services specified under Phases 2 and 3 of the Basic Agreement and as described under Exhibits D & E of this Third Amendment. Provide special supplementary design and survey services related to Gateway Boulevard Extension Design and Right of Way Acquisition to supplement services specified under Phase 6, as included in the Second Amendment to the Basic Agreement and as described under Exhibits D & E of this Third Amendment. I of 6 Phase #: For construction of the Produce Avenue Widening, provide all applicable construction management services as specified under Phase # of the Basic Agreement. SECTION 2. AMENDED COMPENSATION Section 6. Compensation under the Basic Agreement is hereby amended as follows: As compensation for performance of all the services described for Phase I through Phase 7 of Exhibit A as amended by the First Amendment~ Second Amendment and this Third Amendment provided herein~ the CITY agrees to pay the CONSULTANT on a time and materials basis up to a maximum limit as indicated below in accordance with Exhibit B~ CONSULTANTtS Standard Fee Schedule. The maximum compensation to be paid CONSULTANT under this Second Amendment to Agreement is hereby increased from $1~6~7~520 to $1~737~020 representing an increased compensation of $89,500 to account for the additional services to be performed by CONSULTANT as described above and in Exhibits D and E attached hereto and made a part of this Amendment to the Agreement. CITY and CONSULTANT agree that said attached CONSULTANT'S Standard Fee Schedule shall be' effective through December 31; 1985 and may be amended annually thereafter. Such amendment shall be in writing and shall be Signed by the parties hereto. Except as modified by this Third Amendment, the Basic Agreement with the First and Second Amendments is hereby ratified and confirmed. CITY OF SOUTH SAN FRANCISCO ,. ~x"~ ' TITLE: Mayor ~ City Attorney 5:2 2of6 EXHIBIT B WILSEY & HAM STANDARD FEE SCHEDULE The compensation of CONSULTANT for work done on the basis of salary cost times a factor, plus incurred.expenses (which may be referred to as "time and materials" or "staadard billing") will be the sum of all the items set forth below: A. PERSONNEL SERVICES 2.2 times salary cost. Salary cost is defined as total hours worked times the employee's straight-time rate of pay on an hourly basis plus 37% allowance for payroll taxes and other employee benefits. All time spent in connection with the order by executive, professional, subprofessional, technical, and clerical employees will be included. The current billings rates is attached herewith as Exhibit C. overtime premium (overtime hours worked times the difference between overtime and straight-time pay rates). TRAVEL AND TRANSPORTATION EXPENSES 1. Reimbursement for actual travel and subsistence expenses paid to or on behalf of employees on business connected with the proiect, plus a service charge of "2. Thirty_five cents i35¢) per mile for use of vehicles. A minimum of four dollars ($~.00) per hour will be charged for use of vehicles carrying field survey equipment or used for field'inspecti°n and supervision. C. OUTSIDE SERVICES 1. Invoice cost of services and expenses charged to CONSULTANT by outside consultants~ professional, or technical firms engaged in connection with the order, plus 15% overhead costs.
