NOTICE IS HEREBY GIVEN, pursuant to Section 54956 of the Government Code of the State of
California, that the Successor Agency to the City of South San Francisco Redevelopment Agency and
the City Council will hold a Joint Special Meeting on Wednesday, February 8, 2017, at 6:30 p.m., in the
Municipal Services Building, Council Chambers, 33 Arroyo Drive, South San Francisco, California.

RECOMMENDATION
It is recommended that:1)the Successor Agency to the Redevelopment Agency of South San Francisco
adopt a resolution approving the transfer of certain former Redevelopment Agency real property assets,
identified for redevelopment plan and sale purposes,pursuant to the approved Long Range Property
Management Plan and California Health and Safety Code section 34191.5;and 2)the City Council adopt
a resolution accepting the transfer of certain former Redevelopment Agency real property assets,
identified for the Redevelopment Plan and sale purposes,pursuant to the approved Long Range
Property Management Plan and California Health and Safety Code section 34191.5.
BACKGROUND/DISCUSSION
On June 29,2011,the Legislature of the State of California (“State”)adopted Assembly Bill x1 26 (“AB 26”),
which amended provisions of the State’s Community Redevelopment Law (Health and Safety Code sections
33000 et seq.).Pursuant to AB 26 and the California Supreme Court decision in California Redevelopment
Association,et al.v.Ana Matosantos,et al.,which upheld AB 26 (together with AB 1484,the “Dissolution
Law”),the former Redevelopment Agency of the City of South San Francisco was dissolved on February 1,
2012.
Dissolution Law governs the disposition of former Redevelopment Agency real property assets.At the time of
its dissolution,the former Redevelopment Agency owned thirty-two parcels of real property.Pursuant to
Dissolution Law,the Successor Agency to the Redevelopment Agency of the City of South San Francisco
(“Successor Agency”)is responsible for the disposition of the properties in accordance with the procedures and
requirements of Dissolution Law and the Long Range Property Management Plan (LRPMP).
The LRPMP was prepared by the Successor Agency and approved by the Oversight Board for the Successor
Agency to the Redevelopment Agency of the City of South San Francisco (“Oversight Board”)on May 21,
2015.On October 1,2015,the California Department of Finance approved the LRPMP which governs the
disposition of all former Redevelopment Agency properties in South San Francisco.The LRPMP groups the
properties into three categories:properties to be transferred for governmental use;properties that should be
sold;and properties that are approved for redevelopment.On August 10,2016,the City Council and the
Successor Agency approved the transfer of eight properties to the City and two properties to the County of San
Mateo for governmental uses,as identified in the LRPMP.The Oversight Board subsequently approved these
transfers on August 16,2016.The majority of these properties have been transferred and their transfer has been

transfers on August 16,2016.The majority of these properties have been transferred and their transfer has been
recorded with the County.The remaining governmental use properties are in the process of being transferred
and will soon be recorded.
The LRPMP identifies 19 properties that are approved to be transferred to the City for redevelopment activities.
Of these 19 properties,five have previously been transferred from the Successor Agency to a private developer
(Sares Regis)pursuant to an Oversight Board-approved Purchase and Sale Agreement (PSA)for redevelopment
activities consistent with the Redevelopment Plan and the LRPMP.The remaining 14 properties
(“Redevelopment Properties”)to be transferred for redevelopment are summarized in Exhibit A of the attached
resolutions.
The 14 Redevelopment Properties include the following:
1.Four of the Redevelopment Properties are referred to in the LRPMP as the El Camino Real-Chestnut
Avenue Property Assemblage and comprise 1 Chestnut Avenue and the Former PUC Properties.
Development of these properties is key to the economic revitalization envisioned by the 2011 El
Camino Real/Chestnut Avenue Area Plan.
2.The remaining 10 Redevelopment Properties include those properties referred to as the Grand-Cypress
Property Assemblage (201,207,217-219,and 227 Grand Avenue);the Linden/Baden Avenue Land
Assemblage (200 Linden Avenue,and 212 and 216 Baden Avenue);and the properties at 905 Linden
Avenue;616 Linden Avenue;and 700 Linden Avenue.Development of these properties is essential for
the creation of a vibrant,transit-oriented and diverse Downtown,including the provision of additional
housing and added residential connectivity to the Caltrain station and the Downtown core.
The LRPMP identifies four properties that are approved to be transferred and sold by the City.One of these
four properties (216 Miller Avenue)has previously been transferred from the Successor Agency to a private
developer (Sares Regis)pursuant to an Oversight Board-approved Purchase and Sale Agreement (PSA)for
redevelopment activities consistent with the Redevelopment Plan and the LRPMP.The remaining three
properties (“Sale Properties”)to be transferred for sale are summarized in Exhibit B of the attached resolutions;
and they include the following:
1.One of the Sale Properties,559 Gateway Boulevard,is to be sold to the City for $1,and is restricted by
deed to the following public, governmental uses:
·The operation of a child day care facility
·A public library
·A public office facility as an amenity to the property
Upon the transfer of this property to the City,the deed will include language indicating these
restrictions and upon a further sale, the proceeds of the sale shall be distributed to the taxing entities.
2.The second of the Sale Properties,938 Linden Avenue,was originally acquired by the Redevelopment
Agency to serve as a facility for St.Vincent de Paul’s to provide food services to the homeless.

Agency to serve as a facility for St.Vincent de Paul’s to provide food services to the homeless.
However,because St.Vincent was unable to secure funding for that endeavor,the property is slated to
be sold with the proceeds of the sale distributed to the taxing entities.
3.The final Sale Property,432 Baden Avenue/429 Third Lane,was originally acquired for the
development of a parking lot to serve the Downtown.With the construction of the Miller Avenue
Parking Garage,this use is no longer necessary,and thus the property will be sold with the proceeds of
the sale distributed to the taxing entities.
CONCLUSION
With an approved LRPMP,Successor Agency staff is working to implement disposition of property consistent
with the LRPMP.Per Senate Bill 107,California Health and Safety Code section 34191.5(f),actions to
implement the disposition of property pursuant to an approved LRPMP does not require review by the DOF.
Adoption of these resolutions would be actions consistent with the LRPMP.The attached resolutions approve
the conveyance of certain former Redevelopment Agency assets to the City of South San Francisco for actions
consistent with an approved Redevelopment Plan and sale purposes.Their conveyance will be relatively
straightforward transactions including the execution of grant deeds,certificates of acceptance,and all other
necessary instruments, as applicable.
It is recommended that the Successor Agency and the City Council adopt respective resolutions approving the
transfer of the properties described in this report.

WHEREAS,on June 29,2011,the Legislature of the State of California (“State”)adopted Assembly Bill x1 26

WHEREAS,on February 1,2012,the City of South San Francisco became the Successor Agency to the
Redevelopment Agency of the City of South San Francisco (“Successor Agency”); and
WHEREAS,pursuant to the Dissolution Law,certain real property located in the City of South San Francisco
was transferred to the Successor Agency (“Agency Properties”); and
WHEREAS,pursuant to Health and Safety Code Section 34191.5(c)(2)(C),property shall not be transferred to
a successor agency,city,county or city and county,unless a Long Range Property Management Plan
(“LRPMP”)has been approved by the Oversight Board for the Successor Agency to the Redevelopment
Agency of the City of South San Francisco (“Oversight Board”)and the California Department of Finance
(“DOF”); and
WHEREAS,pursuant to the Dissolution Law,the Successor Agency prepared a LRPMP,which was approved
by a resolution of the Oversight Board on May 21,2015,and was approved by the DOF on October 1,2015;
and
WHEREAS,the LRPMP establishes a plan for transferring or selling the Agency Properties that were owned
by the former Redevelopment Agency; and
WHEREAS,the LRPMP identifies nineteen (19)properties to be transferred from the Successor Agency to the
City for redevelopment activities consistent with the Redevelopment Plan and the LRPMP; and
WHEREAS,five (5)of the nineteen (19)properties (315 Airport Blvd,401,411,421 Airport Blvd,and 405
Cypress Ave)have previously been transferred from the Successor Agency to a private developer pursuant to
an Oversight Board-approved Purchase and Sale Agreement (PSA)for redevelopment activities consistent with

WHEREAS,there are fourteen (14)remaining properties identified in the LRPMP that need to be transferred
from the Successor Agency to the City for development consistent with an approved redevelopment project (the
“Redevelopment Properties”)pursuant to Health and Safety Code section 34191.5(c)(2)and in accordance to
the requirements set forth in the LRPMP; and
WHEREAS,a list of the Redevelopment Properties to be transferred from the Successor Agency to the City is
set forth in Exhibit A attached to this Resolution and incorporated herein by this reference; and
WHEREAS,the LRPMP identifies four (4)properties to be transferred from the Successor Agency to the City
for sale consistent with the Redevelopment Plan and the LRPMP; and
WHEREAS,one (1)of the four (4)properties (216 Miller Avenue)has previously been transferred from the
Successor Agency to a private developer pursuant to an Oversight Board-approved Purchase and Sale
Agreement (PSA) for redevelopment activities consistent with the Redevelopment Plan and the LRPMP; and
WHEREAS,there are three (3)remaining properties identified in the LRPMP that need to be transferred from
the Successor Agency to the City for sale (the “Sale Properties”)pursuant to Health and Safety Code section
34191.5(c)(2) and in accordance to the requirements set forth in the LRPMP; and
WHEREAS,a list of the Sale Properties to be transferred from the Successor Agency to the City is set forth in
Exhibit B attached to this Resolution and incorporated herein by this reference.
NOW, THEREFORE, the City Council of the City of South San Francisco does RESOLVE as follows:
1.Finds and determines that the above recitals are true and correct and the proposed actions are
consistent with the Long Range Property Management Plan.
2.Subject to approval by the Oversight Board,the City hereby accepts the conveyance by the
Successor Agency to the City of South San Francisco of the Redevelopment Properties
identified in the Long Range Property Management Plan as properties #2,#3,#6,#7,#15
through #21, #29, #30, and #31, and as also described in Exhibit A.
3.Subject to approval by the Oversight Board,the City hereby accepts the conveyance by the
Successor Agency to the City of South San Francisco of the Sale Properties identified in the
Long Range Property Management Plan as properties #1,#28,and #32,and as also described in
Exhibit B.
4.The City Manager and his or her designees are authorized and directed to execute all documents
and take all actions necessary to implement this Resolution,including without limitation the
execution of grant deeds,certificates of acceptance,and all other necessary instruments,as
applicable, subject to approval as to form by the City Attorney.
5.Finds that the implementation of the LRPMP through this Resolution itself does not commit the
City of South San Francisco to any action that may have a significant effect on the environment
and thus does not constitute a “project”subject to the requirements of the California

WHEREAS,on June 29,2011,the Legislature of the State of California (the “State”)adopted Assembly Bill x1

WHEREAS,pursuant to the Dissolution Law,certain real property located in the City of South San Francisco
was transferred to the Successor Agency (“Agency Properties”); and
WHEREAS,pursuant to Health and Safety Code Section 34191.5(c)(2)(C),property shall not be transferred to
a successor agency,city,county or city and county,unless a Long Range Property Management Plan
(“LRPMP”)has been approved by the Oversight Board for the Successor Agency to the Redevelopment

consistent with the Long Range Property Management Plan.
2.Subject to approval by the Oversight Board,the conveyance from the Successor Agency to the
City of South San Francisco of the Redevelopment Properties identified in the Long Range
Property Management Plan as properties #2,#3,#6,#7,#15 through #21,#29,#30,and #31,and
as also described in Exhibit A,for development consistent with an approved redevelopment
project, is hereby approved.
3.Subject to approval by the Oversight Board,the conveyance from the Successor Agency to the
City of South San Francisco of the Sale Properties identified in the Long Range Property
Management Plan as properties #1,#28,and #32,and as also described in Exhibit B,for the
purposes of sale, is hereby approved.
4.Authorizes and directs the Executive Director and designees to execute all documents and take
all actions necessary to implement this Resolution,including without limitation the execution of
grant deeds,certificates of acceptance,and all other necessary instruments,as applicable,subject
