SPA-1~83 A RESOLUTION ORGANIZING THE SOUTH SAN FRANCISCO SURPLUS PROPERTY AUTHORITY AND PROVIDING RULES FOR SAID AUTHORITY'S OPERATION WHEREAS, the Municipal Federal Surplus Property Authority Law (Government Code Section 40500 et seq.) (hereinafter "The Act") provides for the establishment and authority to conduct business of a Surplus Property Authority in cities of the State of Califronia; and WHEREAS, the City Council of the City of South San Francisco (hereinafter "City Council") did, by Ordinance No. 919, adopted April 6, 1983 and effective thirty days thereafter, properly declare that there exists a need for the Surplus Property Authority (hereinafter "Authority") to function in the City of South San Francisco (hereinafter "City"); and WHEREAS, Ordinance No. 919 did lawfully establish the Authority; and WHEREAS, the Act requires the City Council to be ex officio the members of the Surplus Property Commission (hereinafter "Commission"), which Commission is the governing body of the Authority; and WHEREAS, the Act requires the Commissioners to meet and organize as a Board of Commissioners within thirty days after the effective date of Ordinance No. 919; NOW, THEREFORE, BE IT RESOLVED BY THE SURPLUS PROPERTY COMMISSION OF THE CITY OF SOUTH SAN FRANCISCO that: 1. Board Established. The Board of Commissioners is hereby established and organized as set forth herein and shall be officially known as the Surplus Property Commission of the City of South San Francisco. 2. President. The Mayor of the City shall be ex officio the President of the Commission, and in such capacity shall: a) Sign all contracts on behalf of the Authority; and b) Perform other duties as needed and imposed by the Commission. 3. Clerk. The City Clerk of the City shall be the Clerk of the Authority, and in such capacity shall: a) Countersign all contracts on behalf of the Authority; and b) Perform other duties imposed by the Commission. 4. Treasurer. The Treasurer of the City shall be ex officio the Treasurer of the Authority, and in such capacity shall: a) Perform the duties of Treasurer of the Authority; and b) Install and maintain a system of auditing and accounting that shall at all times show the financial condition of the Authority; and c) Assist the Manager of the Authority in completing all required reports of financial transactions of the Authority, including statements of revenues and expenditures; and d) At least once per fiscal year, assure that an audit of all of the Authority's financial affairs is conducted by independent certified public accountants and that an accurate statement of the Authority's financial affairs, based upon such audit, is published not later than July 31, in the Enterprise-Journal, a newspaper of general circulation, published in the City of South San Francisco. For the purpose of fulfilling the duties set forth above, the Treasurer may call upon the Director of Finance of the Authority for assistance. 5. Manager. The City Manager of the City shall be ex officio the Manager of the Authority, and in such capacity and subject to the approval of the Commission, shall: a) ~Have full charge and control of the acquisition, maintenance, operation, improvement and disposal of the property of the Authority; and b) Have full power and authority to employ and discharge all employees and assistants; and c) Prescribe the duties of employees and assistants; and d) Fix and alter the compensation of employees and assistants; and e) Perform other duties imposed by the Commission; and f) Report to the Commission in accordance with the rules and regulations that it adopts. 6. Attorney. The City Attorney of the City shall be ex officio the Attorney for the Authority, and in such capacity shall perform the duties of an attorney as imposed by the Commission. 7. Engineer. The City Engineer of the City shall be the Engineer for the Authority, and in such capacity shall perform the duties of an engineer as prescribed by the Manager of the Authority. 8. Director of Finance. The Director of Finance of the City shall be the Director of Finance for the Authority, and in such capacity shall: a) Assist the Treasurer in the performance of his duties, as requested; and b) Perform other duties as prescribed by the Manager of the Authority. 9. Compensation. Officers and employees of the Authority~ other than Commissioners, shall be compensated by the Authority in the form of reimbursement to the City of South San Francisco for time spent and expenses incurred on behalf of the Authority in amounts equal to those paid for such activities by the City. 10. PerSonnel System. The Commission does hereby incorporate by reference herein the Personnel System, Rules and Regulations of the City, whether established by Ordinance or Resolution, as amended from time to time, as though set forth verbatim. 11. Meetings. The Commission's regular meetings shall be held annually on the first Wednesday in May at 7:00 p.m., in the Community Room of the Municipal Services Building, 33 Arroyo Drive, South San Francisco, California. The Commission may hold such special meetings as it deems necessary and shall provide public notice of all special meetings as required by the Ralph M. Brown Act (Government Code Section 54950 et seq.). 12. Rules for Proceedings. The Rules for Proceedings applicable to the Commission generally shall be those rules adopted and in use by the City Council. Notwithstanding the foregoing, no ordinance, resolution or motion shall be passed or become effective without the affirmative votes of at least a majority of the members of the Commission. 13. Fiscal Year. The fiscal year of the Authority shall be from July 1 of one calendar year through June 30 of the calendar year immediately following. I hereby certify that the foregoing Resolution was regularly introduced and adopted by the Surplus Property Authority of the City of South San Francisco at a special meeting held on the llth day of May , 1983, by the following vote: AYES: Commissioners Ronald.
